PURPOSE AND IMPLEMENTATION. This Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of collaborative research, development, and testing opportunities on various topics of mutual interest to enable advanced understanding of aeronautics, science, and space systems research and development and to provide workforce development in Science, Technology, Engineering, and Mathematics (STEM) while furthering NASA’s research and development goals. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Each Annex will detail the specific purpose of the proposed activity, responsibilities, schedule and milestones, and any personnel, property, or facilities to be utilized under the task. This Umbrella Agreement takes precedence over any Annexes. In the event of a conflict between the Umbrella Agreement and any Annex concerning the meaning of its provisions, and the rights, obligations and remedies of the Parties, the Umbrella Agreement is controlling.

To ensure the appropriate Agreement is utilized for each activity, all requests for new activities or Annexes should be coordinated with the NASA JSC Management Point of Contact identified under Article 19 prior to commencing any new activities. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. The Parties may execute subsequent Annexes under this Umbrella Agreement consistent with the purpose and terms of this Umbrella Agreement. This Umbrella Agreement shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella Agreement. Nevertheless, Annexes may include an additional sentence to Clause 8.C. (titled "Liability"), in standard approved form, which shall be applicable solely to the activities conducted under such Annex. Specifics on the AAM demonstration, research and evaluation activities are outlined in the Annexes to which they apply. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. NASA is engaged in an exciting new program called Advanced Air Mobility (AAM) which seeks to enable commonplace usage of urban airspace, particularly at low altitudes. As part of this program, NASA expects to develop a number of technologies and capabilities and expects to test them in a relevant environment as part of its technology transfer mission. The Lone Star UAS Center of Excellence and Innovation is one of seven designated FAA test sites and is a part of Texas A&M University-Corpus Christi (TAMUCC). LSUASC has been instrumental in the advancement of numerous NASA technologies such as UTM TCL 4, Safe-to-Ditch, ICAROUS, and others. In addition, as part of TAMUCC, LSUASC engages in research and technology development to support its mission and those of its clients such as NASA. This Agreement will enable NASA to leverage the resources of LSUASC to both develop and test technologies in a relevant environment, engage in joint basic and applied research in topics related to AAM, and to use LSUASC as part of a technology transition avenue to industry. The Agreement will enable LSUASC to be a facilitator to NASA’s mission, as well as leverage NASA’s expertise to jointly develop key technologies and basic and applied research that can be applied directly to industry problems of its clients. The Parties shall execute one (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this Umbrella Agreement. This non-exclusive Umbrella Agreement (hereinafter referred to as the "Agreement" or "Umbrella Agreement") shall be for the purpose of a non-exclusive partnership to facilitate collaboration between NASA and UT Austin to allow university researchers the opportunity to help NASA solve actual and realistic space mission operations problems, using housekeeping data from some of NASA's missions. This non-exclusive partnership will allow UT Austin professors and students to target their research efforts toward developing and transferring ideas to NASA that are relevant to NASA's needs in theareas of astrodynamics, multi-sensor target tracking, multi-source information fusion, satellite guidance, navigation, and control (GNC). These research contributions might allow future generations of researchers to help NASA to improve its efficiency in meeting its missions' requirements. The Parties shall execute one non-exclusive (1) Annex Agreement (hereinafter referred to as the "Annex") concurrently with this non-exclusive Umbrella IAA. The Parties may execute subsequent non-exclusive Annexes under this Umbrella IAA consistent with the purpose and terms of this Umbrella IAA. This Umbrella IAA shall govern all Annexes executed hereunder; no Annex shall amend this Umbrella IAA. NASA-STD-2007-213740 Guide for Oxygen Compatibility Assessments on Oxygen Components and Systems / NASA-STD-6001 Flammability, Offgassing, and Compatibility Requirements and Test Procedures and related consensus methodology standard testing (such as NASA-STD-6016 or TP-WSTF-629 Navy Submarine Atmosphere Material Control Protocol). WSTF's Oxygen and Standard Testing core capability has evaluated materials for spacecraft safety for more than 30 years maintaining vast hazard evaluation experience. NASA WSTF possesses unique testing facilities, unique custom analysis and interpretation capabilities, as well as unique NASA Materials and Processing (M&P) certification. WSTF is the only oxygen, propellant, and NASA-STD-6001 materials and component test facility within NASA and is not available in the commercial marketplace.
2. Component processing capabilities: In the area of component processing (precision cleaning, refurbishment, modifications, machining, and calibration capabilities and related queries such as gas sampling) WSTF combines highly reliable precision cleaning up to a level 50A with a long performance history of effectively processing articles for safe use in hazardous oxygen, hydrogen, and propellant systems, resulting in a unique expertise that can help partners develop and operate high performance systems safely. WSTF is also unique in its capability to maintain clean during component processing (such as in calibration) and to safely handle and dispose of hazardous propellant fluids such as Hypergols that may be found in partner provided hardware for cleaning and refurbishment. WSTF is also the only known National Board Inspection Code (NBIC) certified facility in the world that can maintain clean on relief valves during the assembly and testing portion, resulting in a precision cleaned American Society of Mechanical Engineers (ASME) certified relief valve.

Through this partnership, the Founder Institute Space Tech Accelerator program will empower early-stage space entrepreneurs to build leading Space companies by providing expert mentorship. The program will be congruent to the Silicon Valley Founder Institute program, so that all participants receive the full benefits of the Founder Institute program in addition to added support through the vertical. Company founders will receive access to NASA Xxxx' resources, including technology licensing opportunities through NASA’s Technology Transfer office. Impact in the San Francisco Bay Area and State of California is expected by fostering a nascent space-based startup ecosystem, contributing to a dynamic startup community, creating both high quality and vocational jobs, attracting and retaining talent, and stimulating economic activity, among others. In parallel, NASA will engage a new innovation ecosystem and show concrete examples of economic benefits for its research activities. The Agency will also reach a large new community of entrepreneurs to create solutions to support space exploration. As the community grows, NASA will be able to share, through FI, our space exploration challenges that we are seeking solutions from innovation communities throughout the United States. The ultimate goal to increase the success rates of the startups that license NASA technology. This agreement will allow NASA to leverage the FI community in a manner that will effectively and efficiently determine viable transferees for NASA technology. Once a startup is in a position to license the technology and the startup is deemed an acceptable candidate by NASA, NASA will enter into a licensing agreement with the startup. Each license will be separately negotiated between NASA and the startup company.
