REMUNERATION AND OTHER BENEFITS. The compensation and benefits described in this Agreement are subject to the terms and conditions of the underlying policies and/or plan documents and award agreements governing such compensation or benefits. In the event of any discrepancy, the underlying policies, plan documents or award agreements prevail.
REMUNERATION AND OTHER BENEFITS. 4.1 In consideration for the performance of his/her duties hereunder, the Executive shall be entitled to receive with effect from the Commencement Date during the term of the Employment a salary at the rate of [insert] per annum payable by 12 monthly instalments, each such instalment being payable in arrears into an account in the name of the Executive designated by the Executive to the Company on the last business day of each calendar month provided that if the Employment is terminated prior to the end of a calendar month, the Executive shall only be entitled to a proportionate part of such salary in respect of the period of Employment during the relevant month up to the date of termination. For the avoidance of doubt, if the Executive also serves as a director on the Board, the Executive shall not be entitled to any additional compensation for his/her director's position; provided, however, that the Company may reimburse him/her for any reasonable out-of-pocket expenses incurred in connection with discharging his/her director's duties as provided in the relevant service agreement for such directorship.
4.2 Payment of such salary to the Executive referred to in Clause 4.1 shall be made by the Company.
4.3 The Salary referred to in clause 4.1 shall be subject to review by the Board on each anniversary of the Commencement Date.
4.4 The Executive shall continue to receive his/her salary during any period of absence on grounds of medical or physical ill-health up to a maximum of 30 days in any period of twelve (12) months or such number of days not more than that prescribed by law (whichever is longer) provided that the Executive shall, if required by the Company, supply the Company with medical certificates covering the period of absence and/or undergo at the Company's expense a medical examination by a doctor or hospital appointed by the Company.
4.5 The payment of tax, duties, social security and like payments arising out of the Employment shall be dealt with by the parties to this Agreement in accordance with the applicable laws and regulations. The Executive undertakes to the Company promptly to discharge any payments which are payable by him pursuant to the law as they fall due and to indemnify the Company against any liability in respect thereof which may fall upon the Company as a result of his/her failure to pay.
REMUNERATION AND OTHER BENEFITS. (a) Remuneration and benefit principles must be developed and applied consistently for employees in comparable functions and at comparable levels taking into account:
(i) any constraints under employment legislation; and
(ii) any risks or costs associated with a particular proposal.
(c) The following matters will be recognised by the Manager or the JV Entity and accepted as a cost of the WA Iron Ore JV:
(iii) Pursuant to a request for confidential treatment filed with the Securities and Exchange Commission, confidential portions of this exhibit have been omitted and filed separately with the Securities and Exchange Commission * * *
(d) However, the cost of the payment will be:
(i) taken into account in the Interim Adjusted Cashflow Statement and the Final Adjusted Cashflow Statement if paid during the Relevant Period; and
(ii) a cost of the WA Iron Ore JV if paid on or after the JV Commencement Date.
(iii) if granted after the JV Commencement Date, will be a cost of the WA Iron Ore JV.
(f) unless otherwise approved by the Implementation Oversight Committee or the Owners’ Council (as applicable), their cost will be:
(i) taken into account in the Interim Adjusted Cashflow Statement and the Final Adjusted Cashflow Statement to the extent that and pro rata with * * * the Relevant Period; and
(ii) a cost of the WA Iron Ore JV if paid on or after the JV Commencement Date, but will otherwise be the responsibility of Rio Tinto or BHP Billiton as applicable.
(g) Long-term incentive arrangements for eligible members of the WA Iron Ore JV workforce must be designed:
(i) to operate from the JV Commencement Date;

REMUNERATION AND OTHER BENEFITS. 6.1 The Officer shall receive remuneration and benefits in accordance with the details specified in Schedule 3.
6.2 The remuneration and benefits specified compensates for all requirements for the position including overtime, out of hours commitments, attendance at meetings, conferences and the like and replace all other benefits included in the Award.
6.3 The remuneration and benefits provided to the Officer shall be reviewed by the Council during the performance appraisal carried out pursuant to Clause 7 of the Contract.
REMUNERATION AND OTHER BENEFITS. 2.1 Annual base salary of the Employee is $140,000;
2.2 On an annual basis, the Employee will be eligible to the payment of a performance bonus which can represent up to 20% of his annual salary basis, depending on the criteria of performance determined in collaboration with the president of the company;
2.3 The company will continue to contribute to the RRSP of the Employee by $2,500 annually;
2.4 In addition to the amount stipulated in paragraph 2.3, the company will contribute to the RRSP of the Employee for an equivalent amount of his contribution up to an additional $2,500;
2.5 All amounts paid to the Employee will be subject to mandatory deductions;

REMUNERATION AND OTHER BENEFITS. 4.1 Signing bonus: Upon execution of this agreement and in consideration thereof Xx. Xxxxxx shall be entitled to receive a signing bonus of $100,000, less applicable deductions, which will be paid immediately by Phoenix to Xx. Xxxxxx as a lump sum payment.
REMUNERATION AND OTHER BENEFITS. 4.1 The Employee is entitled to a gross monthly salary amounting to 100 000 SEK per month. The salary is paid in accordance with Neonode’s prevalent payment routines. Neonode is under no obligation to award an increased salary following a salary review. There shall be no review of the salary after notice has been given by either party to terminate the employment.
4.2 The parties acknowledge that the Position may require overtime work in relation to which no additional compensation will be paid. Overtime work has been taken into consideration, inter alia, when determining the salary level and other benefits according to this Employment Agreement.
4.3 In addition to the salary set out in Clause 4.1 above, the Employee may be entitled to participate in Neonode’s from time to time applicable Bonus policy and Option program. The terms and conditions for Bonus payment and grants of Options are subject to the sole discretion of the management of Neonode.
4.4 The Employee is entitled to preventive health care allowance (Sw. friskvårdsbidrag) in accordance with Neonode’s from time to time applicable health care allowance policy. Such allowance may not exceed SEK 2,000 per annum.
4.5 The Employee is not, in addition to what is stipulated in this Employment Agreement, entitled to any additional remuneration for the Employee’s duties.
