Responsibilities of Service Provider. 1. Service Provider agrees to notify UHS immediately of any change in the contractual relationship between it and the Customer that would impact the Service Fee payment.
2. Service Provider agrees to return to UHS any Service Fee overpayments that occur as a result of a processing error by UHS within thirty (30) days of UHS’s request for such repayment.
3. Service Provider agrees that UHS is not responsible for any tax reporting related to the payment of the Service Fee to the Service Provider.
4. Service Provider acknowledges and agrees that it is solely responsible for determining what licenses (state, local or otherwise) are required for it to perform the services described herein and/or in the Service Agreement, and for obtaining such licenses and maintaining them in good standing throughout the Term.
Responsibilities of Service Provider. Service Provider hereby agrees that: (i) it is bound by the terms, conditions and obligations contained in this Agreement, in addition to the MORMLS Rules and Regulations; (ii) it will immediately notify MORMLS in the event it discovers that Participant and/or Agent has violated any terms, conditions or provision of this Agreement (including, without limitation, the MORMLS Rules and Regulations); and (iii) it will cooperate with MORMLS, as directed by MORMLS, in enforcing MORMLS’ rights against Participant and/or Agent pursuant to this Agreement.

Responsibilities of Service Provider. 6.1 Consultancy Team- For the purposes of the Services contemplated in terms of this Agreement and for the effective implementation of the project plan, Service Provider agrees and undertakes to nominate the following:
6.1.1 “Key Personnel” one of whom will be overall in-charge of the project and shall discharge his /her respective responsibilities. The Key Personnel should be working on the project from SBI location throughout the period of engagement; and
6.1.2 Another Key Person will act as the manager in respect of the provision of the Services contemplated in terms of this Agreement and the implementation of the Project Plan. This Key Personnel shall also be working on the project from SBI location throughout the period of engagement.
6.1.3 In addition to Key Personnel, the consultancy team shall comprise of experts and specialists (the “Professional Personnel”) in their respective areas of expertise and managerial/support staff (the “Support Personnel”) such that the Consultant should be able to complete the Consultancy within the specified time schedule.
6.2 A detailed list of all the members of the team, including the Key Personnel, Professional Personnel and Support Personnel (“Consultancy Team”) is set out in Schedule C hereto.
6.3 Service Provider is responsible for and obliged to conduct all contracted activities in accordance with the Contract using state-of-the-art methods and economic principles and exercising all means available to achieve the performance specified in the Contract.
6.4 Service Provider is obliged to work closely with the Bank’s staff, act within its own authority and abide by directives issued by the Bank from time to time and complete implementation activities.
6.5 Service Provider will abide by the job safety measures prevalent in India and will free the Bank from all demands or responsibilities arising from accidents or loss of life, the cause of which is Service Provider’s negligence. Service Provider will pay all indemnities arising from such incidents and will not hold the Bank responsible or obligated.
6.6 Service Provider is responsible for activities of its personnel or sub-contracted personnel (where permitted) and will hold itself responsible for any misdemeanours.
6.7 Service Provider shall treat as confidential all data and information about the Bank, obtained in the process of executing its responsibilities, in strict confidence and will not reveal such information to any other party without prior written appr...
Responsibilities of Service Provider. 5.1.1 Service Provider shall maintain sufficient resources to perform its obligations hereunder in accordance with the terms hereof.
5.1.2 Without limiting any of its rights or obligations set forth in this Agreement Service Provider shall:
(a) provide technical assistance and training to Service Recipient personnel to the extent specified in the Services Schedule.
(b) notify Service Recipient of problems with the Service Recipient’s work environment that might interfere with the provision of Services hereunder.
(c) perform its obligations under this Agreement in a manner consistent with all legal requirements applicable to Service Provider in its capacity as a provider of Services to the Service Recipient.
5.1.3 Service Provider shall provide Service Recipient and its Representatives with information and documentation reasonably requested by Service Recipient that is reasonably necessary for Service Recipient to receive Services hereunder, to perform its obligations hereunder and to transition off the Services in accordance with Section 3.2, subject in each case to reasonable confidentiality, security and privacy controls, policies and procedures imposed by Service Provider.
5.1.4 Service Provider shall, during normal business hours and with reasonable prior notice, make available, as reasonably requested by Service Recipient, reasonable access to personnel and provide timely decisions reasonably requested by Service Recipient in order that Service Recipient may timely transition off the Services in accordance with Section 3.2.
5.1.5 In performing its obligations under this Agreement, Service Provider shall comply with its obligations under the Data Protection Laws and shall not do or permit anything to be done which might cause or result in a breach by Service Recipient of the Data Protection Laws. If either Party concludes, at any time, that a data processing agreement is required in connection with the performance of any activities under this Agreement, it shall notify the other Party and the Parties shall agree and enter into reasonable terms in this respect.
Responsibilities of Service Provider. Subject to Section 2.4, each Party shall maintain sufficient resources to perform its obligations hereunder. Any specific performance criteria for a specific Service will be set forth in the corresponding Transition Service Schedule. In addition:
(a) each Party, in its capacity as Service Provider, shall provide technical assistance and training to Service Recipient personnel to the extent specified in the relevant Transition Service Schedule; and
(b) each Party, in its capacity as Service Provider, shall make reasonable efforts to notify Service Recipient of problems with the Service Recipient’s work environment that might interfere with the provision of Services hereunder.
Responsibilities of Service Provider. 6.1 Service Provider agrees and declares that it shall be the sole responsibility of Service Provider to comply with the provisions of all the applicable laws, concerning or in relation to rendering of Services by Service Provider as envisaged under this Agreement.
6.2 Service Provider shall procure and maintain all necessary licenses, permissions, approvals from the relevant authorities under the applicable laws throughout the currency of this Agreement, require for performing the Services under this Agreement.
6.3 Service Provider shall ensure that Service Provider’s personnel and its sub- contractors (if allowed) will abide by all reasonable directives issued by the Bank, including those set forth in the Bank’s then-current standards, policies and procedures (to the extent applicable), all on-site rules of behaviour, work schedules, security procedures and other standards, policies and procedures as established by the Bank from time to time.
6.4 Service Provider shall report the incidents, including cyber incidents and those resulting in disruption of service and data loss/ leakage immediately but not later than one hour of detection.
6.5 The Service Provider shall execute Data Processing Agreement on the format attached as Appendix-B to this RFP. < This term is applicable where the activities for which selection of Vendor/ outsourcing of activities involve access/sharing/transfer of Personal Data/PII of EU/UK NRI customers. 6.6 Service Provider/ Vendor shall abide by the provisions of the DPDP Act, 2023 - 11th August, 2023; XX-XX-E-12082023-248045 as and when the relevant rules and guidelines come into force.
Responsibilities of Service Provider. Except as otherwise expressly agreed in writing by the parties, all equipment, supplies and personnel used to provide the Services shall be furnished by Service Provider. Service Provider shall: (a) be solely responsible for payment to its employees, contractors and subcontractors in connection with the Services provided pursuant to this Agreement, and (b) as between Northeastern and Service Provider, be solely responsible for the acts and omissions of its employees, contractors and subcontractors in connection with this Agreement.
Responsibilities of Service Provider. (a) During the Term, Service Provider agrees to designate and maintain an ongoing primary contact: (a) with whom Service Recipient may communicate about current issues, needs, and problem resolution; (b) who has authority to make or cause to be made prompt technical decisions on Service Provider’s part; (c) who will be reasonably accessible by Service Recipient; and (d) who will remain generally knowledgeable about Service Provider’s policies and procedures in connection with the provision of the Services. Such Service Provider contact is referred to herein as the Service Provider Business Relationship Manager (“SPBRM”). The SPBRM shall have regular meetings with the SRBRM, in person or via teleconference, pursuant to a reasonable schedule agreed to by the SPBRM and SRBRM, to discuss the performance of the Parties of their obligations under this Agreement and to resolve any disputes pursuant to Section 5.4. Service Provider may change its SPBRM from time-to-time upon prior, written notice to Service Recipient.
(b) Service Provider shall provide technical assistance and training to Service Recipient personnel to the extent specified in the Transition Services Schedule.
(c) Service Provider shall perform its obligations under this Agreement in a manner consistent with all Laws applicable to Service Provider in its capacity as a third party provider of the Services to the Service Recipient.
