Responsibilities of Xxxxxx. 1. Xxxxxx will be responsible for the following: (i) providing Invoice Cloud with a static IP address or a specific range of static IP addresses, and (ii) confidentiality of End User’s Data. Xxxxxx is solely responsible for ensuring the secure transmission of any data that Xxxxxx transmits to Invoice Cloud (“Xxxxxx Transmitted Information”), and Invoice Cloud and manufacturer will have no liability therefore. Xxxxxx is solely responsible for adopting, implementing, and maintaining appropriate and effective security measures, procedures, policies, and standards, and any other best practice available to protect the confidentiality of Xxxxxx Transmitted Information, (iii) protecting the confidentiality of any information stored on Xxxxxx’x servers, and (iv) using the Services in the manner instructed by Invoice Cloud and the manufacturer and otherwise in the manner intended.
Responsibilities of Xxxxxx. Xxxxxx shall receive ACH Entries from the ACH Operator on behalf of Member and will forward all Entries to Member. Xxxxxx may also receive return and NOC Entries from Member and transmit to the ACH Operator on behalf of Member.
Responsibilities of Xxxxxx. 9.1 XxXxxx is responsible for providing to Windstream personnel a contact number for XxXxxx technical personnel who are readily accessible twenty-four (24) hours a day, seven (7) days a week.

Responsibilities of Xxxxxx. A. Maintain generally accepted professional and quality standards and comply with all applicable federal, state, and local regulations regarding the provision of healthcare and behavioral health services.
Responsibilities of Xxxxxx. (a) Purchase of Packaging and Ingredients. Xxxxxx shall be responsible for purchasing or arranging for the purchase of all packaging and ingredients for the Products; provided, however, that if the Authorized Representatives shall from time to time determine that packaging and ingredients can be purchased at a lower cost by Xxxxxxx, Xxxxxxx shall purchase such packaging and ingredients for Xxxxxx. Xxxxxx shall be responsible for payment when due of all invoices for packaging and ingredients and shall reimburse Xxxxxxx for the cost of any packaging and ingredients purchased by Xxxxxxx for Xxxxxx hereunder. The cost of all art, design, plates, development and related costs with respect to packaging will be paid by Xxxxxx, subject to the 50% reimbursement obligation of Xxxxxxx set forth in Section 8(g) hereof. In the event Xxxxxxx incurs any such costs, Xxxxxx will reimburse Xxxxxxx therefor upon submission of a statement by Xxxxxxx to Xxxxxx. If Xxxxxx purchases reasonable quantities of packaging pursuant to this Section 7(a) but through no fault of Xxxxxx, such packaging thereafter becomes obsolete and Xxxxxx does not recover the cost thereof from a third party, then Xxxxxxx will reimburse Xxxxxx for 50% of the cost of such obsolete packaging.
