Restrictions; Limitations. Consultant is under no obligation or restriction which would in any way interfere or be inconsistent with, or present a conflict of interest concerning the services to be furnished to Fonix under this Agreement. Consultant will not enter into any such obligation or restriction prior to the termination of this Agreement.
Restrictions; Limitations. (a) If approved, a teacher will not be assigned any additional extra duties or TRS reportable duties without the consent of the teacher; and (b) Any teacher who commences participation in this benefit, but does not comply with or satisfy the provisions herein, including but not limited to completion of his/her remaining years of service following notice of retirement, shall reimburse the District for any increased salary benefit granted under this provision, including tax and pension withholdings. Upon complete reimbursement, the teacher shall be entitled to any general wage increase which would have been applicable to the teacher during the time period at issue; and (c) Teachers should not rely upon the continuation of this retirement incentive award program in subsequent collective bargaining agreements. Unless the parties agree to continue this benefit in a subsequent collective bargaining agreement, it shall terminate upon the expiration of this agreement and will not be available to teachers who have not applied for the benefit prior to the expiration date of this agreement.
Restrictions; Limitations. This Agreement may not be used for Influencer-Produced Sponsored Content being produced for a campaign involving any signatory and/or JPC authorizer advertiser or advertising agency to the 2019 SAG-AFTRA Commercials Contract or any successor agreement. The Influencer-Produced Sponsored Content must be set-forth in a standalone contract and may not be included in a contract that also provides for services covered under any other SAG-AFTRA contract (for example, television commercials or motion pictures). This Agreement only applies to Influencer-Produced Sponsored Content produced and wholly owned by Producer or Influencer and not to work being performed as a “work made for hire,” as that term is defined under 17 U.S.C. §101 for the Advertiser, an advertising agency, or any other party.
Restrictions; Limitations. C&A Products shall comply and shall cause its Affiliates and sublicensees to comply at all times with Textron's then-current guidelines for the use of the Textron Intellimold Trademarks. C&A Products agrees to reasonably cooperate and cause its Affiliates to cooperate with Textron in facilitating Textron's monitoring of the nature and quality of the products and services for which the Textron Intellimold Trademarks are used. Textron shall have the right immediately to suspend C&A Products' and its Affiliates' use of the Textron Intellimold Trademarks, in whole or in part, if such usage is improper or inconsistent with the terms of this Agreement or otherwise reflects negatively on Textron or any of its Affiliates or their respective products or businesses. Except as expressly provided in this Section 3.2, nothing herein shall grant to any party any right, title or interest in another party's Trademarks. At no time during the term of this Agreement shall any party challenge or assist others to challenge another party's Trademarks or the registration thereof or attempt to register or cause to be registered another party's Trademarks or any trademarks, service marks or trade names confusingly similar to those of the other party. Each party understands and agrees that all use of and goodwill associated with each other party's Trademarks will inure to the benefit of such other party.

Customer shall not (indirectly or directly) attempt, permit, nor encourage any third party to: (a) copy, modify, enhance, translate, change data structures, create derivative works from, distribute, publicly display or perform, sublicense, transfer, sell, rent, lease, or assign the Software or Documentation or otherwise encumber the Service; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive or modify the Software or Source Code, underlying data structure, ideas, know-how, algorithms, or other trade secrets relevant to the Service; (c) engage in any activities that interfere or disrupt any computer, software, network, or other device used to provide the Service or otherwise impacting the Service or data contained therein; (d) gain unauthorized access to the Service or networks; (e) remove any proprietary notices, labels, or markings from the Software or Documentation; (f) use the Software or Service by more than one (1) business entity, in processing work for third parties, or for any purpose other than its internal business purposes, which does not include use by any parent, subsidiary, or affiliate of Customer nor any third party other than Customer’s Users; (g) use the Service in a manner that violates laws or rights of others such as by inputting Excluded Data into the Service; (h) use the Software or Service as part of a fail-safe design for dangerous or emergency applications or as part of control measures required for hazardous materials, life support systems, munitions, or weapons; (i) perform bench mark or pen tests without prior consent; (j) use the Software or Service to compete with AssetWorks; (k) engage in web- or data scraping on or related to the Service, including without limitation collection of information through bot, web crawler, or any software that simulates human activity; and (l) use the Service and/or Software in excess of the licensed quantity or tier (e.g. Active Equipment Unit, Concurrent License, Enterprise License, etc.).

Restrictions; Limitations. ● Once approved for the retirement enhancement, a teacher will not be assigned any additional extra duties or TRS reportable duties without the consent of the teacher, except, in the event that a grant-paid stipend or grant-paid extra duty payment is no longer available to the School District, then the teacher and District administrators may collaborate to discuss duties to possibly replace the funds lost from the elimination of the grant. Moreover, any teacher who had their creditable earnings reduced in their base year of employment by the amount of compensation earned for internal substitution and homebound instruction may be eligible to continue to internal substitute and to provide homebound instruction not to exceed the amounts previously received as compensation prior to their base year of calculation for these services; and ● Any teacher who commences participation in this benefit, but does not comply with or satisfy the provisions herein, including but not limited to completion of their remaining years of service following notice of retirement, shall reimburse the District for any increased salary benefit granted under this provision, including tax and pension withholdings. Restrictions; Limitations. 7.1 During the term of the Lease Bank Fund, Royalty Holder and Operator agree not to compete with each other in acquiring oil and gas within the prospect area. During such period of time Royalty Holder and Operator agree not to acquire from any other party any oil and gas leases, mineral interests, overriding royalty interests, or other interest in the mineral estate in and to any lands lying within the prospect area, except as expressly provided herein, without the express written consent of the other party.

Without limitation of the foregoing, Licensee shall not and shall not authorize Users to: (a) publicly perform or publicly display any of the Neurosurgical Content or Neurosurgical Services; (b) modify, disassemble, display, decompile, reverse engineer or otherwise make any derivative use of any of the Neurosurgical Services or use or access any of the Neurosurgical Services for any purpose, including, without limitation, to build a competitive product or service; (c) use any data mining, robots or similar data gathering or extraction methods on the Site, Neurosurgical Content, or Neurosurgical Services; (d) download, transfer, disclose, or otherwise permit the transfer to any Person that is not a User of any portion of the Neurosurgical Content or any information contained in the Neurosurgical Services; (e) perform or disclose any benchmarking or performance testing of the Neurosurgical Services; (f) perform any Unauthorized Use; or (g) share, use, display or provide an Account to any Person that is not the User associated with that Account. During and after the Term, Licensee shall not assert, nor authorize, assist or encourage any Third Party to assert, against Neurosurgical or any Neurosurgical Affiliates, any claim of infringement under any Intellectual Property Rights regarding any Neurosurgical Content or Neurosurgical Services. The licenses granted under this Section 2 are conditioned on Licensee’s continued compliance with this Agreement (including its User’s compliance), and Neurosurgical may immediately terminate the Agreement if Licensee or any User does not comply with any term or condition of this Agreement. Notwithstanding anything to the contrary herein, Third Party Materials may be used or exploited as otherwise agreed by the appliable Third Party owner.
