Student Identification and Assignment a. Upon a student referral by the District, the District will provide SESI with i) a referral packet for SESI evaluation that includes student data, student record, the academic status or chronic disruptive behavior prompting the referral, and when applicable (ii) the IEP, an established Functional Behavioral Assessment (“FBA”) & Behavior Intervention Plan (“BIP”). SESI will evaluate each District-referred student and determine whether the Program can meet the needs of the student, including current IEP, FBA and BIP, when applicable. After such an evaluation, SESI has final discretion to determine if a student is accepted into the Program and may decline acceptance, regardless of advance payment by District, by providing written notification to the District of its reason(s) for decline. Upon acceptance by SESI of a student into the Program, such student’s placement must be initiated by written notice from the District and SESI will agree on a commencement date for each student. If after enrollment, SESI determines a Student’s placement is no longer in the best interest of the Student or Student behaviors are a threat to Student, SESI staff or other students in the Program, SESI will notify District in writing and the parties will convene a meeting within thirty (30) days of SESI notification to discuss student transition and alternate placement. b. The District agrees that each Student enrollment at Capital Academy shall be reviewed at each semester break and may be extended, as mutually determined by the District and/or the Student’s parents and SESI to be in the best interest of the Student.

Student Identification and Assignment. School District agrees to identify and assign to an eligibility pool, students whose academic status or disruptive behavior, as defined in 4.1.A., make them eligible for transfer to the CEP Program. School District will assign a sufficient number of students to the eligibility pool to meet the Enrollment specified in Section 3.1 hereof. School District agrees that CEP will be paid the Monthly Payment for the Enrollment in accordance with Section 6.1, regardless of the actual number of students enrolled in the Program. A. Consistent with established School District policies and procedures and the School District Student Code of Conduct, the parties agree that each student assigned to the eligibility pool shall be in grade levels six (6) through twelve (12) at the time of enrollment, primarily between the ages of twelve (12) and sixteen (16), and be on a standard diploma track. In addition, enrollment in CEP is subject to compliance with the provisions of Florida Statutes concerning school entry health examinations and immunizations. Students assigned to the CEP Program shall have one or more of the exhibited behaviors or academic tendencies, including, but not limited to: 1. Excessive truancy, skipping classes and/or tardiness to classes. 2. Leaving campus without permission. 3. Repeated discipline write-ups for creating and leading other students in behavior problems in classrooms, halls, on school grounds and at school events. 4. Repeated violations of the School District’s Code of Student Conduct and Discipline. 5. Involvement with tobacco or illegal drugs at school. 6. Aggressive, threatening behavior towards other students, teachers or school staff. 7. Involvement in a school conflict where students have needed to be separated. 8. Having to repeat grades. 9. Needing credits to catch up with their cohort group and being in danger of not graduating with their cohort group. 10. Performing below grade level in basic skills in reading and math. 11. Scoring low on the FCAT and needing remediation skills. 12. Having low GPAs and being in the bottom 25% of their class. B. The School District will develop the enrollment procedures to be used by the School District and CEP in assigning and enrolling students in the CEP Program. The School District will establish the enrollment procedures within at least sixty (60) days prior to the initiation of this contract and shall include, but not be limited to the following: 1. Notwithstanding any other provision in this Confirmation to the contrary requiring or allowing Party A to purchase, sell, receive or deliver any Shares or other securities to or from Party B, Party A may designate any of its Affiliates to purchase, sell, receive or deliver such Shares or other securities and otherwise to perform Party A’s obligations in respect of the Transaction and any such designee may assume such obligations.   • SUB-CONTRACTING AND ASSIGNMENT 18.1 Subject to clause 18.3, neither party shall assign, novate, subcontract or otherwise dispose of any or all of its rights and obligations under this agreement without the prior written consent of the other party, neither may the Supplier sub-contract the whole or any part of its obligations under this agreement except with the express prior written consent of the Authority, such consent not to be unreasonably withheld. 18.2 In the event that the Supplier enters into any Sub-Contract in connection with this agreement it shall: (a) remain responsible to the Authority for the performance of its obligations under the agreement notwithstanding the appointment of any Sub-Contractor and be responsible for the acts omissions and neglects of its Sub-Contractors; (b) impose obligations on its Sub-Contractor in the same terms as those imposed on it pursuant to this agreement and shall procure that the Sub-Contractor complies with such terms; and (c) provide a copy, at no charge to the Authority, of any such Sub-Contract on receipt of a request for such by the Authority’s Authorised Representative. 18.3 The Authority shall be entitled to novate (and the Supplier shall be deemed to consent to any such novation) the agreement to any other body which substantially performs any of the functions that previously had been performed by the Authority.
