ADVISORY AND ASSISTANCE SERVICES. H.6.1 This contract is a “nonpersonal services contract.” The Contractor and the Contractor’s employees: (1) shall perform the services specified herein as independent contractors, not as employees of the government; (2) shall be responsible for their own management and administration of the work required and bear sole responsibility for complying with any and all technical, schedule, financial requirements or constraints attendant to the performance of this contract; (3) shall be free from supervision or control by any government employee with respect to the manner or method of performance of the service specified; but (4) shall, pursuant to the government’s right and obligation to inspect, accept or reject work, comply with such general direction of the CO, or the duly authorized representative of the CO as is necessary to ensure accomplishment of the contract objectives.
ADVISORY AND ASSISTANCE SERVICES. RELATING TO A CUSTOMER’S MISSION- ORIENTED BUSINESS PROGRAMS OR INITIATIVES
ADVISORY AND ASSISTANCE SERVICES. HMA will provide advisory and technical assistance supports related to mission-driven business process initiatives and programs to meet the various needs of customers. Our principal consultants and senior consultants have substantial experience developing, implementing, and evaluating solutions that are uniquely responsive to the public health care and human services sectors. Our colleagues are supported in their work by junior consultants and research assistants with similar talent and experience, which enables HMA to respond to any Florida agency’s health care needs efficiently and with flexible capacity. HMA will advise customers and provide technical assistance in alignment with an agency’s strategic priorities. Examples of our advisory and assistance services include:  Planning and managing projects of all sizes and complexity  Performing capability gap assessments  Developing project plans and budgets  Supporting solution procurement, including solicitation development and facilitation, proposal evaluation and contract negotiation support  Reviewing compliance as relevant to the specific scope of the project  Assessing project readiness, including as part of large and complex project implementations  Evaluating and helping reengineer organizations We excel at multi-agency coordination and will ensure our solutions are responsive to customers’ goals and priorities when a multi-agency project is specified. Our advisory and assistance services will be coordinated by an HMA colleague based in Florida and supported by HMA’s numerous SMEs and project managers as required. Diverse Knowledge and Skill Sets. HMA’s team of consultants have backgrounds and expertise in the programs and populations served by Florida’s state agencies, and direct experience providing advisory and technical assistance to agencies in most states in the country in areas such as Medicare, Medicaid, managed care, alternative payment models, physical health, behavioral health, substance abuse, criminal justice, long-term services and supports, social services including child welfare, and social determinants of health. With over 210 consulting colleagues in 16 states, in addition to Florida, to draw upon and provide consulting on management strategy services, we have ample capacity to assist customers. ADVISORY AND ASSISTANCE SERVICES. (a) In accordance with the policies set forth in FAR Part 37.203, this Contract may be used to obtain advisory and assistance services, subject to the restrictions set forth in (b) below. (b) As noted in FAR 37.203(c), advisory and assistance services shall not be: (1) Used in performing work of a policy, decision-making, or managerial nature that is the direct responsibility of agency officials. (2) Used to bypass or undermine personnel ceilings, pay limitations, or competitive employment procedures; (3) Contracted for on a preferential basis to former Government employees; (4) Used under any circumstances specifically to aid in influencing or enacting legislation; or (5) Used to obtain professional or technical advice that is readily available within the agency or another Federal agency.

ADVISORY AND ASSISTANCE SERVICES. Balmoral’s approach to advisory and assistance tasks relies on some of the common elements of other scope items herein: solid communication skills, clarity about the scope of assignment, and a clear vision for outcomes. In work for a variety of agencies, this often includes reviewing various proposed courses of action or existing incidents or issues, and developing clear-headed findings about various aspects of the issue/proposal. Our approach to advisory and assistance services will include preparation and research for the Project Inception to ensure scope parameters are as clearly defined as possible and to gather as much background information as is available. The project plan for this type of task typically involves a review period, interim check-ins on findings and progress, and draft and final versions of findings and recommendations. In some cases, the work is for very quick turn-around tasks, in which case status checks become moot and our consultants may be in almost daily contact with the Customer. In others, the work may be ongoing and sporadic, such as overseeing and supporting advisory panels. Regardless of the scenario, we approach advisory tasks being mindful of several items that are more critical to this particular type of work: 1. The need to document the evolution of issues and their resolution throughout the task. In rapid turnaround advisory work, emerging issues not anticipated at project outset can quickly change the direction of work, and be difficult to document after the fact. To avoid lapses in recordkeeping that may be needed later, correspondence logs and issues logs are one technique our consultants use to track and monitor evolving issues. 2. The need to clearly and timely communicate and address new information. Balmoral’s communications logs support this step very well; Figure 14 provides an example from our work for Department of Education, which required rapid analysis due to a very tight legislated deadline.

  • Termination Assistance Services Following the termination of this Agreement and/or any Ordering Document, the Parties may agree for Axway to provide transition services pursuant to a duly executed SOW, during which time this Agreement will continue in full force and effect solely to the extent necessary to allow such transition services to be performed. Axway agrees that the costs for any such services shall be comparable to the fees charged to other customers for similar types of services.

  • Directory Assistance Service 8.3.1 Directory Assistance Service provides local end user telephone number listings with the option to complete the call at the caller's direction separate and distinct from local switching.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Hosted Services 3.1 The Provider hereby grants to the Customer a worldwide, non-exclusive licence to use the Hosted Services for the business purposes of the Customer in accordance with the Documentation during the Term. 3.2 The Provider shall create an Account for the Customer and shall provide to the Customer login details for that Account to enable the Customer to configure and administer the Hosted Services and enable registration of Customer End Users. 3.3 Except to the extent expressly permitted in this Agreement or required by law on a non- excludable basis, the licence granted by the Provider to the Customer under Clause 3.1 is subject to the following prohibitions: (a) the Customer must not sub-license its right to use the Hosted Services; (b) the Customer must not make any alteration to the Platform; and (c) the Customer must not conduct or request that any other person conduct any load testing or penetration testing on the Platform or Hosted Services without the prior written consent of the Provider. 3.5 The Customer shall use reasonable endeavours, including appropriate organisational and technical measures relating to Account access details, to ensure that no unauthorised person may gain access to the Hosted Services using an Account. 3.6 The parties acknowledge and agree that Schedule 2 (Availability SLA) shall govern the availability of the Hosted Services. 3.7 The Customer must ensure that all persons using the Hosted Services with the authority of the Customer or by means of an Account comply with the Terms Of Use. 3.8 The Customer must not use the Hosted Services in any way that causes, or may cause, damage to the Hosted Services or Platform or impairment of the availability or accessibility of the Hosted Services. 3.9 The Customer must not use the Hosted Services: (a) in any way that is unlawful, illegal, fraudulent or harmful; or (b) in connection with any unlawful, illegal, fraudulent or harmful purpose or activity. 3.10 For the avoidance of doubt, the Customer has no right to access the software code (including object code, intermediate code and source code) of the Platform, either during or after the Term. 3.11 The Provider may suspend the provision of the Hosted Services if any amount due to be paid by the Customer to AWS for the benefit of the Provider under this Agreement is overdue, and the Provider has given to the Customer at least 30 days' written notice, following the amount becoming overdue, of its intention to suspend the Hosted Services on this basis.

  • Directory Assistance Service Updates 8.3.3.1 BellSouth shall update end user listings changes daily. These changes include: 8.3.3.1.1 New end user connections 3.3.1.2 End user disconnections

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are described in the SLA.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs. Likewise if such Hosting contributes to or directly causes a Security Incident, Supplier shall be responsible for the obligations set forth in Appendix 1, as applicable. 14 Change Management

  • Information Services Traffic 5.1 For purposes of this Section 5, Voice Information Services and Voice Information Services Traffic refer to switched voice traffic, delivered to information service providers who offer recorded voice announcement information or open vocal discussion programs to the general public. Voice Information Services Traffic does not include any form of Internet Traffic. Voice Information Services Traffic also does not include 555 traffic or similar traffic with AIN service interfaces, which traffic shall be subject to separate arrangements between the Parties. Voice Information services Traffic is not subject to Reciprocal Compensation charges under Section 7 of the Interconnection Attachment. 5.2 If a D&E Customer is served by resold Verizon Telecommunications Service or a Verizon Local Switching UNE, subject to any call blocking feature used by D&E, to the extent reasonably feasible, Verizon will route Voice Information Services Traffic originating from such Service or UNE to the Voice Information Service platform. For such Voice Information Services Traffic, unless D&E has entered into an arrangement with Verizon to xxxx and collect Voice Information Services provider charges from D&E’s Customers, D&E shall pay to Verizon without discount the Voice Information Services provider charges. D&E shall pay Verizon such charges in full regardless of whether or not it collects such charges from its own Customers. 5.3 D&E shall have the option to route Voice Information Services Traffic that originates on its own network to the appropriate Voice Information Services platform(s) connected to Verizon’s network. In the event D&E exercises such option, D&E will establish, at its own expense, a dedicated trunk group to the Verizon Voice Information Service serving switch. This trunk group will be utilized to allow D&E to route Voice Information Services Traffic originated on its network to Verizon. For such Voice Information Services Traffic, unless D&E has entered into an arrangement with Verizon to xxxx and collect Voice Information Services provider charges from D&E’s Customers, D&E shall pay to Verizon without discount the Voice Information Services provider charges. 5.4 D&E shall pay Verizon such charges in full regardless of whether or not it collects charges for such calls from its own Customers. 5.5 For variable rated Voice Information Services Traffic (e.g., NXX 550, 540, 976, 970, 940, as applicable) from D&E Customers served by resold Verizon Telecommunications Services or a Verizon Local Switching Network Element, D&E shall either (a) pay to Verizon without discount the Voice Information Services provider charges, or (b) enter into an arrangement with Verizon to xxxx and collect Voice Information Services provider charges from D&E’s Customers. 5.6 Either Party may request the other Party provide the requesting Party with non discriminatory access to the other party’s information services platform, where such platform exists. If either Party makes such a request, the Parties shall enter into a mutually acceptable written agreement for such access. 5.7 In the event D&E exercises such option, D&E will establish, at its own expense, a dedicated trunk group to the Verizon Information Service serving switch. This trunk group will be utilized to allow D&E to route information services traffic originated on its network to Verizon.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Software Services If elected by Customer, the following Software Services will be made available for Customer’s use. 2.1. Core HR Software Service is a system of interactive web pages to assist Customer in its human resource related recordkeeping and reporting. Customer shall ensure the accuracy of its Customer Data. The HR Software Services shall function in accordance with the Documentation, as may be amended from time to time, and provide features to aid Customer with its compliance with federal and state laws and regulations applicable to Human Resources (except as stated otherwise in the Documentation). 2.2. Recruiting Software Service is a system of interactive web pages to assist Customer in posting job requisitions, storing candidates, recording job applications, and the related recordkeeping and reporting. Customer shall ensure the accuracy of its Customer Data. The Recruiting Software Service shall function in accordance with the Documentation which may be amended from time to time.
