City Documents. All data, studies, reports and other documents prepared by Employee while performing his duties during the term of this Agreement shall be furnished to and become the property of the City, without restriction or limitation on their use. All ideas, memoranda, specifications, plans, procedures, drawings, descriptions, computer program data, input record data, written information, and other materials either created by or provided to Employee in connection with the performance of this Agreement shall be held confidential by Employee to the extent permitted by applicable law, except as may be required by any governmental agency or court of competent jurisdiction. Such materials shall not be used by Employee, without the prior written consent of the City Manager, for any purposes other than the performance of his duties. Additionally, no such materials may be disclosed to any person or entity not connected with the performance of services under this Agreement, except as required by
(a) law, (b) any governmental agency, (c) subpoena, or (d) an order issued by a court of competent jurisdiction.
City Documents. All ideas, memoranda, specifications, plans, procedures, drawings, descriptions, computer program data, input record data, written information, and other materials either created by or provided to EMPLOYEE in connection with the performance of this AGREEMENT shall be held confidential by EMPLOYEE to the extent permitted by applicable law, except as may be required by any governmental agency or court of competent jurisdiction. Such materials shall not be used by EMPLOYEE, without the prior written consent of the City Council, for any purposes other than the performance of EMPLOYEE’s duties. City Documents. The City shall not terminate, modify or amend or consent to any termination, modification, amendment or waiver in any material respect of any City Document without the prior written consent of the Series 2023[●] Bondowners.
City Documents. Landlord shall promptly following receipt of any notice from the City under the Redevelopment Agreement or City Parking Lease (as defined in Section 34), forward a copy of same to Tenant.
City Documents. The City Restrictions, the City Note, the City Loan Agreement, the City Deed of Trust, the City Subordination Agreement, and all other documents and instruments evidencing, securing or pertaining to the City Loan.

Title to the City Property shall be free from all exceptions except for those permitted title exceptions accepted by the GOVERNMENT and set forth in the Title Commitment for the City Property.

7. Certificate of Mailing Information Return for Tax-Exempt Governmental Obligations, Form 8038-G, to the Internal Revenue Service Center, together with Form 8038-G.
