Client Duties and Responsibilities. Client will:
a. Properly supervise Assigned Employee’s work performance and be responsible for Client’s business operations, products, services, and intellectual property;
b. Properly supervise, control, and safeguard its premises, processes, and systems, and not permit Assigned Employees to operate any vehicle or mobile equipment, or entrust them with unattended premises, cash, checks, keys, credit cards, merchandise, confidential or trade secret information, negotiable instruments, or other valuables without Agency 's express prior written approval or as strictly required by the job description provided to Agency;
c. Provide Assigned Employee with a safe work site and provide appropriate information, training, and safety equipment with respect to any hazardous substances or conditions to which Assigned Employee may be exposed at the work site;
d. Not change Assigned Employee’s job duties without Agency 's express prior written approval;
e. Exclude Assigned Employees from Client’s benefit plans, policies, and practices, and not make any offer or promise relating to Assigned Employees' compensation or benefits;
f. Reimburse Agency for advertising conducted with respect to recruiting specific personnel, when advertising is done at the request of Client;
g. Comply with OSHA Bloodborne Pathogen Exposure Control regulations found under OSHA Standard 29 C.F.R.e.1910. Client certifies that it has developed and follows an Exposure Control Plan in conformance with those regulations. At the time of initial assignment to tasks where occupational exposure may occur, Client will provide Assigned Employee with training in compliance with OSHA Standard 29 C.F.R.e.1910. Client agrees to provide post exposure evaluation and follow-up pursuant to OSHA Standard 29 C.F.R.e.1910, if an exposure incident occurs to any Assigned Employee and to provide copies of all records of post- exposure care to Agency. Client agrees to orient Assigned Employee to Client’s policies, procedures, operations and OSHA/Infection Control procedures, and inform the Agency of training dates and any changes in the Client’s policies and procedures;
h. Designate a representative to report to Agency all time worked by each Assigned Employee on a mutually agreed schedule;

Client Duties and Responsibilities. 1. The Client will pay SurgeMetrix for its Proprietary SurgeMetrix Products and services at the prices and according to the schedule laid out in any Scopes of Work approved by the Client.

Client shall inform Xxxxxx of any special criteria or requirements related to the Project or Scope, and shall timely and at its cost furnish any and all information in its possession relating to the Project, including reports, plans, drawings, surveys, deeds, topographical information and/or title reports. Xxxxxx shall bear no responsibility for errors, omissions, inaccuracy or incompleteness in third-party information or additional costs arising out of its reliance upon such third-party information supplied by Client. Client warrants and represents that: (a) Client has obtained the full and unconditioned prior written consent from any third-party for Xxxxxx to use such third-party information;

e. Be responsible for ensuring that Assigned Employees follow and comply with Client’s rules, regulations, policies and procedures.
f. Direct and supervise Assigned Employees’ work and activities during all times that the Assigned Employees are working at Client’s facility.
g. Utilize the services of the Assigned Employees for the entire length of the assignment.
h. Pay Uniti Med for all invoiced amounts, including, but not limited to, any and all services rendered by the Assigned Employees.
i. Exclude Assigned Employees from Client’s benefits plans, policies and practices and not make any offer or promise relating to Assigned Employees’ compensation or benefits.
j. Not change Assigned Employees’ job duties or assignment without Uniti Med’s express prior written approval.
Client Duties and Responsibilities. Client will make available in a timely manner for PTI's use, at no charge to PTI, all technical data, computer facilities, programs, files, documentation, test data, sample output, or other information, resources, and personnel required by PTI as set forth in the applicable document for the performance of the Services. Client will be responsible for, and assumes the risk of any issues or problems resulting from the content, accuracy, completeness, competence, or consistency of all Client computer facilities, programs, files, documentation, test data, sample output, or other information, resources, and personnel supplied by Client. Client will provide, at no charge to PTI, reasonable office space and equipment at Client's facilities (such as copiers, fax machines and modems) as PTI requires in performing the Services.
Client Duties and Responsibilities. Client will:
1. Cooperate with the Agency to allow for a timely completion of the home study process.
2. Make themselves and those household members required to be interviewed or assessed available to the Adoption Assessor in a timely manner.
3. Provide all necessary documents for the Assessor in a timely manner.
4. Be responsible for, and assumes the risk of any issues or problems resulting from the content, accuracy, completeness, competence, or consistency of all Client provided documentation.
Client Duties and Responsibilities. The Client agrees to:
1. Identify a primary contract person with whom the Attorney may communicate regarding the Matter and, in the case of a corporate entity, make appropriate representatives of the Client available to the Attorney.
2. Provide the Attorney with complete, accurate, and timely information, and keep that information updated throughout the course of the representation, including promptly informing the Attorney of any change of address or telephone number of the primary contact person.
3. Attend and be on time for all appointments and scheduled meetings, and comply with all deadlines for filing documents or otherwise.
4. Completely and accurately disclose to the [FIRM/ORGANIZATION]’s income and other requested financial information. Client understands eligibility for the [FIRM/ORGANIZATION]’s services is based on this financial information. If there is a significant increase in Client’s income or net worth, Client shall promptly inform the [FIRM/ORGANIZATION].
5. Refer communications regarding the Matter to the Attorney. Although the Client retains the decision as to the objectives of the representation, including how to resolve any aspect of the Matter as permitted by law, the Client agrees to keep the Attorney informed about the Matter and understands that the Client’s lack of cooperation may undermine the work performed by the Attorney on behalf of the Client.
Client Duties and Responsibilities. The Client shall inform BCG of any special criteria or requirements related to the Project or BCG’s services and shall, in a timely manner and at its cost, furnish any and all information in its possession relating to the Project, including reports, plans, drawings, surveys, deeds, topographical information or title reports. BCG shall bear no responsibility for errors, omissions or additional costs arising out of its reliance upon such information supplied by the Client. Some services included in the Scope may, in BCG’s discretion, require a current title report, and if so the Client shall timely and at its cost provide such a current title report to BCG. If the Scope includes preparation of plats to be recorded in the land records of the jurisdiction in which the Project is situated, the Client shall be responsible for timely preparation, submission and recordation of necessary deeds and for all fees associated with such deeds and plats. All off-site easements are the responsibility of the Client. Client shall indemnify and hold harmless BCG from and against any and all claims, demands, losses, costs, and liabilities, including without limitation, reasonable attorney fees and expenses incurred by BCG and arising out of (a) Client’s breach of this Agreement or (b) an action by Client or a third party with respect to any matter not included in the Scope or that is excluded from the responsibility of BCG pursuant to this Agreement.
