Conditions of Placement. The Advisor agrees to use his best efforts, consistent with his business judgment, to affect the Closings as soon as practicable. The Closings are conditioned upon and subject to, among other things, documentation reasonably acceptable to MYM and the Advisor, market conditions applicable to the private equity markets and satisfaction of the conditions set forth in each equity purchase agreement and/or business combination agreement (individually and collectively, the "Financing Agreements") to be entered into by and between the Company and the respective Investors and/or business combination parties named therein, and in the Offering Material, including any supplements and amendments thereto. No Unauthorized Use of Advice Any summary of, or reference to, any communication, whether written or oral with respect thereto, in whole or in part, to third party advisors will be subject, in each instance to said party's written agreement to confidentiality, nondisclosure and indemnification of the Advisor. Notwithstanding the preceding sentence, nothing in this Agreement shall be construed as a prohibition on the distribution of any communication as required by implementation of the placement of the Equity Securities and/or execution of a Business Combination, to officers of the Company, their legal counsel, accountants or financial consultants or to regulatory agencies. If the Advisor resigns prior to the dissemination of any Offering Material, or prior to the finalization of the forms of the Financing Agreements or any other documents or information prepared in connection with the placement of the Equity Securities and/or execution of a Business Combination, the term hereof shall be deemed ended and no reference to the Advisor whatsoever shall be made in materials disseminated after said resignation.

Conditions of Placement. It is understood that the execution of this Agreement shall not be deemed or construed as obligating Jefferies to purchase any of the Securities and there is no obligation on the part of Jefferies to place the Securities or render the Fairness Opinion. Jefferies' services to be performed hereunder are subject to certain conditions, including, among others, (i) approval of Jefferies' Underwriting Assistance Committee, (ii) satisfactory completion of due diligence on the Company by Jefferies, (iii) the form and terms of the Securities being mutually acceptable to the Company, Jefferies and prospective purchasers of the Securities, (iv) market conditions, and (v) no adverse change in the condition of the Company.

Program Fees: I will pay the designated program fees and tuition covering the full period of my placement as indicated in the payment schedule. If payment is not received prior to the official payment deadlines, I am aware that SJSU may drop me from the program and offer my placement to another student on the waiting list. I understand the SJSU cannot guarantee my health and safety while I am studying abroad. I am responsible for acting prudently and exercising caution and common sense at all times.‌ Orientation: Guidance will be provided to participants by IPS in the form of a general pre- departure orientation. Topics covered in the orientation program and follow-up meetings will include: Cross-cultural adjustment; Health, safety and security issues (political issues, crime and laws in the host country, road and traffic conditions, health risks abroad, etc.); and student conduct and expectations. Relevant web sites and other information will be provided to participants for review before they leave the United States. Whenever possible, former participants will be invited to share their experiences and University faculty, staff and/or students with local expertise will be asked to speak. Students are encouraged to address questions to IPS, as well as to do independent research on the host country. I am aware that I am required to attend the pre-departure orientation and that I am responsible for understanding the content of all pre-departure and orientation materials.

I agree to comply with all regulations defined by the Occupational Safety & Health Administration, the Fair Labor Standards Act, as well as any other pertinent federal, state, and local employment laws. 2. I agree to adhere to all regulations relating to anti-discrimination and equal opportunity. 3. I agree to inform the student of particular safety requirements of this workplace. 4. I agree to notify the school of any accident involving a school student, any actions undertaken and damages to property involving the student during this placement. 5. I agree that the student will work under my supervision or the supervision of my nominee. 6. The arrangement may be terminated at any time by any party to this agreement. 7. No monetary compensation or other benefits (including worker’s compensation and health insurance coverage through the school or sponsoring business) will be provided to the student. 8. The hours worked will not exceed the normal hours worked in my industry or allowed by law. 9. The student will not perform any work which is unreasonably dangerous or prohibited by law. 10.
