Not later than the end of the Design Concept Period, Landlord shall deliver to Tenant a preliminary schedule for the completion of the construction of the Building as provided for in this Agreement (the “Preliminary Construction Programme”), based on the agreed-upon design concepts for the Building. Not later than the end of each of the Program Period, the Schematic Design Period, and the Design Development Period, Landlord shall deliver to Tenant an updated Preliminary Construction Programme reflecting the additional concepts and greater detail relative to the Shell Building Works and the Stage Works that are set forth in the Program Document, the Schematic Design, and the Design Drawings, respectively. 2. Without limiting the foregoing, during the Permit Set Period described in Clause 4.3(v) above, Landlord shall deliver to Tenant for its approval, such approval not to be unreasonably withheld, conditioned or delayed, the Contractor's proposed schedule for the completion of the construction of the Building as provided for herein (as approved, the “Construction Programme”). It shall be unreasonable for Tenant to withhold approval of a Construction Programme relative to Stage 1 that provides for a Contract Time of no more than [*****] months. Conversely, it shall be reasonable for Tenant to reject any Construction Programme relative to Stage 1 that provides for a Contract Time of more than [*****] months. Further, it shall be unreasonable for Tenant to withhold approval of a Construction Programme relative to Stage 2 that provides for a scheduled Commencement Date (D) for Stage 2 that is the same as the Target Commencement Date (D) for Stage 2. Conversely, it shall be reasonable for Tenant to reject a Construction Programme relative to Stage 2 that provides for a Commencement Date (D) for Stage 2 that will occur after the Target Commencement Date (D) for Stage 2. As used herein, “Contract Time” shall mean that period of time (A) commencing on the date that is thirty (30) days after the first date upon which all of the following have occurred: (i) Landlord has received the Approvals; and (ii) the Certificate Regarding Construction Drawings, Project Budget and Construction Programme (hereinafter defined) has been fully executed and delivered by the parties, and (B) concluding on the date on which Landlord delivers Stage 1 to Tenant with all Commencement Date Conditions (A) satisfied in full. Construction Programme. 16.5.1 The Contractor shall procure that (subject to the terms of this Contract) the Works are carried out in compliance to the extent reasonably practicable with the Construction Programme. 16.5.2 Subject to Clause 16.5.4, the Contractor shall be entitled to make revisions, amendments or variations to the Construction Programme by submitting the relevant revision, amendment or variation to the Authority for review in accordance with Schedule 9 (Review Procedure). 16.5.3 The Contractor shall not implement any revision, amendment or variation to the Construction Programme to which Clause 16.5.2 applies until the Authority consents or is deemed to have consented to the revision, amendment or variation in accordance with Schedule 9 (Review Procedure). Once consented to, a proposed revision, amendment or variation will form part of the Construction Programme. 16.5.4 The Contractor shall be entitled to propose and/or implement revisions, amendments or variations to the Construction Programme which do not prejudice the Contractor’s ability to achieve the Readiness Date by the Planned Readiness Date and/or the Services Commencement Date by the Planned Services Commencement Date, without submitting the same for review under Schedule 9 (Review Procedure).

Construction Programme. The Contractor must submit his Construction Programme within the time stated in the Appendix to the Tender. The programme is subject to the Municipality’s approval and remains so for the duration of the Contract. This programme shall be in the form of a Xxxxx bar chart or other time/activity form acceptable to the Municipality. The unit of measurement in respect of the time periods of activities will be weeks. The programme shall reflect at least the following information: (i) A description of each of the major activities to be carried out during the Contract and the sequence in which they will be done. (ii) The programmed time for executing each activity. (iii) The dependencies which exist between the various activities and whether these are time- related or resources-limited or both. (iv) The critical path of activities on which final completion of the Works is dependent. (v) The amount of slack time for non-critical activities. The following is a list of the main activities that the Contractor is required to indicate on his programme which shall not be considered as being comprehensive but rather as the minimum information required by the Municipality. Sub-items shall be indicated as necessary to demonstrate the proper order of the Works: - Establishment on site - Site Clearance - Roadbed Preparation - Construction of side drains - Concrete Stormwater pipes - hauling of gravel material - Wearing course processing - Headwalls - Stone pitching and gabions - Tiding up on completion - Erection of road signs - Handover The following details shall also accompany the programme:
