Enterprise Products. For Enterprise Products, Enrolled Affiliate must determine the number of Qualified Devices and Qualified Users (if ordering user-based Licenses) at the time the true-up order is placed and must order additional Licenses for all Qualified Devices and Qualified Users that are not already covered by existing Licenses, including any Enterprise Online Services.

Enterprise Products. The Master Distributors authorized to distribute Enterprise products are identified on VERITAS’ website, as updated from time to time. Solutions Provider has reviewed the list of authorized Enterprise products Master Distributors, and based on its own assessment of its needs hereby selects GE Access as the sole Master Distributor from which Solutions Provider shall exclusively obtain Enterprise Products for resale to End Users.
Enterprise Products. The fees for the Enterprise Products to be resold to Customers and Reseller Legacy Clients (except to the extent such fees are set forth in applicable Legacy Contracts) are set forth on Exhibit N and are based on Enterprise’s Manufacturer Suggest Retail Price list, a copy of which shall be provided by Enterprise to Radiant on a regular basis or otherwise upon request. Except as otherwise set forth on Exhibit O, and subject to Section 9 herein, the parties shall adhere to the following invoicing and payment policy for all Orders placed under this Agreement: (i) Radiant will issue an Order to Enterprise via overnight mail, hand delivery, e-mail, facsimile, or any other mutually agreed upon mode of delivery; (ii) Enterprise will generate and deliver to Radiant a corresponding invoice for the Enterprise Products; and (iii) Radiant will process the invoice and remit payment of such to Enterprise within 30 days of its receipt of the invoice.
Enterprise Products. Enterprise warrants to Radiant that the Enterprise Products will conform to the Documentation for the Enterprise Products, provided that the Enterprise Products are used in accordance with the Documentation. If Radiant believes that there is a defect in the Enterprise Products such that it does not conform to this limited warranty, Enterprise must be notified immediately, but no later than 90 days following the delivery or, in the case of hosted applications, first use of the Enterprise Products to or by the Customer or the Legacy Client (as the case may be) affected by the alleged defect. Radiant agrees that a Customer’s or Legacy Client’s sole remedy for such non-conformities in the Enterprise Products shall be the repair or replacement of the Enterprise Products, with such replacement to be substantially equivalent in functionality to the item replaced. Enterprise shall have no obligation under this Section 15.1 should the Enterprise Products be modified, altered, merged or subjected to misuse, neglect, accident or improper use by Customer or Legacy Clients or any third party.

Enterprise Products. Enrolled Affiliate must determine the number of Qualified Devices and Qualified Users (if ordering user-based Licenses) on an annual basis. If the number of Qualified Users and/or Qualified Devices exceeds the number of licenses purchased, then Enrolled Affiliate must order additional Licenses to cover the short fall. Downloading, installing, deploying and otherwise using a Product prior to executing an Order for the Products may violate the Anti-Deficiency Act, 31 U.S.C. § 1341(a)(1)(B).
Enterprise Products. The Company began shipping WD Enterprise products in fiscal 1997. The Company's current enterprise products offer storage capacities ranging from 2.1 GB to 9.1 GB, are 1.0" high, use the 3.5-inch form factor, feature seek times of less than 8 msec, and are targeted at workstations, servers, multi-user systems and storage subsystems. WD Enterprise products utilize the SCSI interface, (both single-ended and low voltage differential) combined with a 7200 rpm spin rate to provide the high performance required to meet the storage needs of enterprise systems. In order to continue to grow its enterprise business, the Company must expand its product offerings to include the full range of enterprise products demanded by OEM customers. See "Technology and Product Development." The IBM Agreement is not applicable to the Company's enterprise business, so enterprise product development must be achieved through the Company's own technological developments. TECHNOLOGY AND PRODUCT DEVELOPMENT Hard drives are used to record, store and retrieve digital data. Their performance attributes are currently better than removable or floppy disks, optical disk drives and tape, and they are more cost effective than semiconductor technology. The primary measures of hard drive performance include: "Storage capacity" -- the amount of data that can be stored on the hard drive -- commonly expressed in gigabytes. "Average seek time" -- the time needed to position the heads over a selected track on the disk surface -- commonly expressed in milliseconds. "Internal data transfer rate" -- the rate at which data is transferred to and from the disk -- commonly expressed in megabits per second. "Spindle rotational speed" -- the rotational speed of the disks inside the hard drive -- commonly expressed in revolutions per minute. All of the Company's hard drive products employ similar technology consisting of one or more rigid disks attached to a spindle assembly which rotates the disks at a constant speed around a hub. The rate at which the disks spin affects the drive performance -- generally, the faster the disks spin the higher the performance. The disks, or media, are where the actual data is stored and retrieved. Each disk typically consists of a substrate of finely machined aluminum or glass on which is deposited a thin layer of magnetic material.   • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.
