GENERAL CONTRACTOR RESPONSIBILITIES. The Contractor shall immediately notify DCH of any of the following: · Change in business address, telephone number, facsimile number, and e-mail address; · Change in corporate status or nature; · Change in business location; · Change in solvency; · Change in corporate officers, executive employees, or corporate structure; · Change in ownership, including but not limited to the new owner’s legal name, business address, telephone number, facsimile number, and e-mail address; · Change in incorporation status; or · Change in federal employee identification number or federal tax identification number. · Change in CMO litigation history, current litigation, audits and other government investigations both in Georgia and in other states.
3.1 The Contractor shall not make any changes to any of the requirements herein, without explicit written approval from Commissioner of DCH, or his or her designee.
GENERAL CONTRACTOR RESPONSIBILITIES. In addition to the other responsibilities set forth herein, the Contractor shall have the following responsibilities pursuant to the Contract Documents:

3.2 The Contractor shall not make any changes to any of the requirements herein, without explicit written approval from Commissioner of DCH, or his or her designee.
GENERAL CONTRACTOR RESPONSIBILITIES. CONTRACTOR shall provide the following services during the term of this Agreement and any extensions in time thereof:
A. Shall provide collection services at the collection event site of all tires collected from residents at the Collection Event;
B. Provide sufficient labor, at the collection event site, necessary to unload tires from residential vehicles and load into trailers or other appropriate containers during the collection event;
C. Arrange for sufficient trailers and/or roll-off containers available on an on-call basis during the collection event to load tires collected from the collection event site from governmental entities;
D. Availability to conduct the event on a date determined by the COUNTY which will be held on a Saturday between September and November 29, 2019.
GENERAL CONTRACTOR RESPONSIBILITIES. Contractor will operate, manage, and maintain a full service cafeteria facility located at the El Paso County Courthouse, as well as maintain existing vending machines. Contractor may, but is not required to operate and maintain a Gourmet coffee cart on the 3rd floor of the El Paso County Courthouse. Contractor will provide all personnel, food, supplies, materials and any equipment not otherwise furnished by El Paso County. Contractor must agree to the mandatory minimum requirements of responsibility as follows:
a. Contractor shall operate, manage, and maintain a safe and sanitary cafeteria environment at all times in compliance with local, state, and federal laws and regulations. The cafeteria shall always be in good standing with the health, fire, and occupational codes. Failure to remain in good standing shall be considered cause for termination under section 8.12 hereunder. A copy of all inspection reports by any enforcement agency, including the Texas Department of Health, shall be provided to the Facilities Management Department within 24 hours.
b. Contractor is responsible for the semiannual cleaning and inspection of the exhaust hood vent, and provide documentation to the Facilities Management Department within 48 hours of completion. (With the exception of the exhaust hood vent, El Paso County shall be responsible for all other fire compliance inspections, including fire extinguishers, Halon, fire alarm, and sprinkler system.)
c. Contractor shall be responsible for the proper use of the County’s plumbing and sewer system. Contractor shall train all staff in the proper disposal of grease, food, utensils, napkins, and all other solids to the appropriate disposal receptacle. ANY EXPENSE INCURRED DUE TO THE MISUSE OR IMPROPER USE OF THE COUNTY’S PLUMBING SYSTEM OR GARBAGE DISPOSAL SHALL BE THE SOLE RESPONSIBILITY OF THE CONTRACTOR AND MUST BE PAID WITHIN 30 DAYS UPON RECEIPT OF INVOICE. REPAIRS MADE BY COUNTY MAINTENANCE STAFF WILL BE BILLED TO THE CONTRACTOR BASED ON THE MECHANIC’S HOURLY RATE AND THE CONTRACTOR MUST REIMBURSE THE COUNTY WITHIN 30 DAY UPON
GENERAL CONTRACTOR RESPONSIBILITIES i. Contractor shall:
a. Promptly deliver all required goods and services in a professional and workmanlike manner in accordance with the Contract and all applicable professional standards;
b. Maintain qualified staff and any other necessary business resources throughout the duration of the Contract to meet scheduled deadlines and all other performance requirements;
c. Comply with all state and DCH policies and standards in effect during the performance of the Contract, including but not limited to DCH’s policies and standards relating to personnel conduct, security, safety, confidentiality, privacy and ethics.
d. Immediately notify the Department of any of the following changes with respect to Contractor:
1) Change in business address, telephone number, facsimile number or e-mail address;
2) Change in corporate status or nature;
3) Change in business location;
4) Change in solvency;
5) Change in corporate officers, executive employees, or corporate structure;
6) Material change in ownership (i.e. more than 25%); or
7) Change in federal employee identification number or federal tax identification number.
e. Request and receive DCH’s prior written consent before taking any of the following actions:
1) Change its legal status;
2) Change its legal structure; or,
3) Sell, transfer, convey, or assign more than a twenty-five percent (25%) ownership interest in the Contractor.
f. Should DCH not consent to any of the actions set forth in paragraph 4.A.i.e(1)-(3) and the Contractor desires to proceed with such action, then DCH may, at its option, elect to terminate this Contract at such date as determined by DCH.
g. Promptly notify DCH of any of the following changes with respect to any Subcontractor(s):
1) Change in legal status;
2) Change in legal structure; or,
3) Sale, transfer, conveyance, or assignment of more than a twenty-five percent (25%) ownership interest in the Subcontractor.
GENERAL CONTRACTOR RESPONSIBILITIES. 3.0.1 Contractor shall promptly deliver all required goods and services in a professional and workmanlike manner according to the Contract including all applicable professional standards.
3.0.2 Contractor shall maintain qualified staff and any other necessary business resources throughout the duration of the Contract to meet scheduled deadlines and all other performance requirements.
3.0.3 Comply with all State and DCH policies and standards in effect during the performance of the Contract, including but not limited to DCH’s policies and standards relating to personnel conduct, security, safety, confidentiality, privacy and ethics.
GENERAL CONTRACTOR RESPONSIBILITIES. A. Contractor shall ensure that only qualified and competent employee(s) are permitted on the job site and that the work shall be safely performed by the highest industry standards. The Contractor shall take all the necessary precautions to prevent injury or hazard to Caltrans employee(s), invitee(s) and/or the general public.
B. Contractor shall conduct its operation in such a manner as to avoid injury or damage to the property of Caltrans or any adjacent property.
C. Contractor shall avoid causing unreasonable inconvenience to any person(s) doing business on Caltrans property. In the event Contractor’s operation creates a condition hazardous to Caltrans property, its occupants, or the general public, Contractor shall provide warning signs alerting to any dangerous conditions at the Contractor’s own expense and without cost to Caltrans.
D. No hazardous materials or waste shall be handled by Contractor. Contractor shall notify the Caltrans Contract Manager of any hazardous materials immediately upon discovery.
E. Personal property, items that have apparent value and are not fouled with human waste or other hazardous materials, encountered by Contractor on Caltrans property shall be collected by Contractor and turned over to Caltrans.
GENERAL CONTRACTOR RESPONSIBILITIES. The Contractor shall be required to perform any and all Services without expanding the current scope as set forth in this SOW, necessary for the successful completion of this engagement in accordance with the Process and Procedures Manual, including, but not limited to, the following:
a. ACES Maintenance and Operations Requirements
(1) Collaborate to integrate the Contractor's operational activities into DSHS standard processes and continuously identify opportunities to improve the processes. Future implementation approaches such as the implementation of Agile methodologies will be agreed upon by the parties via a Change Order.
(2) Develop tickets whenever the Contractor requires changes to the infrastructure or application
