GENERAL CONTRACTOR RESPONSIBILITIES. CONTRACTOR shall provide the following services during the term of this Agreement and any extensions in time thereof:
A. Shall provide collection services at the collection event site of all tires collected from residents at the Collection Event;
B. Provide sufficient labor, at the collection event site, necessary to unload tires from residential vehicles and load into trailers or other appropriate containers during the collection event;
C. Arrange for sufficient trailers and/or roll-off containers available on an on-call basis during the collection event to load tires collected from the collection event site from governmental entities;
D. Availability to conduct the event on a date determined by the COUNTY which will be held on a Saturday between September and November 29, 2019.

GENERAL CONTRACTOR RESPONSIBILITIES i. Contractor shall:
a. Promptly deliver all required goods and services in a professional and workmanlike manner in accordance with the Contract and all applicable professional standards;
b. Maintain qualified staff and any other necessary business resources throughout the duration of the Contract to meet scheduled deadlines and all other performance requirements;
c. Comply with all federal, state, and DCH policies and standards in effect during the performance of the Contract, including but not limited to DCH’s policies and standards relating to personnel conduct, security, safety, confidentiality, privacy and ethics.
d. Participate in CMS certification activities, as directed by the Department.
e. Immediately notify the Department of any of the following changes with respect to Contractor:
1) Change in business address, telephone number, facsimile number or e-mail address;
2) Change in corporate status or nature;
3) Change in business location;
4) Change in solvency;
5) Change in corporate officers, executive employees, or corporate structure;
6) Material change in ownership (i.e. more than 25% a month); or
7) Change in federal employee identification number or federal tax identification number.
f. Request and receive DCH’s prior written consent before taking any of the following actions:
1) Change its legal status;
2) Change its legal structure; or,
3) Sell, transfer, convey, or assign more than a twenty-five percent (25%) ownership interest in the Contractor.
g. Should DCH not consent to any of the actions set forth in paragraph 4.A.i.f(1)-(3) and the Contractor desires to proceed with such action, then DCH may, at its option, elect to terminate this Contract at such date as determined by DCH.
h. Promptly notify DCH of any of the following changes with respect to any Subcontractor(s):
1) Change in legal status;
2) Change in legal structure; or,
3) Sale, transfer, conveyance, or assignment of more than a twenty-five percent (25%) ownership interest in the Subcontractor.
GENERAL CONTRACTOR RESPONSIBILITIES. Contractor will operate, manage, and maintain a full service cafeteria facility located at the El Paso County Courthouse, as well as maintain existing vending machines. Contractor may, but is not required to operate and maintain a Gourmet coffee cart on the 3rd floor of the El Paso County Courthouse. Contractor will provide all personnel, food, supplies, materials and any equipment not otherwise furnished by El Paso County. Contractor must agree to the mandatory minimum requirements of responsibility as follows:
a. Contractor shall operate, manage, and maintain a safe and sanitary cafeteria environment at all times in compliance with local, state, and federal laws and regulations. The cafeteria shall always be in good standing with the health, fire, and occupational codes. Failure to remain in good standing shall be considered cause for termination under section 8.12 hereunder. A copy of all inspection reports by any enforcement agency, including the Texas Department of Health, shall be provided to the Facilities Management Department within 24 hours.
b. Contractor is responsible for the semiannual cleaning and inspection of the exhaust hood vent, and provide documentation to the Facilities Management Department within 48 hours of completion. (With the exception of the exhaust hood vent, El Paso County shall be responsible for all other fire compliance inspections, including fire extinguishers, Halon, fire alarm, and sprinkler system.)
c. Contractor shall be responsible for the proper use of the County’s plumbing and sewer system. Contractor shall train all staff in the proper disposal of grease, food, utensils, napkins, and all other solids to the appropriate disposal receptacle. ANY EXPENSE INCURRED DUE TO THE MISUSE OR IMPROPER USE OF THE COUNTY’S PLUMBING SYSTEM OR GARBAGE DISPOSAL SHALL BE THE SOLE RESPONSIBILITY OF THE CONTRACTOR AND MUST BE PAID WITHIN 30 DAYS UPON RECEIPT OF INVOICE. REPAIRS MADE BY COUNTY MAINTENANCE STAFF WILL BE BILLED TO THE CONTRACTOR BASED ON THE MECHANIC’S HOURLY RATE AND THE CONTRACTOR MUST REIMBURSE THE COUNTY WITHIN 30 DAY UPON RECEIPT OF INVOICE. REPEATED INCIDENTS OF IMPROPER USAGE OF THE COUNTY’S PLUMBING SYSTEM SUCH AS DESCRIBED IN THIS SECTION OF TWO INCIDENTS OR MORE WITHIN A 12- MONTH PERIOD, SHALL BE CONSIDERED CAUSE FOR TERMINATION UNDER SECTION 8.12 HEREIN.

GENERAL CONTRACTOR RESPONSIBILITIES. The Contractor, through its Key Personnel, shall conduct a Study based upon a series of Study Objectives approved by the SCC Leads, resulting in the submission of a draft Report to the CEO.
