Medical, Dental and Vision Coverage. Medical, dental and vision coverage under the Health Plan, as the Participant had elected prior to the Participant’s Separation from Service, shall be provided for a period of 24 months for Tier I Officers and a period of 12 months for Tier II and Tier III Officers immediately following the Participant’s Separation from Service. The cost of such coverage shall be shared by the Company and the Participant on the same basis as in effect prior to the Participant’s Separation from Service. Participant contributions that were required for participation in the Health Plan will continue to be required during the continuation period. If a Participant fails to pay such contributions in a timely manner, the coverage shall be discontinued. No Participant may elect to receive cash or any other allowance in lieu of medical, dental or vision coverage under the Health Plan.

Medical, Dental and Vision Coverage. As set forth in the Company’s Early Retiree Healthcare Plan, Executive shall be eligible to elect continued coverage for himself, his spouse and eligible dependents under Federal COBRA and/or the Early Retiree Healthcare Plan. Subject to the terms of the Company’s Healthcare Plan, as in effect from time to time, Executive’s disabled dependent shall be eligible for continued coverage under the Healthcare Plan.
Medical, Dental and Vision Coverage. As set forth in the Company’s Early Retiree Healthcare Plan, Executive shall be eligible to elect continued coverage for himself, his spouse and eligible dependents under Federal COBRA and/or the Early Retiree Healthcare Plan. Subject to the terms of the Company’s Healthcare Plan, as in effect from time to time, Executive’s disabled dependent shall be eligible for continued coverage under the Healthcare Plan for the period during which Executive is on COBRA and thereafter under the Company’s Early Retiree Medical Plan for as long as such dependent remains disabled under the terms of the Plans and required payments are made on behalf of all those covered on a timely basis as defined by the Plan unless the Plan is terminated at which time coverage will cease. This will include periods of time during which Executive’s disabled dependent is otherwise eligible for Medicare.
Medical, Dental and Vision Coverage. During the Employment Term and thereafter, Couillaud shall receive from Coherent Group Medical, Dental and Vision Insurance, including an annual $5,000 supplemental out of pocket payment feature (the "Coverage"), for Couillaud and his eligible dependents under the following conditions: (1) Any cash contribution required from Coherent officers for similar coverage will be invoiced by Coherent by December 31 of each year, and must be paid by Couillaud no later than January 30 of the following year. The cash contribution amount will be pro-rated for Couillaud's first partial year. Failure to make such payment on time or within a thirty (30) day notice period will be grounds for termination of the Coherent Group Medical, Dental and Vision Insurance.
Medical, Dental and Vision Coverage. If an Eligible Participant is entitled to file, and does timely file, an election to continue any health benefits for himself, his spouse and his eligible dependents, if any, under a medical, dental and/or vision benefit program maintained by the Company in accordance with the provisions of COBRA, the Company shall promptly reiburse the Eligible Participant for the monthly COBRA Premiums paid by the Eligible Participant for such COBRA coverage until the earlier of (i) the expiration of the Eligible Participant’s continuation coverage under COBRA or (ii) the end of the Participant’s Severance Period. Notwithstanding the foregoing, an Eligible Participant shall not receive any reimbursement of COBRA Premiums unless and until all of the eligibility conditions in Section 3.01 have been satisfied. The Eligible Participant is responsible for the payment of all applicable COBRA Premiums.

Medical, Dental and Vision Coverage. Executive’s medical, dental, and/or vision plan coverage will continue in effect through the end of the month in which his Severance Period ends, unless his benefits cease under Section 7. This does not impact Executive’s right to pay for his own COBRA continuation coverage. After 39 weeks of the Severance Period, the non-discrimination rules under the Internal Revenue Code require Executive pay the total cost of medical, dental and vision coverage, on an after-tax basis, for the remainder of his Severance Period. The cost of coverage will continue to be paid through payroll deduction. Employer will reimburse Executive through the payroll system for Employer’s portion of the cost of coverage. In order to provide Executive with the same pre-tax advantages he previously enjoyed, he will receive an income tax gross-up on the total cost of coverage through the payroll system. As required by the Code 409A regulations, any tax gross-up payments shall be made not later than the end of Executive’s taxable year next following Executive’s taxable year in which the related taxes are remitted to the taxing authorities. If Executive relocates to a different state during his Severance Period, Executive should notify the Employee Resource Center at 1-888-722-4ERC (4372). If his relocation has any impact on his medical plan administrator, Employer will notify Executive. If Executive is enrolled in Employer’s Consumer Driven Health Plan (CDHP) he has a Health Reimbursement Account (HRA) available to him. The full amount of that account will continue to be available to Executive for expenses incurred until his medical benefits end at the end of his Severance Period or for as long as he is enrolled in the CDHP plan. If Executive’s plan election is changed during the Annual Enrollment period to a non-CDHP plan any HRA balance is forfeited. For each year covered by Executive’s Severance Period, Executive will have the opportunity to enroll in benefits during Annual Enrollment. If he does not submit a new enrollment at the end of each year, he will continue to receive the current coverage he has in force for the following year; provided, however, such coverage will not extend beyond the end of the month in which his Severance Period ends. However, if Executive’s plan elections are not available, he will be afforded the opportunity to enroll in new plan elections. The Company shall have no further obligations to the Executive as a result of termination of employment described in this Section 8(a) except as set forth in Section 12.

The coverages under this Section 4(e) may be procured directly by the Company (or an Affiliate, if appropriate) apart from, and outside of the terms of the respective plans, provided that Executive and Executive’s dependents comply with all of the terms of the substitute medical or dental plans, and provided, further, that the cost to the Company and its Affiliates shall not exceed the cost for continued COBRA coverage under the Company’s (or an Affiliate’s) plans, as set forth in the immediately preceding sentence. In the event Executive or any of Executive’s dependents is or becomes eligible for coverage under the terms of any other medical and/or dental plan of a subsequent employer with plan benefits that are comparable to Company (or Affiliate) plan benefits, the Company’s and its Affiliates’ obligations under this Section 4(e) shall cease with respect to the eligible Executive and/or dependent. Executive and Executive’s dependents must notify the Company of any subsequent employment and provide information regarding medical and/or dental coverage available.

  • Medical Coverage The Executive shall be entitled to such continuation of health care coverage as is required under, and in accordance with, applicable law or otherwise provided in accordance with the Company’s policies. The Executive shall be notified in writing of the Executive’s rights to continue such coverage after the termination of the Executive’s employment pursuant to this Section 3(d)(iv), provided that the Executive timely complies with the conditions to continue such coverage. The Executive understands and acknowledges that the Executive is responsible to make all payments required for any such continued health care coverage that the Executive may choose to receive.
