Member Requirements a. Health Equity
Member Requirements. A Member must remain a Member during the term of the Company and may dispose of all or any portion of its Company Interest only in strict accordance with the terms and conditions of this Company Agreement (including, without limitation, Article XII). Any attempted Disposition of all or any portion of its Company Interest, other than in strict accordance with this Company Agreement, shall be, and is hereby declared, null and void ab initio. The Members agree that breach of the provisions of this Section 6.1 may cause irreparable injury to the Company for which monetary damages (or other remedy at law) are inadequate in view of (i) the complexities and uncertainties in measuring the actual damages that would be sustained by reason of the failure of a Member to comply with such provisions and (ii) the uniqueness of the Company business and the relationship among the Members. Accordingly, the Members agree that the provisions of this Section 6.1 may be enforced by specific performance.

Member Requirements. For CAPNet to accept business for the Program from Member and to compensate Member pursuant to Article I immediately above, the following is required: 1. Furnish current documentation of an agency license (or an agent license for a principal owner in states that do not issue agency licenses) for all states in which the Member intends to conduct business with CAPNet or refrain from seeking to place business through CAPNet under this Agreement in any state for which the requisite licensing documentation is not provided. 2. Furnish evidence of Errors & Omissions coverage with no less than $1,000,000 per claim limit. 3. Furnish a completed W-9 form. 4. Member agrees NOT to market the Program to other brokers or agents. 5. Member agrees to be responsible for all earned premiums and return commissions. Member agrees to pay promptly all moneys due from the Member’s agency. 6. Member agrees NOT to quote premiums unless the quote has been provided in writing by CAPNet. 7. Member agrees NOT to issue certificates of insurance or binders other than through the CAPNet Connect Portal. 8. Binding authority is NOT extended to the Member, and Member will under NO circumstance, contact carrier underwriters or service personnel directly. 9. Member agrees NOT to write any documents regarding the Program’s coverage without approval from CAPNet. 10. The full gross premium (or down payment check and signed finance agreement if financed through CAPNet) must be received by CAPNet prior to binding coverage. 11. The original copy of the application and any endorsements that require signature must be received by CAPNet prior to binding coverage. 12. All information amending coverage must be submitted in writing by an authorized representative of the insured. Member agrees to forward the original copy of the request to CAPNet. 13. All claims must be submitted in writing directly to the Insurance Company, and a copy must be submitted to CAPNet. 14. Member SHALL promptly notify CAPNet in writing at the address stated herein upon becoming the subject of, and/or being sanctioned, fined or reprimanded pursuant to any investigation or disciplinary proceeding by any governmental entity or self-regulatory organization. 15. Member shall pay CAPNet a Monthly Service and Support Fee of $49.00. The first Monthly Service and Support Fee will be payable upon acceptance of this Agreement, with subsequent Monthly Service and Support Fee due on the monthly anniversary of acceptance of this Agreement. ...
Member Requirements. Any Employee covered by the terms of this Agreement who fails to tender the usual initiation fee and to become a member in the time specified here, unless refused membership by the Union, or who fails to remain in good standing of the Union by the payment of the usual dues, assessments, fines or other customary financial requirements, shall upon written notice to the Company by the Union be released from employment no later than five (5) workdays after receipt of such notice by the Company. Building Alterations and/or New Ground-Up Construction: • You will inform GNP Directors and staff of any proposed alterations to your building exterior 60 days prior to the start of construction. • You will present any proposed new ground-up construction projects in pre- development stages to the GNP Board of Directors and Executive Director. Tenanting & Leasing: • Prior to formalizing leases with new tenants, you will meet with GNP Directors and/or staff to discuss new parties being introduced within the district. • You will act in good faith to encourage or require new tenants to work closely with the community and their neighbors and to apply to join as a stakeholder Member of Greektown Neighborhood Partnership. Building/Property Maintenance & Aesthetic: • You will consistently maintain a clean and safe sidewalk/pedestrian right-of-way in front of or surrounding your property/business. • Maintain appropriate signage for your building that is in good condition, adhering to City of Detroit signage and façade ordinances. • Maintain any private garbage receptacles near or on your property and ensure that staff respects community waste management equipment. • Match appropriate seasonal décor to the look and feel of the district and the surrounding properties in a timely manner. • Any signage, façade elements, seasonal décor, promotional materials, sidewalk furniture or other amenities should be positioned and maintained in a safe and secure manner so as not to create the possibility of harm to any property or persons. • Seasonal furnishings such as patios or outdoor seating should be maintained in accordance with the City of Detroit code of ordinances. • Ensure that all signage, façades, and other public displays conform with the Greektown district look and feel and maintain the historic character of the district. In accordance with 42 CFR 438.206(c), the OhioRISE Plan must address health care disparities and ensure equitable access to and the delivery of services to all members, including those with limited English proficiency and diverse cultural and ethnic backgrounds, disabilities, and regardless of gender, sexual orientation, or gender identity. ii. Equitable access" for purposes of this Agreement means meeting the standards as defined by the National Standards for Culturally and Linguistically Appropriate Services in Health and Health Care (xxxxx://xxx.xxxxxxxxxxxxxxxxxxx.xxx.xxx/clas). iii. In accordance with 42 CFR 438.206(c)(3), the OhioRISE Plan must ensure that the OhioRISE Plan, its subcontractors, and network providers provide physical access, reasonable accommodations, and accessible equipment for members with physical or behavioral health disabilities. iv. The OhioRISE Plan's health equity, including racial equity efforts must align with the requirements in Appendix C, Population Health and Quality. v. The OhioRISE Plan must participate in ODM's health equity initiatives as requested by ODM.
