Partner’s Responsibilities. 4.1. Partner will link its Partner Property to areas within the Stores using a Qualifying Link. Partner may post as many Qualifying Links to the Stores as it likes on its Partner Property, in accordance with the Program Terms and Conditions. Any link used with any of the Qualifying Links by Partner on its Partner Property may not include any call to action other than for the purchase of one or more products or services on a Store. For example, a link may not include a call to action for the reading or composing of a product review in a Store. The position, prominence and nature of links on the Partner Property shall comply with any requirements specified in the Program Terms and Conditions and/or the Partner Identity Guidelines, as may be updated from time to time, (xxxx://xxx.xxxxx.xxx/itunes/link/), but otherwise will be at Partner’s discretion. Partner must ensure that the proper graphics are used with the appropriate URLs, and that the URLs link to the correct area of the applicable Store. Partner promptly shall remove URL links to the Stores upon Partnerize's request.
4.2. Partner may not bid on Apple trademark or service mark search terms or keywords unless expressly approved by Apple or Apple-designated agency. This includes such terms utilized by any internet search engine or other directory or referral services (e.
Partner’s Responsibilities. Consistent with the terms and conditions of this Agreement, during the Term (as defined in Section 7, below), Partner will promote and make available to Partner’s Students the opportunity to take advantage of the Chamberlain Programs upon the terms and conditions of this Agreement, such promotion may include:
Partner’s Responsibilities. 2.1 Program Guide. Partner’s participation as a Partner in the Program is contingent upon Partner’s compliance with the terms of this Agreement, including the terms of the ProgramGuide.
Partner’s Responsibilities. 5.1 Partner will:
a. make available and maintain the Partner Platform, including keeping the Partner Platform up-to-date and accurate and in accordance with the Integration & Service Information in all material respects;
b. ensure the Xxxxxxx.xxx Platform and any Integration & Service Selections are “always on” on the Partner Platform and presented in such a way as to drive traffic to the Xxxxxxx.xxx Platform;
c. provide prompt and reasonable cooperation, assistance and support to Xxxxxxx.xxx in respect of Xxxxxxx.xxx’s operation and management of the Xxxxxxx.xxx Platform and the Xxxxxxx.xxx Service as they relate to the integration between Xxxxxxx.xxx and Partner; and
d. safeguard and keep the Partner Centre link and user ID confidential and safely stored and not disclose them to any person other than those who need to have access to the Partner Centre. Partner will immediately notify Xxxxxxx.xxx when it becomes aware of any suspected, threatened or actual security breach or improper use of the Partner Centre.
Partner’s Responsibilities. During the term of this Agreement, Partner agrees to perform the responsibilities and roles as described in Exhibit C – Partner Responsibilities, attached hereto and incorporated herein, as such responsibilities and roles relate to Partner’s participation in the CivicSpark program.
Partner’s Responsibilities. Each partner shall publish a call for applications for all the agreed mobility in due time and will create ranking list of candidates applying for the mobility. In this way there will be a list of selected candidates and a waiting list for which eventual drop outs can be filled in line with ranking. Partner institutions will share both lists for transparency and updating reasons. Each selected candidate shall receive an Acceptance letter (students) or Invitation letter (staff) in accordance to part F, point 2 of this agreement. After the selection procedure each receiving institution will provide information on application procedure, visa, housing, insurance to incoming students and staff. The online application for obtaining the mobility grant and financial management of the mobility will be provided by the University of Ljubljana for outbound and incoming selected candidates according to EU and national rules.
Partner’s Responsibilities. 3.1. The Partner shall not engage in any practices that may have a negative effect on the trustworthiness or reputation of VTEX, and shall not use any type of aggressive or low quality advertising, such as malware and spyware in any of its business relating to VTEX.
3.2. The Partner shall not make any false, deceiving or depreciative declarations in relation to VTEX.
3.3. The Partner shall not copy the look of the VTEX sites.
3.4. The Partner shall not disclose any materials containing sex, violence, any type of discrimination, including but not limited to discrimination relating to race, religious, gender, age and/or any illegal or reproachable activities.
3.5. The Partner shall notify VTEX of the receipt of any judicial or administrative notice, legal claim, debt or act involving VTEX, within twenty-four (24) hours as from the time the Partner becomes aware thereof.
3.6. The Partner shall readily notify VTEX of any known information that may reasonably lead to a claim, demand or liability for or against VTEX.
Partner’s Responsibilities. (a) Partner’s Content. Partner is solely responsible for the development, content, operation, maintenance, and use of Partner’s Content. Partner is solely responsible for securing all necessary rights and permissions to use Partner’s Content with the Service Offerings. Without limiting the generality of the foregoing, Partner is solely responsible for: (i) the technical operation of Partner’s Content, including ensuring that calls Partner makes to any service are compatible with then-current APIs for that service; (ii) compliance of Partner’s Content with the Acceptable Use Policy, the Data Protection Plan, any other applicable Policies, and all applicable laws, rules, regulations, ordinances and government orders; (iii) any claims relating to Partner’s Content; (iv) the operation, control, and maintenance of Partner’s equipment and assets and ensuring that Partner’s equipment and assets meet the current technical requirements for the Service Offerings; (v) the accuracy, completeness, and timeliness of Partner’s Content; and (vi) proper handling and processing of notices sent to Partner (or any of Partner’s affiliates) by any person claiming that Partner’s Content violates such person’s rights, including notices pursuant to the Digital Millennium Copyright Act.
Partner’s Responsibilities. 1. Each Partner agrees to participate in the Committee and to provide input to Committee decisions.
2. The Committee will be comprised of representatives of agencies executing this MOU.
3. Each Partner with fiber optic cable or comparable wireless communications agrees to allow the use of two available fibers in dedicated fiber paths or bandwidth in the wireless path and for the exchange of regional transportation information (data and video) with any agency that participates on the shared regional network.
4. Each Partner agrees to provide its own hardware necessary to connect to the regional network, including but not limited to cabling, switches, firewall, and work stations.
5. Each Partner with communication links to the regional network agrees to provide reasonable efforts to maintain the connection of their local communication systems with those of other Partners. "Communication link" is intended to include fiber, wireless and other approved connectivity methods.
6. Each Partner agrees to continue participation in the regional network until the Partner provides written notice to the other Partners of its termination of participation.
7. Each Partner agrees to share the cost of operating and maintaining the proposed regional network, provided, however, that the amount of each Partner’s share of any costs will be fixed by future agreement(s) and nothing in this MOU shall render a Partner liable for the payment of any costs without further action by each Partner. Each Partner will provide input into the total cost and sharing of cost to be set by future agreement(s).
8. Each Partner will be responsible for the cost of operating and maintaining its own portion of the regional network.
9. Each Partner will be responsible for the cost of establishing the connection(s) it desires and recognizes that regional funds may be available to provide Partners with a single connection to the network.
10. Each Partner agrees to develop and provide Center to Center plug-in for its respective internal system(s), including a Center to Center Data Extractor, Provider and Collector to retrieve and provide desired data with the purpose of establishing the regional exchange of information.
11. Each Partner agrees to use the regional video standard to exchange video on the regional network, should a regional video standard be developed and adopted.

Partner’s Responsibilities. All local authority areas within the North Alliance geographical area are expected to be actively involved in the Alliance, encouraged and supported by the local CLD partnership or similar body. Whilst participation in the NASG is not on a formal representational basis, members of the NASG are expected to be a member of, and/or have a dialogue with, their local CLD partnership or similar body about the work of the Alliance and to reflect the views of their sector within the Alliance. The North Alliance established the Strategic Group to drive forward its aims. It comprises public and third sector interface representatives from each of the local authority areas nominated by the local CLD Partnership. All nominated members bring significant skills, knowledge and experience from each of the three CLD strands i.e. achievement through learning for young people, achievement through learning for adults and community capacity building. Strategic group members are expected to: Participate in 4 Strategic Group meetings per annum and an annual conference, either in person or via Skype or video conference. Where this is not possible, apologies should be submitted in advance of the meeting and responses/ comments on agenda items forwarded to the Strategic Group Chair in advance of the meeting. Where non attendance at meetings extends beyond 4 meetings, Strategic Group members should consider identifying an alternative representative from their organisation/sector. Seek to reflect the views of CLD practitioners within their organisation/sector in North Alliance business. Strategic Group members have a key role in ensuring the North Alliance is kept focused on the needs of the workforce whether paid or volunteer.
