Power of Trustees. Subject to the provisions of this Declaration of Trust, the business of the Trust shall be managed by Trustees, and they shall have all powers necessary or convenient to carry out that responsibility and the purpose of the Trust. Without limiting the foregoing and to the extent not inconsistent with the 1940 Act or other applicable law, the Trustees shall have power and authority for and on behalf of the Trust and each separate Series or Class established hereunder, and the Trustees may:
(a) adopt By-Laws not inconsistent with this Declaration of Trust providing for the conduct of the business and affairs of the Trust and may amend and repeal them to the extent that such By-Laws do not reserve that right to the Shareholders;
(b) from time to time in accordance with the provisions of Section 4.3 hereof establish Series, each Series to operate as a separate and distinct investment medium and with separately defined investment objectives and policies and distinct investment purposes and to allocate assets, liabilities and expenses of the Trust to a particular Series of Shares or to apportion the same among two or more Series, provided that any liability or expense incurred by a particular Series of Shares shall be payable solely out of the assets of that Series;
(c) as they consider appropriate elect and remove officers and appoint and terminate agents and consultants and hire and terminate employees, and one or more the foregoing of whom may be a Trustee, and may provide for the compensation of all of the foregoing;
(d) appoint from their own number, and terminate, any one or more committees consisting of two or more Trustees, including without implied limitation an executive committee, which may, when the Trustees are not in session and subject to the 1940 Act, exercise some or all of the power and authority of the Trustees as the Trustees may determine;
(e) in accordance with Section 3.3, employ one or more advisers, administrators, depositories and custodians and may authorize any depository or custodian to employ subcustodians or agents and to deposit all or any part of such assets in a system or systems for the central handling of securities and debt instruments;
(f) retain transfer, dividend, accounting or shareholder servicing agents or any of the foregoing, provide for the distribution of Shares by the Trust through one or more distributors, principal underwriters or otherwise;

Power of Trustees. (a) To provide benefits of any kind whatsoever to or for the welfare of the Faculty Members which may include donations to the YUFA Foundation in the name of Faculty Members;
(b) To provide for payment to the Trustees by way of reimbursement for reasonable expenses incurred by the Trustees under specific authority granted by resolution of the Trustees; payment of proper administration costs of the Trust Fund (including employment of such actuarial, legal, professional, expert and clerical assistance as the Trustees, in their discretion, deem necessary or appropriate in the performance of their duties); expenses of collecting the University’s contributions and any other monies and property to which the Trust Fund may be entitled, expenses incurred in the purchase or lease of such premises, materials, supplies and equipment as the Trustees deem necessary for the performance of their duties hereunder; and expenses incurred in the performance of such other acts as the Trustees in their sole discretion deem necessary or appropriate to carry out their duties hereunder;
(c) To pay or provide for the payment of all real and personal property taxed, income taxes and other taxes or assessments of any kind and all kinds levied or assessed under existing or future laws upon or in respect of the Trust Fund or any money of property forming a part thereof;
(d) To make deposits and payments pursuant to any contract providing benefits contemplated herein;
(e) To keep property purchased by the Trustees registered in the name of the Trustees;
(f) To establish an office for the transaction of the business of the Trust Fund and such office to maintain books and records pertaining to the Trust Fund and its administration;
(g) To spend both interest and capital for the purpose of providing benefits to Faculty Members as provided for in this Trust Agreement;
(h) To enter into agreements with insurance companies or trust companies or investment counsel to provide investment advice and, where applicable, to commingle monies deposited with them in any pooled funds administered by such organizations;
(i) To enter into agreements with banks, trust companies or credit unions to act as custodians of the assets of the Trust Fund;

Power of Trustees. The Trustees have the power to prevent in their own name as Trustees any infringement of the provisions of this Restrictive Agreement, the power to compel the performance of any restrictions set out in this Restrictive Agreement or established by law, and the power to employ counsel. To demand , call for and realize money and other assets due or belonging to the Trust and issue receipts and vouchers for the receipt of the same. To employ necessary staffs for the management, administration and running of the Trust in general and for the institution in particular and for the purpose of carrying out the objects of the Trust on such terms as may appear proper to the trustees and to delegate and to allot to such staff from time to time such powers and duties as may be necessary in the usual course of business, To appoint from time to time and at any time to suspend , dismiss, remove or discharge any person under their control including clerks, accountants, and to re-employ them with such powers and duties and upon such either by giving one month notice or by giving one month salary as the Board of trustees shall think proper. Power of Trustees. The District Board of Trustees shall have the power to pay all normal budgeted items, pay the normal monthly bills, and pay any unbudgeted items if less than $5,000. Any non-budgeted item(s) in excess of $5,000 is only payable if approved by both the Town of Xxxxxxx Board and the Village of Barneveld Board. It is deemed essential to the operations of the District that the Trustees will rely heavily upon the judgment and advice of the Fire Chief and Rescue Chief in all matters germane to the technical requirements of the Fire Department and Rescue Squad. The District Board of Trustees may approve an officer of the Fire Department taking a leave of absence and the length of such absence. Power of Trustees. 6.1 The Trustees shall determine all questions of coverage and eligibility methods of providing or arranging for benefits, and all other related matters. They shall have full power to construe the provisions of this Agreement and the terms used herein. Any such determination and any such construction adopted by the Trustees in good faith shall be binding upon all parties hereto and the beneficiaries hereof provided it in consistent with the statutes of Kansas and the rules and regulations of the Department.
6.2 The Trustees shall have full power to enforce this Trust Agreement, including but not limited to requiring a covenant of a Member to indemnify the Trust and assume and discharge any lawful award through the levy and collection of any special assessment or other assessment, in order to satisfy such award or to establish a cash reserve out of which lawful and proper claims or awards are to be paid.
6.3 The Trustees shall cause to be established and maintained Bylaws, Operating Procedures, committee policies, and any other documents required under the Kansas Statute or Regulations of the Department.
6.4 The Trustees shall have the right to enforce the performance of all obligations herein and to institute proceedings of any nature whatsoever to enforce the same.
6.5 Title of all the monies paid into the Trust and all of the property of the Trust shall be vested in and remain exclusively in the Trust, for the benefit of the Trust and the Members and their employees, and Members shall not have any right, title or interest in or to any of the Trust or any part thereof. It is the intent of the parties hereto that the Trust shall constitute an irrevocable trust, until terminated as provided herein, for the sole and exclusive benefit of Members and their employees entitled to benefits of the Trust, and no benefits of monies or property of this Trust shall at any time be subject in any manner to anticipation, alienation, claims for alimony or marital or child support, sale transfer, assignment, pledge, encumbrance or charge, and any attempts to do so shall be void.
6.6 The Trustees shall have the power to make rules and regulations for the governance, management and administration of this Trust and to carry out the provisions of this Agreement.
