Remuneration and Reimbursement. 5.1 The Company shall pay to the Employee by way of remuneration for his services hereunder a salary at the rate (subject as hereinafter provided) of US$ 200,000 per annum. Such salary shall be inclusive of any director’s fees payable to the Employee by the Company or any Group Company and accordingly either the Employee shall pay over or procure to be paid over to the Company all such fees received or receivable by him or his remuneration hereunder shall be reduced pro tanto. The said salary shall be payable by equal monthly instalments in arrears on the day appointed by the Board for the payment of Employees’ salaries or pro rata where the Employee is only employed hereunder during part of the month. The Compensation Committee of the Company’s Board, subject to ratification by the Board, may increase or reduce the Employee’s salary on each anniversary of the date of this Agreement, but not below the amount of the Employee’s starting salary. 5.2 The Company shall also pay to the Employee all reasonable travelling hotel and other out-of-pocket expenses which are properly incurred by him in or about the performance of his duties hereunder and for which vouchers (if so required) are provided to the reasonable satisfaction of the Board. 5.3 The Company will pay for two business-class or four-economy round-trip flights to the United States per annum for the Employee. 5.4 The Employee shall be entitled to participate in: (i) the Company’s medical and Dental Plan; (ii) a suitable pension arrangement; (iii) life insurance; (iv) the Company’s Annual Bonus Plan; (v) the Company’s Long-Term Incentive Plan; (vi) Subsidize parking and gym membership; and (vii) Any other employment benefit plans generally available to Employees in the Company of the Employee’s stature, to the extent not duplicative of benefits otherwise provided by the Company. The details of these benefits, plans and schemes are set out in separate documents, copies of which will be provided on request. The benefits, plans and schemes may be changed at the Company’s discretion. 5.5 During the Employee’s appointment under this Agreement, he shall receive a housing allowance in Band B. 5.6 The Employee agrees that the Company may deduct from his pay any sums which the Employee may owe the Company including, without limitation, any overpayments or loans made to him by the Company or losses suffered by the Company as a result of the Employee’s breach of this Agreement.

Remuneration and Reimbursement. (A) Subject to Clause 5, the Executive shall receive during the continuance of the Appointment : (1) A salary at the rate of HK$2,400,000 per annum such salary to accrue on a day to day basis (including any sum receivable by the Executive as director’s fee from any company in the Group) and to be payable monthly in twelve equal installments in arrears on the last day of each calendar month provided that if the Appointment is terminated prior to the end of a calendar month, the Executive shall only be entitled to a proportionate part of such salary in respect of the period of service during the relevant month up to the date of termination. Such salary shall be adjusted on annual basis at a rate to be determined by the Board as its absolute discretion having regard to the operating results of the Group and the performance of the Executive. (2) An annual management bonus of a sum to be determined by the Board at its absolute discretion having regard to the operating results of the Group and the performance of the Executive during the relevant financial year or any proportionate part thereof in which service of the Executive pursuant to this Agreement is rendered. The management bonus shall be payable in arrears in respect of each relevant financial year within one month after the issue of the consolidated audited accounts of the Group for such financial year. The amount payable to the Executive shall be decided by majority decision of the members of the Board present in the meeting called for that purpose provided that the Executive shall abstain from voting and not be counted in the quorum in respect of the resolution regarding the amount so payable to himself. (B) The Executive shall continue to receive his salary during any period of absence on medical grounds up to a maximum of 12 weeks in any period of 12 months provided that the Executive shall if required supply the Company with medical certificates covering the period of absence. (C) The Executive shall be reimbursed all reasonable out-of-pocket expenses (including expenses of entertainment subsistence and travelling) incurred by him on the Group’s business which expenses shall be evidenced in such manner as the Board may require. (D) The Executive will be entitled to the benefits of any medical or provident fund scheme as maybe maintained by the Group from to time. (E) The Executive shall be entitled to 12 working days paid vacation each year.

Such fee may be increased annually after each year of service at a rate to be determined by the compensation committee of the Company (“Compensation Committee”) and approved by the Board in its absolute discretion. (B) The Director shall be reimbursed all reasonable out-of-pocket expenses (including expenses of entertainment, subsistence and traveling) reasonably incurred by her in the discharge of her duties an executive officer or in such positions as may be assigned from time to time at the discretion of the Company in connection with the Business which expenses shall be evidenced in such manner as the Board may require. (C) As part of the fee package, the Director may, at the determination by the Compensation Committee and with the approval of the Board, be granted equity awards entitling the Director to subscribe for shares in the Company upon such terms and conditions as are established by the Compensation Committee and the Board.

The Company has authority to make deductions from the Executive’s Base Salary to reflect all and any applicable taxes or contributions to health and/or pension plans as detailed in Schedule 1. 7.3. The Company shall pay to the Executive all reasonable travelling hotel and other out-of-pocket expenses which are properly incurred by him in or about the performance of his duties hereunder and for which receipts (if so required) are provided to the reasonable satisfaction of the Chief Executive Officer or the Chairman, as appropriate. 7.4. The Company shall pay to the Executive such other benefits, pension provisions and perquisites as may be set out in Schedule 1. 7.5. The Executive shall be eligible for an Annual Bonus as set out in Schedule 1. 7.6. The Executive shall be eligible for a Retention Bonus in accordance with the terms of Schedule 3.

The salary shall be increased at such rate to be determined from time to time by the Board by a majority in number of the members of the Board provided that the Executive shall abstain from voting and not be counted in the quorum in respect of the resolution regarding the increase of the salary in relation to the Executive; and (2) an annual management bonus ("Management bonus") of a sum calculated on a day to day basis and to be determined by the Board at its absolute discretion having regard to the operating results of the Group and the performance of the Executive provided that the aggregate sum payable to the directors of the Company shall not exceed 8.8 percent of the consolidated net profits after taxation and minority interest of the Company for that year. The management bonus shall be payable in respect of each relevant financial year within 1 month after the issue of the consolidated audited accounts of the Group for such financial year. The amount of management bonus payable to the Executive shall be decided by a majority in number of the members of the Board provided that the interested director shall abstain from voting and not be counted in the quorum in respect of the resolution regarding the amount so payable to the Executive.

In case of execution of a Single Payment Transaction in order to make a payment for the Payee, the Payer is obligated to pay PayPro a single payment as remuneration, in accordance with the schedule of fees and charges and shall be added to the amount of Payment indicated in the Payment Order. The Payer is notified of the amount of payment in the course of the procedure of placing the Payment Order, in particular by making the contents of the agreement hereto available to them, as well as in the form of a separate, explicit note included in the Payment Order form. 2. Irrespective of the provisions of the Agreement hereto, the Payer may be obligated to pay additional fees relating to the execution of the Payment pursuant to the provisions of other agreements concluded with the Payer's Provider and the Payee, as well as bear the cost of Internet data transmission arising out of the use of the Service.
