Research Team. 1. The Project Manager is obliged to select team members named in the Budget in open competitions. Following the recruitment, the team conducting R&D works under the Project should consist of at least 2 students or PhD students or young doctors who will carry out the research specified in the Application. The Project Manager shall provide the Foundation with the personal data of the above-mentioned young scientists within 14 days of the date of completion of each recruitment procedure.
Research Team. The Research Project shall only be conducted by individuals who have agreed to assign any rights they may acquire in any resulting Intellectual Property to the Company so that the Company may perform its obligations under this Agreement. The Company shall cause any such individual to assign any such Intellectual Property to the Company so that the Company may perform its obligations under this Agreement. Any person participating in the Research Project at the request of the Foundation shall assign any rights they may acquire in any resulting Intellectual Property to the Foundation.
Research Team. The Parties agree to establish a joint research and development team (hereinafter referred to as the "Team") comprising at least the Principal Investigators designated pursuant to Article 3.3 to conduct and monitor the research in accordance with the RP. Although members of the Team shall be considered as having been delegated to the Team, they shall continue to remain employed by their respective employers under their respective terms of employment.

In the course of implementation of the Project, the number of young scientists receiving personal scholarships must be consistent with the number specified in the Budget. When a young scientist being a team member loses his or her right to claim a scholarship specified in the agreement referred to in Article 6.5, the Project Manager shall be obliged to notify the Foundation thereof within 7 days.
Research Team. The Consortium Director will be Professor Xxxxxxxxx Xxxxxxxxxxxxx (hereinafter referred to as "Program Director"). Research may be conducted in collaboration with other researchers who may join the Research Team as deemed appropriate by the Program Director. It is agreed that if the Program Director becomes unwilling or unable to carry out the CRP Research Program during the Term hereof then a MEMBER shall be entitled to terminate its participation in the Consortium upon giving sixty (60) days prior written notice to CARNEGIE MELLON. If a MEMBER elects to terminate its participation in accordance with this paragraph, the portion of such MEMBER's Membership Fee paid by MEMBER for the calendar year in which MEMBER terminates participation which has not been expended by CARNEGIE MELLON and which is not needed to pay non-cancelable commitments of CARNEGIE MELLON incurred in the course of the Research Program prior to termination will be returned to the MEMBER.
Research Team. Research assistants/nurses, data entry personnel and other personnel involved in the clinical research study and granted access to REDCap projects. The Research team members report to the PI but are generally supervised by the PA.

The Parties hereby acknowledge and agree that the Research Program shall be conducted by a number of research employees of SpinCo (the “Research Team”) who will be engaged in the conduct of the Funded SpinCo Activities, including the Initial Screening Process and the Preclinical Functional Efficacy Studies with respect to Company Selected Compounds and SpinCo Selected Compounds. For clarity, in addition to the Research Team, SpinCo may have other research employees engaged in other activities on behalf of SpinCo, and any individual employee may be both part of the Research Team and also engaged in such other activities; provided that the Dedicated FTE Resource is utilized in the Research program. With respect to the period from the Closing Date through December 31, 2015 and each Calendar Year thereafter, the Parties shall agree in advance on the FTE-based funding contributions of each Party with respect to the Initial Screening Process, which contributions shall be allocated between the Parties on a [***] basis, and the Preclinical Functional Efficacy Studies, to be performed by the Research Team during the applicable period by establishing the total required number of Research Team members (measured in FTEs) for the performance of such Research Activities (the “Dedicated FTE Resource”), the number of Research Team members (measured in FTEs) to be funded by the Company for the applicable period for the conduct of Preclinical Functional Efficacy Studies with respect to Company Selected Compounds (together with [***] of the FTE-based funding for the Initial Screening Process the “Reimbursed FTE Number”) and the minimum number of Research Team members to be funded by SpinCo for the conduct of Preclinical Functional Efficacy Studies with respect to Company Selected Compounds (together with [***] of the FTE-based funding for the Initial Screening Process, the “SpinCo FTE Number”). The number of planned Preclinical Functional Efficacy Studies with respect to Company Selected Compounds and SpinCo Selected Compounds may or may not be equal, and the number of FTEs and Out-of-Pocket Expenses required for any particular Preclinical Functional Efficacy Study may vary for a given period. It is the intention of the Parties that the Reimbursed FTE Number and the SpinCo FTE Number shall represent that portion of the Dedicated FTE Resource that the Company and SpinCo, CONFIDENTIAL TREATMENT REQUESTED. INFORMATION FOR WHICH CONFIDENTIAL TREATMENT HAS BEEN REQUESTED IS OMITT...
Research Team. During the Research Term, unless earlier terminated in accordance with Section 4.1(c), Scynexis shall appoint an integrated team, consisting of a project leader, and members from the following disciplines: [*] consisting of [*] full time employee equivalents (“FTEs”); provided, however, in the event that [*], the number of [*] assigned to the Development Program may be [*] FTEs for a period of up to the [*] of the Development Program, in which event the Research Fee for such period shall be [*] accordingly.
Research Team. (A) Within thirty (30) days following signature of this Agreement by both Parties, Phytera and Lilly shall each appoint three (3) representatives to serve as members of the Research Team ("Research Team"). Phytera representatives shall consist of a biologist, molecular biologist, and a natural products chemist. Lilly representatives shall consist of a microbiologist, a chemist, and a natural products chemist. The respective individual representatives of each Party may be changed from time to time at the discretion of Phytera or Lilly upon written notification by the Party making such change to the other.
