Marketing and Support. The Company will provide training for the Distributor’s sales personnel representing the Products with respect to the promotion and use of the Products, in the scope detailed in Exhibit G and refer to the Distributor for follow-up customer inquiries and orders received by the Company from prospective customers located in the Territory.
Marketing and Support. 5.01 The Distributor shall use its best endeavours to promote the sale and lease of the Product throughout the Territory and, subject to compliance by the Company of its obligations under Section 3.01(b), to satisfy market demand therefor.
5.02 The Distributor shall be entitled, subject as provided in this Agreement, to promote and market the Product in the Territory in such manner as it may think fit, and in particular shall be entitled to resell or lease the Product to its customers at such prices as it may determine.
5.03 The Distributor shall maintain such stocks of the Product as may be necessary to meet its customers' requirements.
5.04 In connection with the promotion and marketing of the Product the Distributor shall:
(a) make clear, in all dealings with customers and prospective customers, that it is acting as distributor of the Product and not as an agent of the Company;
(b) comply with all legal requirements from time to time in force relating to the storage and sale or lease of the Product;
(c) provide to the Company copies of its up to date price lists;
(d) provide the Company on a quarterly basis with a report, in such form as the Company may reasonable require, of sales and leases of the Product which it has made in the preceding quarter and containing such other information as the Company may reasonably require;
(e) from time to time consult with the Company's representatives for the purpose of assessing the state of the market in the Territory and permit them to inspect any premises or documents used by the Distributor in connection with the sale or lease of the Product;
(f) at the request of the Company provide to it copies of such sales aids, including (without limiting the foregoing) catalogues, sales brochures and sales manuals, as relate to the Product;
(g) use in relation to the Product only such advertising, promotional and selling materials as are approved in writing by the Company, and if the Company does not reject submitted advertising within 48 (forty-eight) hours of receipt then the submitted advertising shall be deemed approved;
(h) maintain an active and suitably trained sales force;
(i) provide and maintain at their own expense an efficient installation and maintenance service on all of the Product installed in the Territory to the minimum specification as described in Schedule D, and in accordance with any additional reasonable instructions issued from time to time by the Company; and

Marketing and Support. Except as otherwise agreed by Infonet in its --------------------- sole discretion, each Class A Stockholder shall establish, within six months of the date upon which it becomes a Class A Stockholder, a local organization suitable in structure and staffing (based upon the area and customer base to be served) for the marketing and support of INFONET data communication services in its respective home country. Each such marketing and support organization shall, to the extent necessary to accomplish the objectives of this Section 2, contract --------- directly with INFONET. Thereafter, each Class A Stockholder will utilize INFONET on a non-exclusive basis in order to support, on an end-to-end basis, users of its data communications services and will further utilize INFONET on a non-exclusive basis in providing end-to-end supported international data communications services to its customers.
Marketing and Support. Distributor will be solely responsible to provide Preferred Vendor with all branding, logos and marketing materials to be utilized by Preferred Vendor in connection with Preferred Vendor’s marketing and promotion of the Products; provided, however, Preferred Vendor shall bear all expenses related to reproduction and distribution of the same:
1. Preferred Vendor shall at all times conduct its business in a manner that will reflect favorably on Manufacturer, Distributor and the Products and will not engage in any deceptive, misleading, illegal or unethical business practice.
2. Preferred Vendor will comply with all applicable laws and regulations and will not assist or participate in any violation of laws or regulations applicable to Manufacturer, Distributor or Preferred Vendor. Preferred Vendor shall be responsible for all expenses incurred by it in connection with the implementation and performance of its duties and obligations under this Agreement, including, without limitation: (i) salaries or compensation for its personnel; (ii) costs and expenses associated with establishing and maintain its sales organization and offices; and (iii) marketing, advertising and promotion expenses.
Marketing and Support. The Author agrees to respond to a reasonable number of email requests from the Publisher for additional information on and amendments to the Work for the purposes of marketing and customer support after the publication of the Work.
Marketing and Support. 12.1. Distributor shall use its best efforts to promote the sale and distribution of the Products and to provide adequate support, which efforts shall include the following:
a) Establishing and maintaining appropriate, attractive and accessible premises and facilities for the display and demonstration of Products;
b) Undertake promotional campaigns and canvas prospective users to stimulate the sales of Products;
c) Provide Company with forecasts every month of its probability requirements for the next two months for Products and accessories, such forecasts tobe in such mannerandon forms to be specified by Company and agreed to by Distributor.
d) Provide to the Company the details of all its customers who have bought the Products from the Company including but not limited to the installation data, the number and configurations of Pinglaksh Products installed.
12.2. Representatives of Company may periodically advise Distributor in methods and means best suited to promote the sale of Products throughout Territory, and at the option of the Company, provide any promotional material such as catalogues, brochure, and pamphlets. The Distributor shall act in conformity with advice rendered by the Company and use such material, if provided, to promote the sales of the Products in the Territory.
Marketing and Support. 3.1 SOBM MARKETING AND SALES EFFORTS. SOBM shall use best efforts to promote and market the Licensed Software to Retailers and Suppliers in order to maximize the licensing and distribution of the Licensed Software to Retailers and Suppliers worldwide.
Marketing and Support. During the term of this Agreement, the Parties agree to cooperate in their marketing activities and may from time to time engage in joint promotional activities. The Parties agree to work together to avoid any channel conflicts when selling their respective Applications to Customers.
Marketing and Support. Customer agrees to provide the following marketing support to Selectica: (i) adopt the Company's configuration, pricing and quoting products as global standards within GEMS, (ii) use best efforts to secure the company on General Electric's list of Global IT recommended vendors, (iii) joint press release approved by both parties announcing vendor selection upon contract execution, (iv) participate in the Company's case study sponsored by Gartner (or other analyst firm), and (v) Participate in two vendor marketing and promotional sessions to be scheduled during the second calendar quarter of 2003 and the fourth calendar quarter of 2003.
