Service Subscription. Subject to the terms of this Agreement (including, without limitation, the responsibilities, limitations and restrictions set forth in this Section 2.2 and payment of the Subscription Fees required hereunder), (i) DSI shall permit Subscriber’s Account Users to access and use the Service(s) during the Term, including access and use of all of the Content contained in or made available through the Service(s), (ii) Subscriber shall be automatically enrolled in the ITSP (“Implementation, Training and Support Program”), if applicable, and (iii) DSI shall use commercially reasonable efforts to make available to Subscriber each of the components described in the ITSP, when applicable. Subscriber agrees that it shall use the Service(s) solely for internal business purposes, and access and use of the Service(s) and the ITSP shall be limited to Account Users.
Service Subscription. 1.1. The Council does not have a statutory duty to collect garden waste. You will be required to subscribe to the garden waste collection service for which there will be a charge.
1.2. This service is for householders not businesses. All residential premises and Properties within the Borough assessed as suitable will be eligible for the service.
1.3. The Council reserves the right, in its absolute discretion, to refuse an application for the service or to withdraw the service at any time.
1.4. The Council will charge £50 per year to collect garden waste from one 240 litre bin or from 2 x 140litre bins. Additional bins will cost £25 per year for a 140litre bin and £35 for a 240litre bin.
1.5. Full payment, including the payment for any additional bins will be taken at the point of subscription and before the service is provided.

1.7. The Council normally reviews its charges annually but reserves the right to vary charges with reasonable notice at any time.
1.8. The applicant may terminate this agreement by giving one month’s written notice. No refunds will be given.

Appendix 1 sets forth additional terms relating to Instinct Software and is incorporated by reference and made a part of the Agreement. ● Trimble Instinct Software, including Trimble App Manager and Media Manager ● ELD, eDVIR, Performix, and standard State Miles Reporting core telematics services ● Trimble-Provided Hardware (if specified on Order Form) ● OER and standard reporting ● Management Portal ● API and Open Interface access You may only use the features and functionality available through your purchased Subscription. Additional terms apply to API usage. Additional features and functionality may require you to purchase add-on Subscriptions. If specified on an Order Form as included with your Subscriptions, we will provide you the allotted number of hours of implementation services specified on the Order Form which will be applied towards implementation services incurred under implementation service SOWs during the initial Subscription term until fully utilized. Allotted hours may not be applied against evening or weekend hours. Implementation services are provided based on resource availability. Implementation services hours incurred in excess of your included allotment will be provided on a time and materials basis at our then-current implementation services rates applicable to all clients generally, and you agree to pay such implementation service fees. You will not receive a credit for unused allotted hours.

Access to the Service may require the Customer to download and install certain software applications (the “Client Software”) which is covered under a License (below). The License may also be presented to anyone downloading the Client Software and for the avoidance of doubt, in the event of any conflict between the License contained in this Agreement and any license accepted to download the Client Software, the License in this Agreement shall prevail.

The License may also be presented to anyone downloading the Client Software and for the avoidance of doubt, in the event of any conflict between the License contained in this Agreement and any license accepted to download the Client Software, the License in this Agreement shall prevail.
1.2 Except for Client Software, the service and the software underlying or used to deliver the Service will be hosted on servers under control or direction of Cradlepoint or its third party providers. The Service is subject to modification from time to time at Cradlepoint’s sole discretion, for any purpose deemed appropriate by Cradlepoint. Cradlepoint will use reasonable efforts to give Customer prior written notice of any material modifications.
1.3 For paid Customer accounts in good standing, Cradlepoint will undertake commercially reasonable efforts to make the Service available in accordance with the Customer Service Level Agreement available at xxx.Xxxxxxxxxxx.xxx/XXX or as otherwise documented and made available by Cradlepoint to Customer upon request, except for Cradlepoint’s right to suspend Customer’s access to the Service: (i) for scheduled or emergency maintenance, (ii) in the event Customer is in breach of this Agreement, including failure to pay any amounts due, or

1.3 For paid Customer accounts or accounts with Services entitlements and in good standing, IPTL will undertake commercially reasonable efforts to make the Service available in accordance with the Customer Service Level Agreement available at xxxxx://xxxxxxxxxx.xxx/portalaup as otherwise documented and made available by IPTL to Customer upon request, except for IPTL's right to suspend Customer's access to the Service: (i) for scheduled or emergency maintenance, (ii) in the event Customer is in breach of this Agreement, including failure to pay any amounts due or expiration/removal of entitlements, or (iii) as a result of circumstances beyond IPTL's reasonable control (including, but not limited to: acts of God, acts of government, flood, fire, earthquake, civil unrest, acts of terror, strike or other labor problem, hosting provider failure or delay, issues related to a third party, or denial of service attacks) ("Force Majeure").

1.5. Additional bins purchased for £20 will have the same subscription end date as the main bin for which £35 was charged. All bins at a property will fall for renewal at the same time.
1.6. Full payment, including the payment for any additional bins will be taken at the point of subscription and before the service is provided.
1.7. Payment can be made by credit or debit card as part of the subscription application process. 1.10. The subscription period will cover a rolling 12 month period from the receipt of cleared payment.
1.11. If you subscribe to the service and you move house within the Borough your subscription will continue at your new address. You will be sent a new sticker for the bins at your new property (there will be no extra charge for this). Collections will also continue to be made at the house you moved out of until the period of that subscription comes to an end. Both subscriptions will run for the same period that the original subscription was taken out for.
1.12. If you subscribe to the service and move home to a new property outside of the Borough you will not be able to receive any refund on the subscription fee you paid. Collections will continue to be made at the house you moved out of until that subscription comes to an end.
