STATEMENT OF WORK PROCESS. 2.1 Each Statement of Work shall be agreed in the following manner:
2.1.1 the Customer shall ask Xxxxxxx Associates to provide any or all of the Services and/or Software and provide Xxxxxxx Associates with as much information as Xxxxxxx Associates reasonably requests in order to prepare a draft Statement of Work for the Services and/or Software requested;
2.1.2 following receipt of the information requested from the Customer, Xxxxxxx Associates shall, as soon as reasonably practicable either:
(a) notify the Customer that it declines to provide the requested Services and/or Software; or
(b) provide the Customer with a draft Statement of Work.
2.1.3 if Xxxxxxx Associates provides the Customer with a draft Statement of Work pursuant to Clause 2.1.2(b), Xxxxxxx Associates and the Customer shall discuss and agree that draft Statement of Work; and
2.1.4 both parties shall sign the draft Statement of Work when it is agreed.
2.2 A Statement of Work shall be deemed to be accepted on the earlier of:
2.2.1 the parties signing the draft Statement of Work in accordance with Clause 2.1.4;
2.2.2 the Customer issuing a purchase order or other written acceptance of the Statement of Work; and
2.2.3 Xxxxxxx Associates commencing the supply of the Services or doing any act consistent with performing the Statement of Work, at which point a contract shall come into existence.
2.3 Once a Statement of Work has been accepted in accordance with Clause 2.2, no amendment shall be made to it except in accordance Clause 33 (Variation).
2.4 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.
STATEMENT OF WORK PROCESS. 2.1. These Terms and Conditions govern the overall relationship of the parties in relation to the Products/Services provided by the Company to the Buyer and sets out:
a) In this clause 2, the procedure for the Buyer to request the provision of Products/Services from the Company under separate Statements of Work; and
b) In Schedule 1, the template form of Statement of Work to be entered into by the Company and the Buyer.
2.2. The Buyer shall be entitled from time to time to request in writing the provision of any Products/Services from the Company.
2.3. Within 10 Business Days of receipt of a written request from the Buyer, the Company shall either:
a) inform the Buyer that the Company is not able to provide the requested Products/Services; or
b) complete a draft Statement of Work containing the information referred to in the template Statement of Work at Schedule 1 and shall submit the draft Statement of Work to the Buyer for their written approval.
2.4. A Statement of Work shall not enter into force, be legally binding or have any other effect unless:
a) the Statement of Work contains the information (or information substantially similar) as required by the template Statement of Work at Schedule 1, unless otherwise agreed between the parties;
b) the Statement of Work has been signed by the authorised representatives of both parties; and
c) as at the date the Statement of Work is signed, these Terms and Conditions have not terminated.
2.5. Each Statement of Work:
a) shall be entered into by both the Company and the Buyer;
b) forms a separate contract between the Company and the Buyer;
c) shall incorporate the terms of these Terms and Conditions.
STATEMENT OF WORK PROCESS. This Contract is executed specifically for the Contractor’s participation to provide professional services in one or more of the categories identified in Section 3 of this Contract. The Contractor agrees to provide, when requested by the State, services subject to and consistent with all requirements set forth within this Contract. Contractor services shall only be performed if and to the extent required in a Statement of Work (SOW) Agreement executed by the State of Vermont and the Contractor. Services performed under an SOW Agreement shall be subject to and governed by the terms and conditions of this Contract. Generally, in order to execute an SOW Agreement to perform services, the State will issue an SOW Request for Proposal (RFP) to the Contractor and other staff augmentation vendors to select the Contractor that is best suited to meet the State’s business need. If selected, the State and Contractor will execute an SOW Agreement specifying the terms of the work as detailed below. The Contractor shall be responsible for achieving on budget/on time/within scope completion of the executed SOW Agreement. The process for procuring an SOW Agreement neither invites nor allows re-negotiation of the terms and conditions of this Contract. Each and any SOW Agreement is executed subject to the terms and conditions of this Contract. All SOW Agreements valued at $25,000 or more per year shall be submitted to the State of Vermont Office of the Attorney General for a determination in accordance with 3 V.S.A. § 342 that such engagement is not contrary to the spirit and intent of the classification plan and merit system principles and standards provided by Chapter 13 of Title 3 of the Vermont Statutes. Certification when required shall be indicated on the SOW Agreement. SOW Agreements shall specify, at a minimum:
a. The detailed description of the service(s) necessary to meet the State’s business requirements, consistent with any one or more of the categories of service authorized by this Contract;
b. The place and time period for performance;
c. The Contractor’s roles and rates;
d. Key Personnel;
e. The name and contact information for both the State and Contractor’s point of contact for the SOW Agreement;
f. The maximum amount payable under the SOW Agreement;
g. A unique identifier for the SOW Agreement; and
h. The unique identifier number assigned to this Contract.
STATEMENT OF WORK PROCESS. Any work Leepfrog determines is beyond and/or outside the scope of Ongoing/Subscription Support Services, may be available with a Statement of Work which may include additional scope, schedule and cost. The CLHelp representative will record Licensee/Subscriber’s Issue and request and will forward this information to the appropriate Leepfrog resource who will develop a SOW for Licensee/Subscriber review and signature.

2.1.3 if Xxxxxxx Associates provides the Customer with a draft Statement of Work pursuant to Clause 2.2.1 (b), Xxxxxxx Associates and the Customer shall discuss and agree that draft Statement of Work; and
2.1.4 both parties shall sign the draft Statement of Work when it is agreed.
2.2 Once a Statement of Work has been agreed and signed in accordance with Clause 2.1.4, no amendment shall be made to it except in accordance Clause Error! Reference source not found. (Variation).
2.3 Each Statement of Work shall be part of this agreement and shall not form a separate contract to it.
STATEMENT OF WORK PROCESS. 2.1 The Customer shall be entitled from time to time to request in writing the provision of any or all of the Available Services from IMI.
2.2 Within 20 Business Days of receipt of a written request from the Customer IMI shall:
(a) either notify the Customer that it is not able to provide the requested Available Services; or
(b) complete a draft Statement of Work containing the information referred to in Schedule 1 together with such other information and terms and conditions as may be relevant in respect of the Applicable Services requested by the Customer and shall submit it to the Customer for its written approval.
2.3 A Statement of Work shall not enter into force, and be legally binding nor have any other effect unless:
(a) the Statement of Work has been signed by the authorised representatives of both parties; and
(b) as at the date the Statement of Work is signed, this MSA has not terminated.
2.4 Each Statement of Work shall be deemed to include the terms of this MSA. In the event of any conflict between the terms of the MSA and an individual Statement of Work the terms of that Statement of Work shall prevail as between it and this MSA but not as between any other Statement of Work and this MSA. In the event of any conflict between the terms of any Statement of Work the terms of the most recent Statement of Work shall prevail.
2.5 Any amendment to this MSA agreed by the Customer and IMI in accordance with clause 13.5 shall be deemed to apply to all Statement of Works unless otherwise agreed.
2.6 Each Statement of Work shall come into force on the date it is executed by its parties in accordance with this clause 2 or such later date as is specified in the Service Contract and shall continue, unless terminated earlier in accordance with this MSA until the expiry of the term set out in the Service Contract.
STATEMENT OF WORK PROCESS. 2.1 This Framework Agreement governs the overall relationship of the Parties in relation to the Services provided by CloudRock to the Client, and sets out:
(a) in this clause 2, the procedure for the Client to request the provision of Services from CloudRock under separate Statement of Works; and
(b) in Schedule 2, the template statement of work, to be entered into by CloudRock and Client.
(a) the Statement of Work has been signed by the authorised representatives of both Parties to it; and
(b) as at the date the Statement of Work is signed, this Framework Agreement has not been terminated.
STATEMENT OF WORK PROCESS. 3.1 The Customer and the Customer Affiliates shall be entitled from time to time to request in writing the provision of any or all of the Available Services from Crimson.
3.2 Within 10 Business Days of receipt of a written request from a Customer or Customer Affiliate, Crimson shall either:
3.2.1 notify the Customer or Customer Affiliate that it is not able to provide the requested Available Services; or
3.2.2 complete and submit the draft Statement of Work for the relevant Services to the Customer or Customer Affiliate (as applicable) for its written approval.
3.3 A Statement of Work shall not enter into force, be legally binding or have any other effect unless:
3.3.1 the Statement of Work has been signed by the authorised representatives of both parties to it; and
3.3.2 as at the date the Statement of Work is signed, the Agreement has not been terminated.
3.4 Each Statement of Work:
3.4.1 shall be entered into by the Customer or Customer Affiliate and Crimson;
3.4.2 shall adopt the terms of the Agreement;
3.4.3 shall specify the Service Specific Terms applicable; and
3.4.4 forms a separate contract between its signatories.
3.5 Any amendments to the Agreement agreed by the Customer and Crimson in accordance with clause 23 (Variation) shall be deemed to apply to all future Statement of Works entered into after the date of such amendment.
STATEMENT OF WORK PROCESS. 4.1.1. Before any contact tracing services may commence or payments are made under this Contract, DAS and Contractor must agree to a SOW. Said SOW must be in writing, within the scope of the this Contract, and must contain, at a minimum:
4.1.1.1. A description of the contact tracing services, including required activities;
4.1.1.2. Training requirements;
4.1.1.3. Information technology requirements;
4.1.1.4. Applicable DAS responsibilities; and
4.1.1.5. Any other applicable requirements.
4.1.2. All SOWs are subject to the terms of this Contract. If there exists any conflict between a SOW’s terms and the terms of this Contract, this Contract shall govern.
