TERMINATION AND PAYMENTS. 2.1 The Employee's employment with the Company and each Group Company will terminate on the Termination Date, unless terminated before the Termination Date for Cause (provided that upon and from the date hereof, subsection (a) of the definition of Cause shall not be applicable) in accordance with the Employment Agreement. The termination of employment is due to the resignation of the Employee for good reason in connection with a workplace relocation request, and notice to terminate the Employment Agreement is hereby given by the Employee as at the date of this agreement. In consideration of the payments and benefits to be provided to the Employee pursuant to this agreement, the Employee and the Company hereby agree to the terms and conditions of this agreement.
