Variation of Services. If the Customer wishes OptiComm to vary an existing Service under this Agreement, it will submit to OptiComm a Service Request setting out:
(a) the Service to be varied;
(b) the address of the existing Service;
(c) the existing Service identification number;
(d) the date by which the variation is to take effect; and
(e) any other relevant information.
Variation of Services. 11.1 HBT shall be entitled, upon giving not less than thirty (30) days’ notice to the Customer where practical, to make variations and additions to the Services and these Terms and Conditions from time to time (acting reasonably) including:-
11.1.1 to improve or add to the Services;
11.1.2 to pass through any change made by any Third Party Service Provider to any Third Party Services;
11.1.3 in order to comply with any law or legal obligation (whether under common law, statute, tort or otherwise), or any change to any law or legal obligation;
11.1.4 in order to comply with any final order, provisional order, direction, notice, specification, designation or consent made by the Office of Communications; and/or
11.1.5 in order to maintain the integrity or security of the Services and/or any part of the systems use or to provide the Services. For the avoidance of doubt, HBT shall not be obliged to give any greater notice of any changes by a Third Party Service Provider than the Third Party Service Provider gives to HBT.
11.2 HBT may at any time change the Services if it needs to do so to comply with any applicable safety or other statutory requirements or where the change does not materially detract from the quality or performance of the Services.
11.3 In relation to any Third Party Services, including any elements which are sub-contracted to or supplied by third parties, and any third party premises that may host any systems used to provide the Services, the following terms will apply:
11.3.1 HBT shall use all reasonable endeavours to monitor and supervise the supply of such Third Party Services, but, HBT shall not otherwise be responsible for or liable for any malfunction, failure, non-operation, default, or non-availability of such Third Party Services, unless due to HBT's negligence or default;
11.3.2 if the third party changes its specifications for the Third Party Services after the date of this Contract, or that third party replaces the same with a new version, or ceases to supply the same, or HBT decides to replace the same, HBT shall be entitled (without prejudice to any of its other rights and remedies) to substitute for the Third Party Services an alternative which shall as far as is reasonably possible provide substantially the same functionality, and to make a reasonable resulting variation to the Charges and other terms of this Contract. HBT would as far as practicable pre-plan this with the Customer;
11.3.3 if the third party increases its charg...
Variation of Services. From time to time we may improve, or otherwise vary or alter, the Services, including the manner of their performance or delivery, but in any case so as not to alter the fundamental or basic nature of those Services. You agree that any variation or alteration of the Services in accordance with this clause does not entitle you to any reimbursement, discount or reduction in the fees payable for the Services.
Variation of Services. The Contract will not be varied unless such variation is agreed by the duly authorised representatives of the parties.
Variation of Services. (a) The Parties may agree to vary the Services and if applicable the Fees payable in respect of the varied Services, at any time by varying the Client Agreement in writing. Unless otherwise agreed, such changes will take effect at the start of the next Billing Period.
(b) Subject always to clauses 6.2(c) 6.2(d) and 6.4, either Party may vary the Services after the end of the Minimum Period or fixed price contract by giving to the other 30 days’ notice of such change (Service Change Notice). Where Powernet gives such notice it must include any applicable change in Fees in the Service Change Notice. Where the Client gives the Service Change Notice Powernet must advise the Client of any change in Fees consequent upon the change in Services within 14 days of receiving the Client’s Service Change Notice. Unless otherwise agreed, such changes will take effect at the start of the next Billing Period after the expiry of the Service Change Notice.
(c) The other Party may decline to accept the change of Services or the change in Fees notified under clause 6.2(b), by giving notice to that effect prior to the start of the next Billing Period after the expiry of the Service Change Notice, whereupon the Agreement will terminate in respect of the Services the subject of the Service Change Notice.
(d) Powernet may amend the scope and/or particulars of Services that are Standard Services by amending the description of the Standard Services published on the Website.
Variation of Services. The Partnership acknowledges that the Trust Manager may make a Variation to the Partnership Services by notice in writing from time to time following request from the Customer or Rivtow.
Variation of Services. If either of us is unable to perform an obligation under this Agreement for 30 days or more because of an Uncontrollable Event, both of us must seek to agree to what extent, if any, the affected Services can be varied and/or continued by you.
Variation of Services. 2.1 The Authority reserves the right by notice to the Contractor to modify the quality or quantity of the Services and any alteration to the Contract price or the completion date arising by reason of such modification will be agreed between the parties, each acting reasonably and subject to the rates set out in the Purchase Order, if any. Failing agreement, the matter will be determined in accordance with the provisions of Clause 25.
2.2 The Contract will not be varied unless such variation is agreed by the duly authorized representatives of the parties.
Variation of Services. Backpack Exchange may determine not to make the Services, in whole or in part, available in every market, either in its sole discretion or due to legal or regulatory requirements. In addition, Backpack Exchange may determine not to make the Services, in whole or in part, available to you, depending on your location. If you travel to a Restricted Location, our Platform or Services may not be available and your access to the Platform and/or the Services may be blocked. You acknowledge that this may impact your ability to trade on the Platform and/or monitor any existing Orders or open positions or otherwise use the Services. You must not attempt in any way to circumvent any such restriction, including by use of any virtual private network to modify your internet protocol address.
Variation of Services. Global Prime may vary from time to time the services it will provide Client and the charges associated with those services by prior notice in writing. There is no minimum fixed period of notice of any variation. Global Prime will try to give prior notice which is reasonable in the circumstances according to the nature of the variation. No variation will have retrospective effect unless agreed by Client. If Client does not agree to the variations, Global Prime will give reasonable assistance to Client to terminate the Account however Global Prime is not obliged to compensate Client for any loss or damage suffered or incurred by that termination.
