Examples of Purchaser Review Period in a sentence
If Purchaser fails to deliver the Closing Date Balance Sheet to Seller during the extended Purchaser Review Period, as extended, then Purchaser shall be deemed to have waived its rights to the Purchase Price Adjustment, and Seller may submit a Closing Date Balance Sheet to Purchaser if it would be entitled to the Purchaser Adjustment Payment thereunder.
If Purchaser does not accept such Purchaser Burdensome Condition(s) or if Seller has not received written confirmation from Purchaser that it will accept the Purchaser Burdensome Condition(s) by the expiration of the Purchaser Review Period, then either Party may terminate this Agreement and the transactions contemplated by this Agreement may be abandoned.
Purchaser shall, within fourteen (14) days of receipt of the Completion Notice, either reject the Completion Notice specifying, in good faith, the reasons for rejection or give AT&T written notice of acceptance (the period from the date of Purchaser's receipt of the Completion Notice to the date of AT&T's receipt of Purchaser's notice of rejection or acceptance being referred to herein as the "Purchaser Review Period").
If Purchaser disputes the Sellers Adjustment Statement, then Purchaser shall deliver to Sellers within the Purchaser Review Period a statement setting forth in reasonable detail Purchaser’s reasons for such dispute (the “Purchaser Adjustment Statement”).
Purchaser and Seller acknowledge and agree that the Purchaser Review Period Termination Right is hereby terminated and shall be of no further force or effect.
If such written notice is delivered to the Seller on or prior to the expiration of the Purchaser Review Period, this Agreement shall automatically terminate.
In the event the Purchaser fails to deliver the Purchaser NJ Report prior to the expiration of the Purchaser Review Period, the Likely NJ Costs set forth in the Company NJ Report shall be deemed to be the "Agreed NJ Costs" for the purposes hereunder.
Prior to the end of the Purchaser Review Period, the Purchaser shall deliver to the Company either (i) its written agreement to the Likely NJ Costs set forth in the Company NJ Report or (ii) a separate written estimate of the Likely NJ Costs determined by the Purchaser's environmental consultants (the "Purchaser NJ Consultant") (such submission by the Purchaser, the "Purchaser NJ Report").
If Purchaser does not deliver a Purchaser Objection Notice within the Purchaser Review Period, Purchaser shall be deemed to agree in all respects with the Closing Statements and the items and amounts reflected thereon shall be final and binding upon Purchaser and Seller.
Seller shall provide Purchaser with the Customer Information for a period (the “Purchaser Review Period”) ending at the close of business on April 10, 2002, or such later date as the Purchaser and Seller may agree in writing, and the Purchaser shall be entitled during the Purchaser Review Period to contact the customers for the purposes of verifying the Customer Information.
