This vendor agreement (the “Agreement”) must be signed before a Vendor may participate in the Official North Carolina Fall Liver Mush Festival (the “Event”), an event of Cleveland County Tourism (the “County”). In most cases you will be moved to a new contract each year, however, we may decide not to renew the contract as of the renewal date if: (1) we decide not to renew all contracts issued on this form, with a new contract at the same metal level with a similar type and level of benefits, to residents of the state where you then live; (2) we withdraw from the Service Area or reach demonstrated capacity in a Service Area in whole or in part; or (3) there is fraud or an intentional material misrepresentation made by or with the knowledge of a member in filing a claim for covered services. In addition to the above, this guarantee for continuity of coverage shall not prevent us from cancelling or non-renewing this contract in the following events: (1) non-payment of premium; (2) a member moves outside the Service Area; (3) a member fails to pay any deductible or copayment amount owed to us and not the provider of services; (4) a member is found to be in material breach of this contract; or (5) a change in federal or state law, no longer permits the continued offering of such coverage, such as CMS guidance related to individuals who are Medicare eligible Rate changes are effective on a member’s annual renewal date and will be based on each member’s attained age, family structure, geographic region, tobacco usage and benefit plan at the time of renewal. We have the right to change premiums. We will notify the member in writing at least 45 days prior to the renewal date of any change in premium rates. If we discontinue offering and decide not to renew all policies issued on this form, with the same type and level of benefits, for all residents of the state where you reside, we will provide a written notice to you at least 90 days prior to the date that we discontinue coverage....

In consideration of payment of all premiums when due and receipt of accurate and complete application information, Blue Cross will provide coverage to those eligible covered persons enrolled by the contractholder for dental benefits in accordance with the terms and conditions of this contract. AGREEMENT AND CONSIDERATION. Upon and subject to the terms and conditions of this Agreement and the Pan Canadian Shareholder Consent Agreement, Pan Canadian agrees to use all reasonable commercial efforts to cause each of the Pan Canadian Shareholders to sell all of their ownership interest in, and to, the Pan Canadian Shares owned by such Pan Canadian Shareholders as set forth and described in Schedule A, to the Issuer free and clear of all Encumbrances and the Issuer agrees to purchase all of the Pan Canadian Shares in consideration for the Issuer Consideration Shares set forth in Schedule A.
