AITIn accordance with the District’s agreement with FAU regarding participation in AIT (Accelerated Induction into Teaching) it is agreed that participation as a peer teacher to an AIT teacher is strictly voluntary. FAU mentor teachers and/or AIT teachers are required to receive permission of a regular classroom teacher prior to observation of that teacher’s classroom.
AIT. The main interest of AIT is to exploit the project knowledge, follow-up co-financed research activities and also follow-up contract research and revenues based on licensing agreements. Within Miraculous-Life, AIT will establish and extend basic components and modules for AAL platforms (especially in the domain of service integration) and will exploit them either on a license fee based model or by applying an open source licensing model to ensure wide usage of the outcomes. The key segments for these exploitation channels are further R&D institutions active in smart home integration and solution providers looking for tools and modules facilitating their work. AIT will further use its strong links with other projects and activities related to AAL service platforms, like the universAAL and AALuis projects and the related Ambient Assisted Living Open Association (AALOA), to introduce Miraculous-Life concepts and outcomes into their running actions. Moreover, the developed safety services, making use of the XXXXX (HOMe Event Recognition) middleware platform, will be fed into Austrian “Testregion” projects (where existing and newly set-up smart homes for elderly will be equipped and powered by AAL solutions by AIT) and other emerging AAL pilot and demonstration sites in Austria. AIT has been leading a regional pilot called “moduLAAr – Xxxxxxxx Wohnen”, where 50 flats will be equipped in close collaboration with the powerful care organization Arbeitersamariterbund and is involved in a second “Testregion” called WestAAL in the western part of Austria. Furthermore the XXXXX platform and related safety services will be introduced AAL solution providers in Austria. Other modules developed by AIT within Miraculous-Life will also be offered to selected solution providers. One of the outcomes of AIT’s “Testregion” activities is an Android App with a variety of services for older adults presented on a tablet computer (current negotiations for this App with a major Austrian AAL solution provider and system integrator are ongoing). AIT-developed modules could be integrated in this App in the future (Windows/Sleeping Reminder would require the integration of XXXXX). AIT. AIT as Austria’s largest extra-university research organisation primarily acts as a technology and innovation provider for national and international partners from industry and commerce. In this regard our primary focus is to partner with system providers and facilitate a supply chain for the final product. Independent from the overall Miraculous-Life business case, it is AIT’s additional intention to use developed technologies/modules and license them to AAL solution and system providers in the described way. Besides working as integration WP leader on the overall integrated Miraculous-Life system AIT has especially worked on two technologies/modules that can be used in a range of products in the care technology market and have the potential to be exploited separately: a) Calling/SMS Service b) Windows/Sleeping Reminder based on XXXXX (comfort and safety services) a) Calling/SMS Service b) Windows/Sleeping Reminder based on XXXXX (safety services)

AIT. (a) Except as provided below, neither this Agreement nor the Facility may be assigned, directly or indirectly, in whole or in part by either Party without the prior written consent of the other Party; provided, however, that Buyer may pledge, encumber, or assign this Agreement, in whole or in part, to any Person (including any Affiliate of Buyer) without any restriction; provided, further, however, that any such assignment by Buyer (other than an assignment to its Affiliate or after which assignment Buyer remains liable hereunder) that gives Seller reasonable grounds for financial insecurity about the ability of Xxxxx's assignee or successor to perform the obligations of Buyer hereunder shall be subject to the approval of Seller, which shall not be unreasonably withheld.   • Investment Management If and to the extent requested by the Advisor, the Sub-Advisor shall, subject to the supervision of the Advisor, manage all or a portion of the investments of the Portfolio in accordance with the investment objective, policies and limitations provided in the Portfolio's Prospectus or other governing instruments, as amended from time to time, the Investment Company Act of 1940 (the "1940 Act") and rules thereunder, as amended from time to time, and such other limitations as the Trust or Advisor may impose with respect to the Portfolio by notice to the Sub-Advisor. With respect to the portion of the investments of the Portfolio under its management, the Sub-Advisor is authorized to make investment decisions on behalf of the Portfolio with regard to any stock, bond, other security or investment instrument, and to place orders for the purchase and sale of such securities through such broker-dealers as the Sub-Advisor may select.   • Asset Management Supplier will: i) maintain an asset inventory of all media and equipment where Accenture Data is stored. Access to such media and equipment will be restricted to authorized Personnel; ii) classify Accenture Data so that it is properly identified and access to it is appropriately restricted; iii) maintain an acceptable use policy with restrictions on printing Accenture Data and procedures for appropriately disposing of printed materials that contain Accenture Data when such data is no longer needed under the Agreement; iv) maintain an appropriate approval process whereby Supplier’s approval is required prior to its Personnel storing Accenture Data on portable devices, remotely accessing Accenture Data, or processing such data outside of Supplier facilities. If remote access is approved, Personnel will use multi-factor authentication, which may include the use of smart cards with certificates, One Time Password (OTP) tokens, and biometrics.

  • Network Management 56.1 CLEC and CenturyLink will exchange appropriate information (e.g., network information, maintenance contact numbers, escalation procedures, and information required to comply with requirements of law enforcement and national security agencies) for network management purposes. In addition, the Parties will apply sound network management principles to alleviate or to prevent traffic congestion and to minimize fraud associated with third number billed calls, calling card calls, and other services related to this Agreement. 56.2 The Parties will employ characteristics and methods of operation that will not interfere with or impair the Parties’ networks, or the network of any third parties or Affiliated companies, connected with or involved directly in the network or facilities of CenturyLink. 56.3 CLEC shall not interfere with or impair service over any circuits, facilities or equipment of CenturyLink, its Affiliated companies, or its connecting and concurring carriers. 56.4 If CLEC causes any impairment or interference, CenturyLink shall promptly notify CLEC of the nature and location of the problem and that, unless promptly rectified, a temporary discontinuance of the use of any circuit, facility or equipment may be required. The Parties agree to work together to attempt to promptly resolve the impairment or interference. If CLEC is unable to promptly remedy, then CenturyLink may, at its option, temporarily discontinue the use of the affected circuit, facility or equipment until the impairment is remedied. 56.5 Any violation of Applicable Law or regulation regarding the invasion of privacy of any communications carried over CenturyLink’s facilities, or that creates hazards to the employees of CenturyLink or to the public, is also considered an impairment of service. 56.6 CenturyLink shall give advanced notice to CLEC of all non-scheduled maintenance or other planned network activities to be performed by CenturyLink on any Network Element, including any hardware, equipment, software, or system, providing service functionality of which CLEC has advised CenturyLink may potentially impact CLEC End Users. 56.7 The Parties shall provide notice of network changes and upgrades in accordance with 47 C.F.R. §§51.325 through 51.335. CenturyLink may discontinue any Interconnection arrangement, Telecommunications Service, or Network Element provided or required hereunder due to network changes or upgrades after providing CLEC notice as required by this Section. CenturyLink agrees to cooperate with CLEC and/or the appropriate regulatory body in any transition resulting from such discontinuation of service and to minimize the impact to customers which may result from such discontinuance of service.

  • Contract Management Contractor shall report to the Health and Human Services Agency Director or his or her designee who will review the activities and performance of the Contractor and administer this Contract.

  • Exit Management 58.1. The Service Provider shall perform its relevant Exit Management obligations as part of the Contract whether applicable on either the expiry or early termination of this Contract. 58.2. The Service Provider agrees that if it breaches (or attempts or threatens to breach) its obligation to provide Exit Management, the Purchaser and their respective customers and stakeholders shall be irreparably harmed. In such circumstance, the Service Provider agrees that the Purchaser may proceed directly to court notwithstanding anything to the contrary in the dispute resolution procedure outlined in Clause 53 (Dispute Resolution). If a court of competent jurisdiction finds that the Service Provider has breached (or attempted or threatened to breach) any such obligation, the Service Provider agrees that without any additional findings of irreparable injury, or other conditions to interdict, the Service Provider shall not oppose the entry of an appropriate order compelling performance by the Service Provider and restraining the Service Provider from any further breaches or attempted or threatened breaches of its obligations in relation to Exit Management. 58.3. A draft of the Exit Plan shall be produced by the Service Provider and supplied to the Purchaser within [three (3) months] after the Commencement Date and shall include or address the matters specified in Clause 59.3. The Purchaser shall provide to the Service Provider the Purchaser’s comments on the plan within one (1) month of the Purchaser’s receipt of the plan. The Service Provider shall take into account the comments and suggestions of the Purchaser and shall issue the final version of the Exit Plan to the Purchaser within ten (10) Working Days of receipt of the Authority’s comments. 58.4. The Service Provider shall throughout the period of the Contract review, maintain and continuously update the Exit Plan which shall include: 58.4.1. the activities required to enable the Purchaser to re-tender the Purchaser Requirements and/or the provision of the Services; 58.4.2. the activities necessary to support any Replacement Service Provider or the Purchaser in carrying out any necessary due diligence relating to all or part of the Services; 58.4.3. details of the Exit Management to be provided by the Service Provider prior to the Exit Management Date; 58.4.4. support for the Replacement Service Provider or the Purchaser during their preparation of any relevant plan for the transition of the System to the Replacement Service Provider or Purchaser, including prior to and during such transition period; 58.4.5. the maintenance of a ‘business as usual’ environment for the Purchaser during the period when Exit Management obligations are applicable; and 58.4.6. all other necessary activities to support the preparation for, and execution of, a smooth and orderly Exit Management and transfer of all or part of the Services to either a Replacement Service Provider or the Purchaser. 58.5. No amendment of the Exit Plan shall be made without prior written consent of the Purchaser.

  • Postoupení Each of CRO and Xxxxxxx shall have the right to assign this Agreement and shall use reasonable efforts to provide prior written notice thereof to Institution. Neither Institution nor Principal Investigator shall assign its rights or duties under this Agreement to another without prior written consent of XXX and Xxxxxxx. Any assignment in violation of this Section 16 will be null and void. Subject to the foregoing, this Agreement shall bind and inure to the benefit of the respective Parties and their successors and assigns. Jakékoliv postoupení v rozporu s tímto bodem 16 bude neplatné. Na základě výše uvedeného bude tato smlouva závazná a prospěšná pro příslušné smluvní strany a jejich nástupce a postupníky.
