Consumables and Spare Parts. Client shall arrange and pay for the electricity delivered through the permanent and temporary plant electrical system, natural gas fuel, raw water, resins, chemicals, enzymes, yeast and feed stock specified in Appendix A, to be delivered to the Facility in order to enable Contractor to perform the Work in accordance with the terms of this Agreement. Client shall provide at its own expense, after initial charge by Contractor, desiccants, lubricants, and hydraulic fluids as necessary for Contractor to perform the Work. Client shall supply all operating spare parts in accordance with a list supplied by Contractor. (Contractor shall have the right to use Client’s operating spares provided that Contractor shall timely replace any such operating spare parts used to repair or replace failed equipment).

Consumables and Spare Parts. Indigo shall mark the packaging of OEM Consumables and OEM Spare Parts with HP-desixxxxed branding. In the event that HP's volume requirements of such HP-branded OEM Products does not justify the expense of such custom-branding, prices will be adjusted by prior agreement in writing.
Consumables and Spare Parts. 27.1 O&M Operator shall supply Consumables required from time to time for operation and maintenance of the Plant, which will be consumed during operation and maintenance of Plant and will then need to be replenished, starting from start of Operational Phase till expiry of the Term in accordance with the terms and conditions specified in this Contract and as set out in detail in the Technical Specifications. 27.2 The O&M Operator's obligations include procurement, packaging, supply and delivery of the Consumables in accordance with the terms and conditions of this Contract and in accordance with Prudent Utility Practice. The procurement and supply of the Consumables shall be in sequence, using due care and diligence and in timely manner so as to comply with Annual Operating Plan & Budget, the Inventory Management and Procurement Procedure and the O&M Plan & Procedure. 27.3 O&M Operator shall procure and ensure availability of Consumables ahead of start of Operational Phase, but no later than 2 (two) weeks prior to the start of Operational Phase, which are required for uninterrupted, smooth and trouble free operation and maintenance of the Plant. 27.4 O&M Operator shall procure and supply all Consumables as per specification provided by OEM/EPC Contractor and preferably from source recommended by OEM/EPC Contractor (if any) and in each case approved by Owner. 27.5 O&M Operator shall prepare storage system for receiving all Spare Parts and Consumables and maintain their records in electronic form (Spare Parts in SAP) and in book form. O&M Operator shall take in its custody, store, and preserve all Spare Parts and special tools & tackles available with Owner and reconciliation of ‘spare parts’ in accordance with the Prudent Utility Practices. 27.6 O&M Operator shall be responsible to conduct all the tests it is required to conduct as part of the scope of its Services herein and under the Technical Specifications. While performing such tests using the special testing equipment owned by the Owner including but not limited to relay testing kit, Tan Delta kit, Cable fault locator kit, SF6 gas handling kit, 6KL transformer oil filtration machine if any defect arises in such equipment, then the O&M Operator shall repair or rectify such defects or replace the defective testing equipment at its sole cost and expense. C. Company certified spare parts supplied but not manufactured by company are provided by company “as is”. Company’s liability pertaining to such parts shall be limited to defects known by company but not disclosed intentionally and in such cases to the amounts recovered by company under warranties given by its supplier(s), if any. D. Customer acknowledges that these terms and the fees payable hereunder for maintenance services are subject to customer’s agreement to use only company manufactured or company certified resins and spare parts. If, during the maintenance term, customer uses non company-certified consumables and/or spare parts, company reserves the right to: (i) terminate these terms; (ii) refuse to repair or replace the product or its components; (iii) offer to furnish the maintenance services at company’s then current maintenance restoration rates; and/or (iv) cease to provide discounts on R&D Technologies maintenance services and supplies.

Consumables and Spare Parts. 31.7.1 The DBO Contractor shall at all times during the Term keep and maintain on the Facility Lands a sufficient inventory of Consumables and spare parts, as may be necessary to ensure the continued, reliable and safe operation of the Facility in accordance with the terms and conditions of this Agreement. 31.7.2 The DBO Contractor acknowledges that all Consumables and spare parts kept and maintained on the Facility Lands under subsection 31.7.1 shall be deemed to have been paid for by the Owner through the fees paid under this Agreement and are the property of the Owner. Except as set out in this Agreement, all right, title and interest in and to all such Consumables and spare parts shall vest in the Owner. 31.7.3 The DBO Contractor shall provide to the Owner, on or before January 31st of each year during the Term or as otherwise requested by the Owner, a list of all Consumables and spare parts kept on the Facility Lands.

  • All new supplies equipment and services shall include manufacturer's minimum standard warranty unless otherwise agreed to in writing. Vendor shall be legally permitted to sell all products offered for sale to TIPS Members. All goods proposed and sold shall be new unless clearly stated in writing. The Vendor shall provide timely and accurate customer support for orders to TIPS Members as agreed by the Parties. Vendors shall respond to such requests within a commercially reasonable time after receipt of the request. If support andƒor training is a line item sold or packaged with a sale, support shall be as agreed with the TIPS Member. Most TIPS Members are tax exempt and the related laws andƒor regulations of the controlling jurisdiction(s) of the TIPS Member shall apply. No assignment of Agreement may be made without the prior notification of TIPS. Written approval of TIPS shall not be unreasonably withheld. Payment for delivered goods and services can only be made to the awarded Vendor, Vendor designated reseller or vendor assigned company.

  • Tooling Unless otherwise specified in this Agreement, all tooling and/or all other articles required for the performance hereof shall be furnished by Seller, maintained in good condition and replaced when necessary at Seller's expense. If NETAPP agrees to pay Seller for special tooling or other items either separately or as a stated part of the unit price of Goods purchased herein, title to same shall be and remain in NETAPP upon payment therefore.

  • Raw Materials A. Catalent shall procure Raw Materials only from vendors that are approved in writing by Palatin or otherwise qualified in accordance with the provisions of the Quality Agreement. Catalent shall be responsible for procuring Raw Materials as necessary to meet the Firm Commitment. Catalent shall not be liable for any delay in delivery of Product if (i) Catalent is unable to obtain, in a timely manner, a particular Raw Material necessary for Processing and (ii) Catalent placed orders for such Raw Materials promptly following receipt of Palatin’s Firm Commitment. In the event that any Raw Material becomes subject to purchase lead time beyond the Firm Commitment time frame, the parties will negotiate in good faith an appropriate amendment to this Agreement, including Clause 4.2. B. In certain instances, Palatin may require a specific supplier, manufacturer or vendor (“Vendor”) to be used for Raw Material. In such an event, (i) such Vendor will be identified in the Specifications and (ii) the Raw Materials from such Vendor shall be deemed Palatin-supplied Materials for purposes of this Agreement. If the cost of the Raw Material from any such Vendor (other than a Vendor specified in the Specifications as of the Effective Date) is greater than Catalent’s costs for the same raw material of equal quality from other vendors, Catalent shall add the difference between Catalent’s cost of the Raw Material and the Vendor’s cost of the Raw Material to the Unit Pricing. Palatin will be responsible for all reasonable, out-of-pocket costs incurred by Catalent associated with qualification of any such Vendor who has not been previously qualified by Catalent. C. In the event of (i) a Specification change for any reason, (ii) obsolescence of any Raw Material or (iii) termination or expiry of this Agreement, Palatin shall bear the cost of any unused Raw Materials (including packaging), so long as Catalent (a) purchased such Raw Materials in quantities consistent with Palatin’s then current Firm Commitment and any minimum purchase obligations required by the vendor and (b) used commercially reasonable efforts to mitigate such costs by using any such unused Raw Materials in the manufacture of other products.
