Customer’s Duties. When reasonably requested by Kivuto, Customer shall provide Kivuto with sufficient documentation, information, assistance, support and test time on Customer’s computer system, to allow Kivuto to duplicate a deficiency, determine that the deficiency is with the Platform, and certify that the problem has been corrected. Kivuto shall use its best efforts to remedy any deficiency in a manner and at times that minimize interference with Customer’s normal business operations.
Customer’s Duties. Customer shall document and promptly report all errors or malfunctions of service. Customer shall provide all services not selected for purchase, support and maintenance to provide functionality to Customer’s End-Users that use Provider’s services.
Customer’s Duties. Customer shall:
(a) except for merchant transactions, refrain from acting to circumvent the processing of Commissions pursuant to this Commission Processing Member Services Schedule unless otherwise agreed to between the parties;
(a) provide Pegasus with all Customer ARC/IATA numbers, and promptly notify Pegasus of additions and changes to, and deletions of, such numbers; and
(b) provide to Pegasus no later than the fifth (5th) business day after the end of each calendar month or as otherwise agreed by the parties (i) a file containing all reservation information relating to such calendar month, such file to designate each such reservation that is non-commissionable; and (ii) all Commission Responses in the form of statements, copies of checks or other mutually agreed verification of payments received directly by Customer from Commission payors.

The Customer is aware that the used monitoring modules might potentially also send data that are prohibited pursuant to the data protection laws and that it must not use these data for the monitoring of others. In that case, it shall stop the data transmission or have it be modified ac- cordingly. c. All data are subject to data protection. The Customer shall take measures so that these data are not made accessible to any unauthorised per- son. The Customer furthermore undertakes to use or regularly reconsider the use of the security options, which are offered additionally by TSI (e.g. full encryption, strong or 2-factor authentication process), in accordance with its own security precautions and security strategy.
Customer’s Duties. (1) The Customer will procure and install at its own expense any additional software that is required to use the Contractual Software and, where applicable, is set out in documentation, descriptions of the installation requirements and/or in delivery and invoice documents, in the appropriate, authorised version.
(2) The Customer is obliged to only use suitable employees when using the Contractual Software and to record in an appropriate manner the use of the software and any special incidents that occur.
(3) If macmon carries out work directly at the Customer's premises on the basis of a separate agreement, the Customer will provide macmon with the necessary rooms, equipment, software, documents with error examples and data material, if applicable, including test data, computer time as well as employees for information purposes within good time and to an appropriate extent.
(4) The licensee is obliged to take suitable action to secure the Contractual Software against access by unauthorised third parties, in particular to keep all copies of the Contractual Software in a protected place.
(5) The licensee will make a daily recoverable Backup of all data that could be affected by errors or by a failure of the Contractual Software on an independent system ("Backup").
(6) The Parties are aware that the Contractual Software may be subject to export and import restrictions. In particular, there may be licensing requirements and the use of the Contractual Software or related technologies may be subject to restrictions abroad. The Customer will comply with the applicable export and import control regulations of the Federal Republic of Germany, the European Union and the United States of America, as well as all other relevant regulations. Performance of the Agreement by macmon is subject to the condition that no obstacles which are based on the national and international regulations of export and import law, as well as no other legal provisions, will prevent performance.
(7) The Customer is aware that (a) the Contractual Software contains copyright-protected and confidential information, which is protected by the applicable intellectual property laws and other regulations, and (b) macmon owns all rights to the Contractual Software and to updates/upgrades, except for third party software, in particular all intellectual property rights. Customer’s Duties. Customer shall document and promptly report all errors or malfunctions of the hardware to Webberstop India Private Limited. Customer is responsible for the provisioning of all necessary spare parts and/or other hardware to maintain its servers. Customer shall maintain a current back up copy of all programs and data. Customer shall ensure that all legal compliances or formalities as per the Cyber laws and other applicable laws/regulatory framework are fulfilled. Customer shall be responsible for the security of its equipment/s and at no point of time, Webberstop India Private Limited can be held responsible if the security is breached.
Customer’s Duties. 4.1. The Customer shall:
4.1.1. Cooperate with Tototheo and comply with any reasonable requests Tototheo may make to assist with the provision of the Cyber Security Services;
4.1.2. Provide access to the business facilities and/or equipment and/or other facilities where the installation, configuration and/or Technical Support of the Cyber Security Products and/or the Cyber Security Services will be provided, at a mutually agreed time. Failure of the Customer to permit and/or enable access to Tototheo on the Customer’s business facilities and/or equipment and/or other facilities for the purposes of this clause will be deemed a material breach of the Contract, entitling Tototheo to terminate the Contract. Any costs associated with such termination shall be borne by the Customer.
Customer’s Duties. 9.1 The Customer will support macmon appropriately in the performance of Contractual Services.
9.2 The Customer will not disclose the access data for the SDP Services and the SDP Front End to third parties and will exercise the utmost care in safekeeping such access data. The Customer is aware that macmon cannot be held liable for access by third parties in connection with the loss of access data by the Customer.
9.3 Except as permitted in each case by applicable law or by express written agreement between the Parties, the Customer will not directly or indirectly (i) reverse engineer, decompile, disassemble or otherwise attempt to discover any source code, object code or material underlying structures, ideas, know-how or algorithms of the Contractual Services, (ii) make any changes to the Contractual Services or the SDP Services or the SDP Front End, create translations of the Contractual Services or the SDP Services or the SDP Front End or create derivative works from the Contractual Services, the SDP Services or the SDP Front End (iii) use the Contractual Services or the SDP Services or the SDP Front End for the benefit of any third party in contravention of this Agreement or (iv) remove any proprietary notices or labels; whereby if the Customer is a managed service provider, third parties for the purposes of this

9.4 The Customer will use the Contractual Services exclusively in accordance with applicable law and in particular will not use the SDP Services for purposes that violate applicable law or the rights of third parties.
9.5 The Customer is aware that incorrect configuration of the SDP Services using the SDP Front End can massively impair access to the Customer's network. It will use extreme care when configuring the SDP Services. Depending on the criticality of the specific purpose of use, for example if life and limb could be endangered due to restrictions of the SDP Services, the Customer will, at its own discretion, use another solution as a backup service for the SDP Services and/or the Customer's Gateway, which can become active immediately if the SDP Services are not available or only available to a limited extent. macmon strongly recommends such a solution as part of a regular security concept.
9.6 The Customer is obliged to only have suitable and trained employees use the SDP Front End and configure the SDP Services and to log any special incidents ...
Customer’s Duties. 4.1. The Customer shall treat the rented items diligently and with care and shall be obliged to carry out all the necessary maintenance and repair works professionally himself and/or by skilled technicians, at his own expense.
4.2. The rented items may only be installed, operated and disassembled in accordance with the technical instructions, and exclusively by qualified personnel. The Customer is obliged to ensure continual compliance with applicable safety regulations and legal provisions regarding protection and safety of workers and employees.
4.3. The Customer shall ensure a trouble-free supply of electric power during the entire period of use of the rented items and he shall be liable for any damage or losses due to power failures and interruptions, or for current fluctuations.
4.4. In the event that the contractually agreed rental period lasts for more than two months, or the Customer is, due to delayed return, in possession of the rented items longer than two months, Customer shall be obliged to carry out by himself or by qualified personnel all and any mandatory servicing and inspections required by legislation at his own expense and risk. Upon request of the Customer, spidercam shall provide the respective information of upcoming due dates for maintenance and testing of the rented items.
4.5. The Customer shall be obligated to take out appropriate and adequate insurance against the risks generally associated with the rented items (loss, theft, damage, third-party liability). Upon request the Customer shall prove evidence of the currency of such insurance, valid for the complete rental period. The Customer must comply with the assignment of possible claims against an insurance provider.
4.6. No foreign object that poses a potential safety hazard (for example: drones) will be tolerated in Spidercam airspace at any given time. It is the Customer obligation to point out any potential safety hazards that may exist within or near the area where spidercam operates. Any violation of spidercam airspace may result in ceasing of spidercam operations and operation may not proceed until airspace has been redeclared safe to operate in.
