Duties of Client. (a) Client shall furnish PINE with such instructions, explanations, information, specifications and documentation reasonably necessary for PINE to perform the Services and shall give PINE reasonable notice of any changes thereto. Client shall timely respond to and comply with requests and instructions from PINE made in the performance of XXXX’s Services. Such requests and instructions may be in writing or may be sent via e-mail or by such other means as may be agreed to from time to time by PINE and Client. All oral instructions shall be promptly confirmed by Client in writing upon XXXX’s request. Client shall provide to PINE in writing the names and specimen signatures of persons authorized to give instructions hereunder on behalf of Client. PINE shall be entitled to rely on the identity and authority of such persons until it receives written notice from Client to the contrary. PINE shall be entitled to reasonably rely on the accuracy and validity of all instructions, explanations, information, specifications and documentation furnished to it by Client and shall have no duty or obligation to investigate or to review the accuracy, validity or propriety of such instructions, explanations, information, specifications or documentation. (b) Client will always, and at its sole cost and expense, comply with and obey all laws, rules, regulations, ordinances, statutes, and codes applicable to it in connection with this Agreement and Client’s duties hereunder and will advise PINE promptly of any material violation thereof.

Duties of Client. The Disc Jockey requires that the Client provide electrical and space requirements in accordance with the Disc Jockey’s requests. All requests made by the Disc Jockey shall be reasonable and made within day(s) of the Event.

(b) Client has and will at all times during the Term maintain directors and officers, professional liability (errors & omissions), and general commercial liability insurance policies with insurance companies that have a rating of at least “A-” in the most current edition of Best’s Key Rating Guide with coverages and deductibles that are reasonably acceptable to PINE in light of Client’s business and historic operations. Such insurance policies shall name PINE, the CCO, and PFO as additional insureds and provide that said insurance is primary and non-contributory. Client agrees to furnish details of such coverage to PINE upon its request, including copies of such policies, the identity of the carrier, coverage levels and deductible amounts. Client will notify PINE of any modification, reduction or cancellation of such coverage or of any material claims made against such coverage. Client shall use reasonable efforts to ensure that such coverage be (i) reinstated should the Policy be cancelled; (ii) continued after the CCO or PFO ceases to serve as an officer for Client on substantially the same t...

Duties of Client. Commencing on the Effective Date as set forth in the Quote, Client accepts the following responsibilities with respect to the Health Plan(s): a) Provide Company with all such information required, as Company determines in its sole discretion, to fulfill its obligations under this Agreement in a timely and efficient manner. b) Client shall be exclusively responsible for the accuracy, completeness and timeliness of the information provided to Company. Client understands and agrees that Company has no duty or responsibility to review, verify or otherwise inquire into any data provided to Company by Client. Client shall be responsible for examining all results and status reports produced by the Company and posted on the System, including premium calculations, reports and letters, and Client shall notify Company of any discrepancies between said results and Client records as soon as reasonably possible and not later than five (5) business days after Client becomes aware of such discrepancy. Client shall be responsible for all damages that result or could have been avoided had Client timely reviewed its reports and advised the appropriate parties of any discrepancies, and Company shall have no responsibility or liability in connection with any discrepancies not timely reported by Client. c) Client shall follow security procedures that are reasonably sufficient to assure that: all login and password information is kept secure; all document transmissions are authorized; and all data is protected from unauthorized access. Client shall be responsible for all activity occurring under Client’s user accounts. Client shall be responsible, and shall keep, all user passwords used to access Company’s System confidential and secure. Client shall prohibit all of its users from impersonating another user, providing false user information or passwords, or otherwise attempting to gain unauthorized access to the System.
Duties of Client. Commencing on the Effective Date as set forth in the Quote, Client accepts the following responsibilities with respect to the Plan(s): a) Serve as Plan Administrator and Fiduciary as described under ERISA and the Internal Revenue Code, and maintains authority to establish, waive, alter, or modify any of the Benefit Spending Account’s terms and conditions. Exercise all discretion, control and authority over the available benefits. Establish eligibility requirements consistent with its Plan Document in order for employees to participate in the Benefit Spending Account(s). b) As Plan Fiduciary, ensure that the Plan documents identified in 29(l) are appropriately completed, are in compliance with applicable laws and regulations, and are adopted timely. c) Distribute to participants any required documents such as Plan Documents, Summary Plan Description, Summary of Benefits and Coverage, and any other documentation related to the Benefit Spending Account(s) on a timely basis. d) Determine who is eligible to participate in the Benefit Spending Account(s) and provides Company accurate and complete enrollment information in a reasonable manner determined by Company. e) Provide Company with accurate and timely changes in participant enrollment and eligibility in the prescribed manner. Changes may include, but are not limited to, participant eligibility status, election changes, leaves of absence and terminations. f) Ensure that any electronic files provided by their medical carrier(s), payroll data processor, HRIS system and/or HRIS vendor are timely, accurate and complete in the Company’s prescribed electronic file format. Client is responsible for correcting all errors in any electronic file provided to Company. Company does not audit electronic data files. g) Make sufficient funds available for the payment of Benefit Spending Account benefits in accordance with the terms of benefit Plan Document and in accordance with the applicable claims funding method as described in paragraph 32 below. These funds shall be clearly separate from any funds otherwise made available for other purposes (e.g., Service Fees). Duties of Client. 1. The Client shall: i. Not assign, without XXXXXXX'x prior written consent, Financial Collateral to any other person; ii. Refrain from any disposals of Financial Collateral which might impair XXXXXXX'x ability to exercise its right to satisfaction from Financial Collateral; iii. Promptly inform XXXXXXX in writing about any change in facts characterizing the Client, in particular, inform it of any change in its place of business/registered office or its business name; iv. At AKCENTA's request, provide to AKCENTA the necessary cooperation in case that its right to satisfaction is realized from Financial Collateral; v. In the event that it fails to comply with its obligations vis-à-vis AKCENTA, relating to the provision of the agreed performance or payment of charges under the Agreement, to facilitate the satisfaction by AKCENTA of all Secured Claims including accessories from Financial Collateral.

Duties of Client. Client agrees to provide GPT and PCMS with any information and documents as may be requested by GPT or PCMS in connection with the services to be performed for Client, including without limitation an initial questionnaire and the annual questionnaire provided at the end of each fiscal year of Client.
