Duties of Tenant. Tenant agrees to maintain Property in good order and repair, normal wear and tear excepted. If Tenant does not promptly perform its maintenance and repair obligations as set forth herein, Landlord may make such repairs and/or replacements and Tenant shall promptly pay the costs of the same. Tenant shall additionally be responsible for the reasonable costs of repairs made necessary by the negligence or willful misconduct of Tenant (including Tenant’s employees, agents, invitees, guests, or licensees).
Duties of Tenant. Subject to the terms and conditions of this Agreement and the Development Plan and Budget, and in addition to the other duties, responsibilities and obligations of Tenant under this Agreement, Tenant hereby agrees to and shall, at Tenant’s sole cost and expense, fully and timely perform (or cause to be performed) in a commercially reasonable manner the duties, responsibilities and obligations set forth in this Agreement including, without limitation, the duties, responsibilities and obligations set forth below. Tenant shall not undertake the performance of any of the duties, responsibilities and obligations set forth in this Section 3 or elsewhere in this Agreement unless such duties, responsibilities and obligations are expressly authorized pursuant to the Development Plan and Budget or are otherwise approved by Landlord pursuant to Section 4 hereof. 3.1 Secure all Development Approvals and all other necessary permits, licenses, consents, authorizations, zoning variances or changes, (whether regulatory, governmental, quasi-governmental or otherwise), which may be reasonably necessary or appropriate in connection with the Development. 3.2 Secure all surveys, soil tests and other studies and reports necessary to secure all Development Approvals reasonably required for the Development and provide Landlord with electronic copies of all of the foregoing to the extent in Tenant’s possession or reasonable control. 3.3 Cause to be prepared and review all preliminary plans, working drawings, plans and specifications and construction cost estimates reasonably required for the Development (and provide Landlord with electronic copies of all of the foregoing to the extent in Tenant’s possession or reasonable control), and verify the compliance of such plans, working drawings, plans and specifications and construction cost estimates with this Agreement and the Development Plan and Budget. 3.4 Secure all other documents, agreements, instruments, reports, studies, surveys, maps, and all other materials reasonably necessary for the Development. 3.5 Solicit and negotiate all agreements, contracts, documents and other instruments reasonably necessary in order to undertake the activities required to be performed by Tenant pursuant to Sections 3.1, 3.2, 3.3 and 3.4 above and/or to otherwise commence and/or complete the Development (“Project Agreements”), which Project Agreements may include, without limitation, any and all construction contracts and subcontracts, architectura...
Duties of Tenant. 14.1 Tenant shall allow access to the Leased Premises by Landlord or its authorized representatives at any reasonable time during the Lease Term for any purpose within the scope of this Lease. 14.2 Tenant shall not use the Leased Premises at any time for any purpose forbidden by law.
Duties of Tenant. Tenant shall keep the property clean; remove ashes, garbage and other waste from the apartment in a safe manner; keep all plumbing fixtures as clean as possible; use all electrical, plumbing, heating, air conditioning, and other appliances in a safe and reasonable manner; be responsible for any damage of the property caused by tenant or by any person or animal in the property with tenant's consent or permission; be peaceful, quiet and considerate of neighbors; and obey all laws of the United States of America, State of Kansas, and City of Xxxxxxxx, and any applicable restrictive covenants for the area. Tenant shall be responsible for all light bulbs. Tenant shall be responsible for furnace filter replacement; changing filter at least once every three (3) months.
Duties of Tenant. Tenant shall cooperate with Manager in the performance of Manager’s duties under this Agreement and to that end, upon the request of Manager, to provide, at such rental charges, if any, as are deemed appropriate, reasonable office space for Manager employees on the premises of the Property (to the extent available) and to give Manager access to all files, books and records of Tenant relevant to the Property. Tenant shall not unreasonably withhold or delay any consent or authorization to Manager required or appropriate under this Agreement.
Duties of Tenant. Tenant shall comply with the terms of this Agreement, and any applicable law, regulation, or rule. Furthermore, Tenant shall: 11.1 Maintain the Premises in a safe, neat and clean condition, and properly dispose of all rubbish, garbage, debris, and other waste in a sanitary manner at reasonable and regular intervals; 11.2 Properly use and operate all fixtures and appurtenances, if any; 11.3 Refrain from intentionally or negligently destroying, defacing, damaging, impairing or removing any part of the Premises; Refrain from committing nuisance or common waste; Refrain from engaging in any unlawful activity at the Premises; Refrain from altering or improving the Premises without Landlord’s prior written consent; And, prohibit any person or entity affiliated with Tenant, including invitees, licensees, or any person or entity under Tenant’s control, from so doing; 11.4 Immediately notify Landlord of, and then promptly repair, at Tenant’s expense, any destruction, defacement, damage, impairment, or removal of any part of the Premises caused by Tenant’s acts or omissions, or the acts or omissions of any person or entity affiliated with Tenant, including invitees, licensees, or any person or entity under Tenant’s control, upon receipt of notice from Landlord requiring such repairs, or within a shorter time if made necessary by emergency; 11.5 Abide by and observe all reasonable rules, which may be established by Landlord from time to time, with respect to use of the Premises and adjacent areas, and ensure that any person or entity affiliated with Tenant, including invitees, licensees, or any person or entity under Tenant’s control observes such rules.
Duties of Tenant. 12.1 Tenant shall allow access to the Leased Premises by Landlord or its authorized representatives at any reasonable time during the Lease Term for any purpose within the scope of this Lease. 12.2 Tenant shall not use the Leased Premises at any time for any purpose forbidden by law. 12.3 Tenant shall not use space heaters within the Leased Premises.
Duties of Tenant. Without limiting the generality of Section 3.1 of this Lease, and subject to any limitations set forth herein, Tenant shall have control of, and shall assume responsibility for the operation and maintenance of, the Cemeteries during the Term, including, but not limited to, the following: 3.2.1 Maintaining the existing character of the Cemeteries, and keeping in good order, condition and repair the Cemeteries and all facilities and properties within the Cemeteries, including access roads, streets, sidewalks and curbs, in a manner which is consistent with the current design and appearance of the Cemeteries and with the Standards of Care for the Catholic Cemeteries of the Archdiocese of Philadelphia annexed hereto as part of Schedule 3.2.1; 3.2.2 Subject to the further conditions of Schedule 3.2.1, selling Burial Rights within the Cemeteries in a manner by which each sale of Burial Rights will be perpetual; 3.2.3 Performing all interments and disinterments at the Cemeteries with a right of access for such purpose through all real property comprising the Cemeteries; 3.2.4 Conducting all sales and completing all deliveries of cemetery goods, merchandise and services at the Cemeteries; 3.2.5 Managing, processing and timely paying accounts payable incurred in the operation of the Cemeteries; 3.2.6 Billing and collecting all accounts and notes receivable which are generated in, or which are directly related to, the operation of the Cemeteries, including those IR Receivables (as defined in the next sentence) existing as of the Commencement Date (which Landlord hereby transfers to Tenant effective as of the Commencement Date) and those created during the Term (the “Receivables”); provided, however, that accounts, notes, pledges, cash and other receivables which are generated by Landlord in connection with any and all investments, financing, loans to third parties unrelated to sales of interment rights or cemetery related services, or fund or capital raising drives or campaigns, or funds designated as perpetual care funds shall not be included as Receivables and shall remain the sole and exclusive property of Landlord. For the avoidance of doubt: (i) with respect to accounts receivable and notes receivable that represent amounts owing to Landlord from the sale of interment rights prior to the Commencement Date (“IR Receivables”), to the extent that funds are paid to Landlord prior to the Commencement Date, such funds shall be the property of Landlord and (ii) effecti...
Duties of Tenant. Tenant's duty to pay Base Monthly Rent and Additional Rent on the Terminated Premises shall continue until all of Tenant's obligations hereunder have been completed with respect to the applicable Terminated Premises. Tenant shall indemnify, defend, and hold harmless Landlord from and against any and all claims, liabilities, damages, losses, or injuries suffered by Landlord due to Tenant's failure to timely perform the said obligations, including but not limited to Landlord's reasonable attorney's fees and costs, any claims made by any succeeding tenant, and any losses to Landlord due to lost opportunities to lease to succeeding tenants.
Duties of Tenant. 8.1 Tenant shall allow access to the Leased Premises by Landlord or its authorized representatives at any time during the life of this Lease for any purpose. 8.2 Tenant shall not use the Leased Premises at any time for any purpose forbidden by law. 8.3 Tenant shall not assign, sublet or otherwise transfer its interest in this Lease without the prior written consent of Landlord. 8.4 Tenant agrees to observe reasonable precautions to prevent waste of heat, electricity, water, air conditioning, any other utility or any service, whether such is furnished by Landlord or obtained and paid for by Tenant. 8.5 Tenant will remove all personal property from the Leased Premises after each scheduled use. 8.6 Tenant is responsible for keeping the Lease Premises in the same or better condition as when it was found each time Tenant vacates the property for any reason.
