Employees Duties and Responsibilities. During the term of this Agreement, the Employee shall faithfully, diligently and in accordance with accepted professional standards perform and discharge the duties and responsibilities of Food Service Manager as the same are set forth below. The Employee shall perform all the duties required of the Employee, pursuant to the Employee’s job description as such may be amended form time to time by the Superintendent of Schools or Board of Education, the provisions of the Education Law, Civil Service Law, or other statutes, rules, or regulations of the State of New York. The Employee hereby agrees to perform, to the best of her ability, the duties of such position in accordance with the terms and conditions set forth in this Agreement. The Employee shall devote her time, skill, labor and attention to the discharge of her duties during the term of this Agreement; however, the Employee may undertake other work, with or without remuneration, provided such other work does not interfere with the full and faithful discharge of the Employee’s duties and responsibilities as specified herein.

Employees Duties and Responsibilities. Employer shall employ Employee as Manager of the Production Facilities or in such other capacity or capacities as Employer's board of directors may from time to time prescribe. Employee shall be vested, with full power and authority to manage and conduct all the business of Employer, subject to the directions and policies of Employer and its board of directors as they may be, from time to time, stated either orally or in writing. Employee shall not, however, take any of the following actions on behalf of Employer without the express written approval of the board of directors: (1) Borrowing or obtaining credit in any amount or executing any guaranty; (2) Expending funds for capital equipment; (3) Selling or transferring capital assets; (4) Executing any contract or making any commitment for the purchase or sale of Employer's products or facilities; (5) Executing any lease of real or personal property; (6) Exercising any discretionary authority or control over the management of any employee welfare or pension benefit plan or over the disposition of the assets of any such plan; (7) Hiring or firing any employee.
Employees Duties and Responsibilities. Employee shall be the President and Chief Executive of UPAC and Presis and Executive Vice-President of TFH, and shall report directly to the board of managers of Presis and the Chief Executive Officer of TFH. Employees Duties and Responsibilities. 3.1 The Employee shall perform for the Company all of the Duties as the President, and shall perform all duties and accept all responsibilities incidental to such position. The Employee further agrees not to work for any other business or enterprise during the Term without the prior written consent of the chief executive officer of the Company. 3.3 The Employee shall obey and carry out all lawful orders and directions given to him by the chief executive officer of the Company within the scope of the Duties and shall obey and carry out the general working policies and follow the established procedures of the Company. 3.4 The Employee shall furnish to the Company, from time to time as requested by the chief executive officer of the Company, reports of the progress of the Duties and time spent and activities undertaken by the Employee and from time to time shall provide such other information as reasonably requested by the chief executive officer of the Company, in order to allow the Company to ensure the prompt and complete performance of the Duties by the Employee. 3.5 The Employee shall, in the performance of this Agreement, comply with and be entitled to comply with all applicable laws, regulations and orders of Canada and of any province or political or territorial subdivision thereof including, but not limited to, laws, regulations and orders pertaining to labour, wages, hours of work and other similar provisions. 3.6 The Employee represents to the Company that he has the competence, experience and skill necessary to perform the Duties, is not subject or...
Employees Duties and Responsibilities. Employee’s duties and responsibilities shall generally include all rights, duties and responsibilities customarily associated with the executive position of Chief Executive Officer, President and Director. During the term of this Agreement, Employee shall report directly to the Board of Directors of the Employer. Any change of Employee’s position, rights, responsibilities, duties, reporting obligations, compensation, benefits or job description or any change in the control or ownership of the Employer, without the express written consent of Employee, shall constitute a material breach of this Agreement and, at the discretion of Employee, may be treated as a constructive termination of the employment relationship without just cause subject to all the rights and obligation associated with the termination provisions provided in this Agreement. Employee shall have the following specific duties and obligations: a. Oversee all aspects of the management, operations, and finances of the Employer; b. Receive regular and direct reports from all executive officers of the Employer; c. Advise the Board of Directors regarding all aspects of the management, operations and finances of the Employer; d. Direct, as a primary resource, all communications regarding the affairs of the Employer to the media, community and industry resources and all other outside concerns; e. Develop and advance meaningful vision, strategies and objectives that drive and direct all aspects and affairs of the Employer; and f. Motivate all officers, managers and employees in the development of an appropriate business culture and ethic.

Employees Duties and Responsibilities. Commencing on the Effective Date, Employee shall faithfully and diligently render his services to Company, and shall use his best efforts and good faith in rendering his services. Employee’s primary responsibility during the Initial Term of this Agreement will be management of the day-to-day operations of Company. Employee agrees to devote his fulltime efforts, abilities, and attention (defined to mean not less than forty (40) hours/week and not less than five (5) business days/week to accommodate Employee’s request for a flexible schedule) to the business of Company, and shall not engage in any activities which will interfere with such efforts.
