Employees Duties and Responsibilities. During the term of this Agreement, the Employee shall faithfully, diligently and in accordance with accepted professional standards perform and discharge the duties and responsibilities of Food Service Manager as the same are set forth below. The Employee shall perform all the duties required of the Employee, pursuant to the Employee’s job description as such may be amended form time to time by the Superintendent of Schools or Board of Education, the provisions of the Education Law, Civil Service Law, or other statutes, rules, or regulations of the State of New York. The Employee hereby agrees to perform, to the best of her ability, the duties of such position in accordance with the terms and conditions set forth in this Agreement. The Employee shall devote her time, skill, labor and attention to the discharge of her duties during the term of this Agreement; however, the Employee may undertake other work, with or without remuneration, provided such other work does not interfere with the full and faithful discharge of the Employee’s duties and responsibilities as specified herein.

Employee shall be the President and Chief Executive of UPAC and Presis and Executive Vice-President of TFH, and shall report directly to the board of managers of Presis and the Chief Executive Officer of TFH. Employee's duties on behalf of UPAC and Presis shall be the usual and customary duties and responsibilities of a chief executive officer, and he shall to the best of his ability perform the same and such other lawful duties as shall be from time to time assigned to him by the board of managers and the Chief Executive Officer of TFH so long as the same are not inconsistent with his position. Employee shall be granted the authority and responsibility to perform those functions which are encompassed by the position of Chief Executive Officer, subject to modification, from time to time, by the Board of Directors of AIA or the Board of Directors of any corporate parent of AIA. Both employee and AIA expect Employee's responsibility, authority and compensation to be dynamic, and to be adjusted from time to time as determined by AIA's Board of Directors, or the Board of Directors of any corporate parent of AIA.

Commencing on the Effective Date, Employee shall faithfully and diligently render his services to Company, and shall use his best efforts and good faith in rendering his services. Employee’s primary responsibility during the Initial Term of this Agreement will be management of the day-to-day operations of Company. Employee agrees to devote his fulltime efforts, abilities, and attention (defined to mean not less than forty (40) hours/week and not less than five (5) business days/week to accommodate Employee’s request for a flexible schedule) to the business of Company, and shall not engage in any activities which will interfere with such efforts. Notwithstanding the foregoing, Company is aware that Employee currently has other business interests that are unrelated to the Company, and accordingly, nothing herein shall prohibit Employee from participating in such authorized non-Company business or community service activities that do not interfere with his/her ability to perform his duties under this Agreement.

Employee agrees that from the date of this Agreement until the Departure Date, Employee shall (i) perform her regular duties and (ii) transition her work to her successor as reasonably requested by Kellogg. Employee's active employment with Kellogg shall terminate upon the Departure Date.
