The supplies and equipment that are available for use during instruction include the following: white boards, markers, flat screen TV, DVD and CD players, as well as materials provided by instructors and basic supplies. AOI is affiliated with the Educational Testing Service (ETS) and administers the TOEIC® Test on its premises. AOI College of Languages is accredited by ACCET. AOI College of Languages is compliant with BPPE and certified by SEVP.

Facility and Equipment. The administration building(s) will be properly licensed and compliant with code with regard to the Americans with Disabilities Act, all OSHA regulations and with all applicable Idaho laws. The building will provide sufficient wiring and communication capabilities to support the high-tech nature and infrastructure of the school. The building will also provide adequate heating, ventilation, lighting, sanitary conditions, and water supply to support the school’s administrative staff.
Facility and Equipment. Any renovations needed to the classroom, washrooms, or school building, as determined by the School Based Team, in consultation with the Superintendent of Physical Plant, shall be completed before integration begins where the student to be integrated is identified in the spring. Facility and Equipment. Maintenance ---------------------------------- Each Party shall be responsible for maintaining its own property, facilities, equipment and systems, defined as "Improvements" in Appendix I and the Schedules attached thereto, of the Asset Demarcation Agreement in a safe and efficient manner, in accordance with NEPOOL and NPCC criteria and guidelines, Prudent Utility Practice, applicable standards, and in accordance with applicable law. 6 Each Party shall coordinate inspections and maintenance of its respective Interconnection Facilities with each other so as to minimize the unavailability of transmission to the Generating Assets and maximize the reliability and security of the Transmission System. For those Transmission and Distribution Assets and Purchased Interconnection Facilities associated with the Interconnection Facilities, Edison shall have the right to (i) request that Buyer test, calibrate or verify Buyer's equipment or software and (ii) monitor or inspect that equipment or software governing the operation and maintenance of that equipment of Buyer that is connected to Edison's Transmission System. Buyer shall have the same right with respect to the Interconnection Facilities of Edison. Said tests, calibrations, or inspections shall be performed consistent with applicable standards and procedures and the results shall be provided to the other Party upon request. Buyer shall maintain and coordinate protective relaying for its Generating Facilities and Purchased Interconnection Facilities with that of Edison's Transmission System consistent with the NPCC Bulk Power System Protection Criteria and applicable sections of the NEPOOL Agreement. Where practicable, each Party shall provide the other Party with spare parts available in inventory at its cost in the event of emergencies or equipment failures. Both Edison and Buyer shall comply with REMVEC and Edison's switching and tagging procedures (see Appendix I) and shall coordinate with REMVEC and the Edison Energy Management Center, as appropriate for the safe operation, isolation and reconnection of the elements of the interconnection.
Facility and Equipment. SMI intends to design, build, and operate a state-of-the-art, GMP, FDA-approved facility in Arizona, capable of manufacturing edible film-strip products utilizing InnoZen’s Licensed Technology and Patent Rights (the “Arizona Facility”). The Arizona Facility project is slated to begin prior to execution of this Agreement, and is projected to contain up to four (4) production lines capable of producing dietary supplement, over-the-counter drug, and pharmaceutical drug products from raw materials through to finished goods. The first production line will utilize certain equipment from InnoZen’s Oxnard, California facility (the “First Line”). InnoZen shall retain title to such equipment and shall have the right to xxxx or label the equipment, file UCC financing statements or take other action reasonably necessary to protect its ownership interest in such equipment. SMI shall have the right to use such equipment during the term of this Agreement and shall maintain such equipment in good working order, reasonable wear and tear expected. InnoZen agrees to provide all reasonably required and agreed upon assistance in getting the First Line operational as soon as reasonably practicable. The remaining production lines at the Arizona Facility are scheduled to be operational as soon as reasonably practical given the lead times required in obtaining the associated equipment to be ordered and purchased by SMI. SMI’s commitments and obligations under this Agreement to build, equip, validate and operate these remaining production lines is based and contingent upon InnoZen providing reasonable written order forecasts supported by written customer commitment indications supporting the financial viability of the additional investment required to build and operate the remaining production lines. The Parties agree that unless Product orders exist, are pending or are reasonably forecast by InnoZen that will fully utilize the First Line’s capacity, there will not be a commercially reasonable need for the remaining production lines.
Facility and Equipment. (a) Novasep shall perform its obligations under this Agreement solely at the Facility unless Inspire consents in writing otherwise. Novasep shall, at its own expense, maintain the Facility in compliance with cGMPs and Legal Requirements. (b) Novasep shall, in accordance with the Project Plan, design in collaboration with Inspire and procure, install and qualify the equipment specified in Schedule C at the Facility (collectively, the “Equipment”). Final selection of the Equipment shall be made by Novasep, subject to Inspire’s prior approval. (c) Novasep shall keep the Equipment at the Facility, use it to accomplish the Project Plan or perform its obligations under the Supply Agreement, provide Inspire with access to the Equipment upon Inspire’s request, including without limitation under such terms and conditions as may be agreed in the Supply Agreement, and maintain, at Novasep’s own expense, the Equipment in good operating condition and in compliance with cGMPs and Legal Requirements. Inspire agrees that when the Equipment is not required in connection with the Project Plan or the manufacturing of the Product, Novasep shall have the right, subject to Inspire’s prior written approval, to use the Equipment for other purposes. Novasep will communicate requested time slots in advance to Inspire, and Inspire will have the right to approve such time slots on a case-by-case basis. Inspire’s written approval will not be unreasonably withheld or delayed. Novasep’s right to use the Equipment in each case shall be subject to all of the remaining terms and conditions of this Agreement, including without limitation the following conditions: (i) there is no conflict with Inspire’s need for the Equipment in connection with this Agreement or the Supply Agreement, and (ii) the Equipment is cleaned by Novasep in compliance with cGMPs and Legal Requirements after its use for other purposes, and (iii) Novasep pays Inspire a fee of [c.i.] €/week of utilization (including set-up, production and cleaning), during the period beginning on the Effective date and ending on the [c.i.] anniversary of the Effective Date. The fee will be calculated based on the time elapsed between initiation of set-up and completion of cleaning for the applicable use and paid at the end of each calendar quarter.
