Membership Committee. (a) The Members of the Company shall be represented on a committee (the “Membership Committee”) initially comprised of one representative of PNG. Each representative shall be entitled to one vote on decisions or actions of the Membership Committee.
Membership Committee. The Chairman of the Board shall appoint the Membership Committee Chairperson and Committee members. The objective of the Membership Committee is to xxxxxx increased Association membership, improve the quality of Association support to Chapters, and increase the mutual benefit of Chapter and Association cooperation.
Membership Committee. The Board of Directors may appoint a Membership Committee consisting of three (3) Directors and other appointed Regular Members. The Committee shall receive the names of prospective Honorary and Regular Members, investigate for eligibility and recommend those qualified for election at the annual, regular or any special meeting of the Members or the Board of Directors as the case may be.
Membership Committee. (a) Except as expressly provided otherwise herein, management of the Company shall be vested in a committee ("Membership Committee"). The Membership Committee shall consist of Black Beauty and Franks. All xxxxxx of the Company shall be exercised by or under the authority of, and the business and affairs of the Company shall be managed under the direction of, the Members through the Membership Committee. The Members, acting through the Membership Committee, shall have authority over all of the Company's actions. Mo Member (nor any officer, director or employee of any Member), acting alone, shall be authorized to engage in any activity or take any action on behalf of the Company without the express written authorization of the Membership Committee.
(b) Each Member shall be entitled to one vote on decisions or actions of the Membership Committee.
(c) Membership Committee actions shall require the unanimous vote of the
Membership Committee. The Company shall have a Membership -------------------- Committee made up of all Members. Except as otherwise provided in this Agreement, on all matters requiring approval of the Members, each Member shall be entitled to vote ratably in proportion to its then current Percentage Interest in the Company.
Membership Committee. The Chair of the Board shall, with the approval of the Board of Directors, appoint a Membership Committee, which Committee shall meet from time to time, as requested by the Committee Chair, for the purpose of passing upon all applications for membership in the Association and for such other business as may come before it. It shall be the duty of the Membership Committee to examine all proposals for membership and make recommendations thereon to the Board of Directors. The purpose of the Membership Committee shall also include providing strategic coordination of the eligibility requirements set forth for each membership category. The goal of the Committee is to maintain membership categories consistent with realities of the industry structure. The Committee is charged with recommending the creation of member programs, benefits, and services for membership recruitment and retention.
Membership Committee. This committee, under the direction of the Vice-President/Membership, will conduct an annual membership drive soon after the first of the year. The goal of the committee should never be pure number of members, but rather, active, participating members. The committee should periodically check the mailing list of the Club to add prospective members. The Association will also provide each active A&M Club with one listing per year at no charge. This listing can be obtained at the written request of the A&M Club President by contacting the Club Programs Office.
Membership Committee a) Membership in the Kansas Power Pool shall be open to all Kansas municipal utilities that meet the membership criteria. Voting members of KPP shall consist of those cities who have a contract for supply of power to its City which has been approved by the Board of Directors of KPP and which City takes service under the Operating Agreement. Each city shall designate a member and alternate member to represent the city as its representative to the Membership Committee of KPP. KPP will, through its Board, adopt and publish its membership criteria and based upon that criteria, make recommendations to its members regarding cities who request membership in KPP.
b) All Membership Committee representatives, both voting and non- voting, shall be directly selected by, and subject to removal at will, by the governing bodies of their voting member cities. The Membership Representative shall be a person who is either a resident of the Member City or who takes service from the Member. Additionally, said representative should either be a member of the governing body, the City Administrator, or the designated representative of the Administrator, City Attorney or the employee of the City.
c) The Membership Committee shall meet annually at the same time and place as called by the President of the KPP for the Annual Meeting of KPP. The Membership Committee meets as a whole each year and Membership Committee members of cities who have signed the Operating Agreement (“Voting Members”) shall approve the annual budget and the rates of KPP for the next year. The Membership Committee may also meet as called by the President.
d) Veto Power of the Membership Committee:
Membership Committee. The Membership Committee may be called to vote to override the veto as is authorized in KPP’s grievance procedure.
Membership Committee. Shall be designated by the President, whose duties shall be to seek active members for the Association, to recommend or reject applications for honorary or associate membership and to annually review the honorary and associate membership with the President making such recommendations as they deem necessary. Such recommendations shall be voted upon at the annual May meeting of the Association. Shall be designated by the President, whose duties shall be to coordinate training efforts with the various state training agencies for all segments of the association's labor force (i.e. basic training to Executive training sessions).
