MFA shall indemnify the Executive to the fullest extent permitted by Maryland law as amended from time to time in connection with the Executive's duties with MFA, against all costs, expenses, liabilities and losses (including, without limitation, attorneys' fees, judgments, fines, penalties, ERISA excise taxes and amounts paid in settlement) actually and reasonably incurred by the Executive in connection with an action, suit or proceeding. During the Term of Employment and for six years following the date of the Executive's termination as an officer of MFA, MFA (or any successor thereto) shall provide comprehensive coverage under its officers and directors insurance policy (or policies) on substantially the same terms and levels that it provides to its senior executive officers, at MFA's sole cost.

MFA. In 2012, full-time employment in the fishing and aquaculture sector amounted to an average of 506 and an annual average of 734 was recorded for part-time employment.142 In terms of gross value added, the fisheries sector contributed 0.3% in 2012, which is equivalent to around €17.6 million.143 The social and cultural importance of the Maltese fishing industry far outweighs its small economic contribution, which is equivalent to about 0.1% of the national Gross Domestic Product. The income of most of the local fishers depends on the sale of highly-priced fresh fish caught by traditional artisanal methods during very short fishing trips. The variety and quality of the catch also contributes considerably to the tourism industry. As at the end of 2012, the annual volume of fish landings at the official market by administrative area amounted to 1,042 tonnes, 141 tonnes less when compared to the annual volume for the year 2011.144 In addition, the annual wholesale value of fish landings at the official market amounted to €6,253,000 (an increase of €78,000 in comparison to the annual wholesale value of fish landings for 2011).145 The Maltese aquaculture sector is economically dominated by tuna penning operations along with well-established sea bass and sea bream farms. As at the end of 2012, the number of aquaculture farms amounted to six. In the same year, Malta’s output in terms of sales was around 3,904 tonnes of BFT worth some €78.9 million and around 126 tonnes of Sea Bass worth €833,000. The sales output for sea bream has increased steadily over the last four years and at 2,604 tonnes in 2012 (worth around €11million) is the mainstay of Maltese farmed fish production. Using 2012 as the baseline year, other species amounting to 806 tonnes worth some €2.2 million146 were also produced. (a) DSM acknowledges that [***] of MFA are required for the Manufacture of Third Party Intermediate and Bulk Drug and that RELYSPA has developed and will continue to develop supply arrangements worldwide with suppliers to supply MFA (“Preferred Suppliers”) for purchase by RELYPSA’s API manufacturers. Except as may otherwise be agreed upon by the Parties from time to time, DSM agrees to purchase MFA [***] from RELYPSA’s Preferred Suppliers and RELYPSA shall ensure that such Preferred Suppliers are at all times able to cover DSM’s MFA demand hereunder, subject in all cases to the successful qualification of such Preferred Suppliers. DSM will [***], by which a Preferred Supplier agrees to [***] or its Affiliates. DSM shall have the option but not the obligation to qualify such Preferred Suppliers in accordance with the qualification activities set forth in the Quality Agreement. Upon satisfactory completion of such qualification activities by either RELYPSA or DSM, each Preferred Supplier shall be deemed approved by both Parties as a supplier as required by the Quality Agreement. Upon completion of acceptance testing for each lot of MFA purchased by DSM and delivery of a certificate of analysis (or other confirmation of acceptance testing as the Parties may agree) to RELYPSA, DSM shall invoice RELYPSA for such lot at [***]. DSM’s [***] cost shall include the [***] and the costs of [***]. At all times, as agreed between the Parties, title and risk of loss with respect to MFA shall be and remain with DSM. To the extent that Relypsa negotiates payment terms directly with Preferred Suppliers of MFA, Relypsa will use commercially reasonable efforts for such Preferred Suppliers to agree to payment terms of not less than [***]; provided however, finalization of such terms is an obligation of DSM as part of any purchase order DSM may issue.
(b) RELYPSA may, in its sole discretion, identify and acquire MFA from Preferred Suppliers at RELYPSA’s expense for use in the Manufacture of Third Party Intermediate and/or Bulk Drug by DSM. In that event, DSM will keep RELYPSA informed of the required ordering lead times for operational planning purposes.
(c) DSM may, in its sole discretion, identify and qualify MFA suppliers who are not Preferred Suppliers. The overall pattern is one of slow and steady adaptation, with very few obvious discontinuities or sudden step changes. The two most dramatic changes to arise from EU membership are as follows. The first is probably the creation of integrated environmental ministries in Greece and Spain, and larger technical enforcement and monitoring agencies in the UK, France and Spain. However, in none of these cases was the EU the only motivating factor. The second is the deep Europeanization of national legal structures, which is of course, a general feature of many policy areas, not just the environment. In the case of Regulations the extent of Euro- peanization is effectively total, because EU law is directly applicable and in effect automatically becomes national law. With Directives the extent of Europeanization is not nearly so great as each country usually relies upon its own approach to transposition. However, nowadays, the Commission is usually very quick to commence infringement proceedings against states that do not adapt their national legal systems to fit EU legislative require- ments. The practice of using administrative circulars to transpose Direc- tives, which was common in Germany, Ireland and France, has been outlawed by the ECJ. In effect, the Commission has succeeded in prevent- ing states from evading or otherwise masking the Europeanization of legal structures. Finally, our study identifies the same overall pattern of winners and losers as that identified by other analysts (x.x. Xxxxxxxx and Xxxxxxx 1996). Of the main winners, the most prominent in the environmental sectors are national environmental departments, sub-national technical agencies (e.g. France and Sweden) and environmental pressure groups.
