OPERATIONAL AND COMMERCIAL MATTERS. 3.1 The point of interconnection with CARRIER for the provision of IDX Services by IDX shall be at CONNECTION POINT (the "IDX Interconnection Location"). IDX will initially provide and pay for INBOUND T1s, and CARRIER will initially provide and pay for OUTBOUND T1s. IDX Services Agreement with CARRIER.
3.2 CARRIER shall be responsible to procure, at its own expense, all necessary switching and multiplexer equipment to be located in the CARRIER Interconnection Location to provide voice compression & decompression plus International Direct Distance Dialing. This equipment shall remain the property of CARRIER. CARRIER agrees to provide and be responsible for the operation of the local facility, and shall provide 7 days and 24 hours of facility management and maintenance at the CARRIER Location.
3.3 IDX shall be responsible to procure, at its own expense, all necessary, switching and multiplexer equipment to be located in the IDX Interconnection Location to provide voice compression & decompression plus International Direct Distance Dialing. This equipment shall remain the property of IDX. IDX shall provide 7 days and 24 hours of facility management and maintenance at the IDX Location.
3.4 The cost of a link will be paid by the party using it. The Parties shall coordinate the management of their respective system facilities, with each Party being responsible for providing and operating, at its own expense, its respective network facilities. The Parties also shall interface on a 24 hours/7 days a week basis to assist each other with the isolation and repair of any facility faults in their respective networks, and with the identification, investigation and mitigation of real time traffic flow problems to/from any service destination.
3.5 CARRIER shall provide prompt and accurate traffic forecasting information in order to allow the efficient provisioning of the Services. Initial forecasts shall be provided prior to the Services Date and periodically thereafter as may be reasonably requested by IDX. Such forecasts shall be in a form satisfactory to IDX and shall specify traffic volumes, daily and seasonal profiles, and peak periods for each Destination.
3.6 IDX reserves the right to cancel and/or temporarily suspend any of all of the IDX Services if CARRIER engages in activities which, in the reasonable opinion of IDX, may cause disruption of service or damage to IDX's network of facilities. 8.2 CTME reserves the right to limit any and all communications or traffic from the Customer on any route during conditions of network congestion or for any other reason which CTME in its sole discretion may determine.

Customer shall be responsible to procure, at its own expense, the necessary facilities or equipment required to bring traffic to the Interconnection Location. The initial traffic routing will be via Teleglobe's arranged gateways.
4.2 The Parties shall coordinate the management of their respective system facilities, with each Party being responsible for providing and operating, at its own expense, its respective network facilities. The Parties also shall interface on a 24 hours/7 days a week basis to assist each other with the isolation and repair of any facility faults in their respective networks, and with the identification, investigation and mitigation of real time traffic flow problems to/from any Destinations.
4.3 Customer shall provide Teleglobe with prompt and accurate traffic forecasting information in order to allow Teleglobe to provision the Services. Such forecasts shall be provided by Customer prior to implementation of the Services and thereafter as may be reasonably requested by Teleglobe. Such forecasts shall be in form satisfactory to Teleglobe and shall specify the traffic volumes, daily and seasonal profiles and peak periods for each Destination.
4.4 Customer hereby appoints Teleglobe as its agent for purposes of establishing related services with domestic and international underlying carriers as may be required in connection with this Agreement.
4.5 Teleglobe reserves the right to cancel and/or temporarily suspend any or all of the Services if Customer engages in activities which, in the reasonable opinion of Teleglobe, may cause disruption or damage to Teleglobe's network of facilities. Teleglobe shall use commercially reasonable efforts to provide Customer with advance notice of such suspension and or cancellation and in any case shall endeavour to provide written confirmation of such suspension and or cancellation within a commercially reasonable time thereafter.
OPERATIONAL AND COMMERCIAL MATTERS. 4.1 The Parties intend that provision of Services under this Agreement shall commence as soon as practicable. Each Party agrees to promptly undertake provisioning and testing of facilities necessary for its respective Services, and to use commercially reasonable efforts to provide Services immediately upon completion of testing. Each Party agrees to promptly notify the other Party at such time as facilities testing are completed, and at such time as it is prepared to provision Services. The date upon which both Parties commence provision of Services shall be the "Commencement Date" as used in this Agreement.
4.2 The point of interconnection with the Customer for the provision of KDDI-A Services and the delivery of Customer Services by Customer shall be KDDI-A's facilities in 00 Xxxxxxxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx, and/or 000 Xxxxxxxx Xxxx., Xxx Xxxxxxx, XX, and/or 000 Xxxxx Xxxxx Xxxxxx, Meet me Room, Los Angeles, CA., (the "Interconnection Location"). The provision of the Services will be in compliance with KDDI-A's network interface procedures. Each Party shall be responsible for procurement, at its own expense, of the necessary facilities, equipment and switching required to bring and accept traffic into the Interconnection Location.
4.3 The Parties shall coordinate the management of their respective system facilities, with each Party being responsible for providing and operating, at its own expense, its respective network facilities. At the Parties own expense and responsibility, the Parties also shall interface on a 24 hours a day, 7 days a week basis to assist each other with the isolation and repair of any facility faults in their respective networks, and with the identification, investigation and mitigation of real time traffic flow problems to/from any Destinations.
4.4 The Parties shall exchange prompt and accurate traffic forecasting information in order to allow for the efficient provisioning of the Services. Such forecasts shall be provided by each Party prior to the Commencement Date and thereafter as may be reasonably requested by the other Party. Such forecasts will be in a form satisfactory to the requesting Party and shall specify the following information, but not limited to: traffic volumes, daily and seasonal profiles, peak periods for each Destination, answer seizures ratios (ASR), and PDD (Post Dial Delays). OPERATIONAL AND COMMERCIAL MATTERS. 8.1 CTKL shall use its reasonable endeavours to establish a customer care system within which the Customer can make inquiries and complaints concerning the Services.
8.2 CTKL shall take appropriate technical and organizational measures to safeguard the security of its Services. Where there is a particular risk of a breach of the security of the Services, CTKL shall notify the Customer of the risk and where the risk lies outside the

OPERATIONAL AND COMMERCIAL MATTERS. 4.1 The Co-location Service shall be provided, and shall be used by the Customer, in accordance with the specification in the Order Form.
4.2 On twenty-four (24) hours’ prior notice in writing to HGC (or in case or emergency on such prior notice as is reasonable) Customer is entitled to have access to the Co-location Space to inspect maintain adjust repair alter replace or remove the Equipment.
4.3 HGC reserves the right (a) to enter the Co-location Space at all times; and (b) to refuse access to the Premises and/or the Co-location Space or remove from the Premises and/or the Co-location Space any employees and sub-contractors of the Customer whose admission or presence is or would be in the reasonable opinion of HGC detrimental to the security of the Premises and/or the Co-location Space or in respect of whom the Customer has failed to request a right of access from HGC and HGC will not be responsible for the consequences of any such refusal or failure or delay by the Customer in notifying it of its access requirements.
4.4 The Customer accepts that HGC shall be entitled to disconnect or physically terminate or detach or remove cables or any Equipment laid by the Customer in breach of this Agreement. HGC shall be held harmless against and not be liable for any loss, damage, costs and other expenses of any nature whatsoever incurred or suffered by the Customer whether direct or consequential arising out of or in relation to the aforementioned disconnection, termination, detachment or removal provided that such work is carried out by HGC in a reasonable and timely manner.
4.5 HGC may carry out works scheduled in the Premises. Such works may entail a suspension of the related Co- location Service during one or more periods. If such works affect the related Co-location Service provided to the Customer, HGC shall give the Customer at least two (2) working days notice for such works (“Maintenance Notice”) save where such works are required due to an emergency in which case HGC shall seek to give the Customer as much prior notice as practicable. HGC shall make its reasonable efforts to carry out such works under conditions likely to mitigate any disturbance suffered by the Customer.
4.6 The Customer agrees:

The provision of the Services will be in compliance with SwissFone's network interface procedures.. At the Customer request, SwissFone will coordinate such interconnection and, in such event, SwissFone shall be entitled to xxxx Customer for SwissFone's costs (including but not limited to, facilities, equipment, transit costs and signaling). Such costs may include any charges for services of third parties incurred by SwissFone on Customer behalf in coordinating interconnection. Other circuit charges include, but may not be limited to, a one-time installation charge per DS-1 and a recurring Switch Port Charge. Customer obligation to accept and pay for non-usage sensitive charges as described herein shall be binding.
