Personnel Assistance. Supervision of all K12 personnel providing Educational Products, Administrative Services, and Technology Services. Support for School Program Staff and Teachers to include assistance with recruiting; hiring recommendations; reference, certification and background checks (excluding performing payroll functions or securing of payroll services; negotiation, securing and management of health, retirement and other benefits which shall be School’s responsibility). Recommend human resources policies, bonus plans, and strategic plans for staffing, development, and growth. Provide teacher performance evaluation models to School and recommend and, if approved, carry out effective ways to measure teacher performance in a virtual setting.
Personnel Assistance. (a) For a period of *** after the Effective Date, in addition to the transfer of INS Technology contemplated by Section 3.2.1, INS shall make its personnel reasonably available, including by telephone, e-mail and through face-to-face meetings (which face-to-face meetings shall be conducted at ViroPharma’s reasonable request and expense (for ***), to facilitate the transfer of INS’s OX1 program to ViroPharma. (b) During such *** period, ViroPharma shall compensate INS for all time requested by ViroPharma and spent by *** providing assistance requested by ViroPharma hereunder at the rate of US$*** per day or fraction thereof. (c) Following such *** period, ViroPharma and INS may mutually agree to extend the time period during which INS shall make *** reasonably available, and ViroPharma may request *** assistance at a reasonable cost to be agreed upon by the Parties. (d) INS will submit invoices, or summaries of time spent (when services are provided at no charge), for services provided by INS personnel pursuant to this Section 3.2.4 to ViroPharma on a monthly basis, and each such invoice or summary of activities performed in response to ViroPharma’s request hereunder and the number of hours or days spent performing each such activity. Invoices will be payable by ViroPharma within *** days after receipt thereof. (e) In addition to the foregoing, INS shall, at ViroPharma’s request, facilitate ViroPharma’s entry into consulting relationships with any of INS’s consultants identified by ViroPharma, including by not asserting any rights or claims that INS may have under any consulting agreement to prohibit such consultants from working with third parties.

Personnel Assistance. 13.1 CONOLOG WILL MAKE AVAILABLE TO GE, AT NO CHARGE PER DIEM, QUALIFIED ENGINEERING PERSONNEL AS ARE NECESSARY TO TRAIN GE PERSONNEL REGARDING THE OPERATION OF PRODUCTS AND THEIR TESTING, REPAIR, SERVICING AND MAINTENANCE. SUCH SERVICES SHALL BE MADE AVAILABLE AFTER REQUEST BY GE AND SHALL BE LIMITED TO AN AGGREGATE OF SIX (6) MAN DAYS (IN NO MORE THAN THREE (3) TRIPS) DURING THE FIRST TWELVE (12) MONTHS OF THIS AGREEMENT AND NO MORE THAN THREE (3) MAN DAYS DURING THE NEXT SUBSEQUENT TWELVE (12) MONTH PERIOD. TRAVEL TIME SHALL NOT BE COUNTED AS MAN DAYS OF SERVICE. GE SHALL PAY DOCUMENTED AND REASONABLE TRAVEL AND LODGING COST (CONSISTENT WITH GE PRACTICES AND POLICIES) OF ENGINEERING PERSONNEL SUPPLIED BY CONOLOG UNDER THIS PARAGRAPH. 13.2 IN ADDITION TO THE SERVICES PROVIDED FOR IN PARAGRAPH 13.1, CONOLOG WILL MAKE AVAILABLE QUALIFIED ENGINEERING PERSONNEL FOR THE SAME PURPOSES AND ON THE SAME CONDITIONS AS SET FORTH IN PARAGRAPH 13.1, BUT AT A PER DIEM RATE OF $500 PER DAY FOR AN ENGINEER AND $400 PER DAY FOR A TECHNICIAN. 13.3 IN ADDITION TO THE SERVICES PROVIDED FOR IN PARAGRAPH 13.1 AND 13.2, CONOLOG WILL MAKE QUALIFIED PERSONNEL AVAILABLE TO GE, FOR LOCATIONS DESIGNATED BY GE, WITHIN 48 HOURS OF GE'S REQUEST FOR SUCH PERSONNEL IN ORDER TO PROVIDE ASSISTANCE TO GE IN RESOLVING PROBLEMS ASSOCIATED WITH PRODUCTS SOLD BY GE. TRAVEL AND LODGING COSTS SHALL BE TREATED IN THE SAME MANNER AS SET FORTH IN PARAGRAPH 13.1. SERVICES UNDER THIS PARAGRAPH SHALL BE RENDERED FREE OF ANY PER DIEM CHARGE IF RENDERED IN CONNECTION WITH A VALID WARRANTY CLAIM WHICH CAN NOT PRACTICALLY BE SATISFIED BY RETURNING PRODUCTS TO THE CONOLOG FACTORY. IF RENDERED FOR PRODUCTS OUT OF WARRANTY THE PER DIEM RATES SPECIFIED IN PARAGRAPH 13.2 SHALL APPLY. SERVICES REQUIRED HEREUNDER SHALL BE SUBJECT TO AVAILABLE SPACE ON COMMERCIAL AIRLINES AND OTHER SERVICES REQUIRED BY GE. CONOLOG ENGINEERS SHALL BE ESCORTED BE GE PERSONNEL.

Personnel Assistance. Throughout the term hereof, Servicer shall use its commercially reasonable best efforts to preserve its business organization relating to the Accounts intact, to keep available work force of a quality and quantity capable of rendering Services comparable to the services of its present employees. In the event of a significant attrition of Servicer’s employees which affects the provision of the Services, the parties shall confer and consult in order to institute the steps necessary to ensure no interruption of the quality and quantity of Services to be rendered hereunder in accordance with the terms of this Agreement.

  • Legal Assistance The Board shall give full support including legal and other assistance for any assault upon the employee while properly acting in the discharge of his/her duties.

  • Mutual Assistance The Parties will do all things reasonably necessary or appropriate to carry out the terms and provisions of this Agreement and to aid and assist each other in carrying out such terms and provisions.

  • Educational Assistance Section 1. Tuition reimbursement shall be provided to employees covered by this collective bargaining AGREEMENT under the same terms and conditions, policies and procedures as the rest of Hennepin County and reflecting a county–wide pool for funding. See Hennepin County Tuition Reimbursement Policy Frequently Asked Questions Section 2. Where courses are required and certified by the appointing authority as essential to current job performance, such appointing authority shall grant 100% reimbursement for tuition, required fees and required study materials. Section 3. At the request of an employee, an Individual Development Plan shall be established. Any employee making the request shall be provided with paid time to work with their Supervisor or Human Resources to develop a training plan for career development within Hennepin County. Human Resources will be a source of career information, and postings, in which the employee may have an interest. Time allotted for this activity and the training plan adopted shall be subject to mutual agreement of the Employee and Supervisor.

  • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.

  • Tuition Assistance Bargaining unit employees can enroll in university or college, vocational technical school or extension courses. The course may be by correspondence or attendance at classes during non-working hours or during working hours with approval of the Agency Head and/or his/her Designee. Where practicable, in relation to work requirements, the Employer shall be liberal with the approval of requests for accrued/unused vacation leave, flex-time scheduling, compensatory time, or leave without pay for the purpose of enabling employees to attend classes conducted during an employee's regularly scheduled work hours.

  • Audit Assistance Each of the Parties and their respective Subsidiaries are or may be subject to regulation and audit by a Governmental Authority (including a Taxing Authority), standards organizations, customers or other parties to contracts with such Parties or their respective Subsidiaries under applicable Law, standards or contract provisions. If a Governmental Authority, standards organization, customer or other party to a contract with a Party or its Subsidiary exercises its right to examine or audit such Party’s or its Subsidiary’s books, records, documents or accounting practices and procedures pursuant to such applicable Law, standards or contract provisions, and such examination or audit relates to the Services, then the other Party shall provide, at the sole cost and expense of the requesting Party, all assistance reasonably requested by the Party that is subject to the examination or audit in responding to such examination or audits or requests for Information, to the extent that such assistance or Information is within the reasonable control of the cooperating Party and is related to the Services.

  • Transition Assistance If this Contract is not renewed at the end of this term, if the Contract is otherwise terminated before project completion, or if particular work on a project is terminated for any reason, Contractor shall provide transition assistance for a reasonable, mutually agreed period of time after the expiration or termination of this Contract or particular work under this Contract. The purpose of this assistance is to allow for the expired or terminated portion of the services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such services to State or its designees. The parties agree that such transition assistance is governed by the terms and conditions of this Contract, except for those terms or conditions that do not reasonably apply to such transition assistance. State shall pay Contractor for any resources utilized in performing such transition assistance at the most current Contract rates. If State terminates a project or this Contract for cause, then State may offset the cost of paying Contractor for the additional resources Contractor utilized in providing transition assistance with any damages State may have sustained as a result of Contractor’s breach.
