Primary Services. (a) The Owner shall proceed with the installation or construction of the Works required in Phase 1 hereunder with all reasonable dispatch and shall complete all of the Primary Services within one (1) year after the date of the registration of this Agreement. The Owner shall proceed with the installation or construction of the Works in Phase 2 within one (1) year of the date of the Final Certificate of Completion of Services in Phase 1, and shall commence construction of Primary Services on Phase 3 within one (1) year of Final Certification of Completion of Services in Phase 2. The Director of Operations may extend the time for completion of the Primary Services, as he may deem expedient upon the written application of the Owner.
(b) The Owner agrees that if construction has not been commenced within one
(1) year of the registration of this Agreement or in the opinion of the Town where construction is substantially suspended or discontinued for a period of more than one (1) year, the Town may refuse to issue any further approvals or Building Permits under the terms of this Agreement or, may revoke any existing approvals or building permits issued to the Owner pursuant to the terms of this Agreement, and may require the execution of a new Agreement.
(c) The performance by the Owner of its obligations in this Section 9.1, to the satisfaction of the Town and the Director of Operations shall be a condition precedent to the Acceptance by the Town of the Works.
(d) Prior to the issuance by the Town of the Preliminary Certificate of Completion of Primary Services, the Owner shall:
(i) Provide the Director of Operations with a Statutory Declaration signed by the Owner in a form satisfactory to the Director of Operations, that all accounts for the installation, construction and maintenance of the Primary Services required to be installed or constructed hereunder have been paid and that there are no outstanding debts, claims or liens in respect of the Primary Services; and,
(ii) Provide the Director of Operations with a Certificate signed by the Consulting Engineering Firm certifying that the Primary Services have been fully completed, inspected, tested and maintained in accordance with the provisions of this Agreement hereof, with the standards and specifications of the Town, and with the approved plans and specifications as approved by the Director of Operations.

Primary Services. RT agrees to provide certain services (the "Services") for Agency under, and subject to, the provisions of this Agreement and as outlined in the applicable Membership Designation ("MD") incorporated herein by reference. RT and Agency will execute a MD for each Term, as defined in Section 6 of this Agreement.
Primary Services. Those Services considered by the City to be fundamental to the successful management of the overall Capital Improvements Program shall be considered Primary Services and shall consist, generally of the following areas: The Consultant, in its capacity as Program Manager, will assist, where/when Director or designee, in his/her sole discretion, identifies the need, in the comprehensive coordination, development, and management, including, but not limited to, the following Services and/or activities: Program Implementation Strategies: research and recommend the most effective methods to implement all aspects of the overall Program. Program Coordination: Coordination and schedule management for Project design, procurement, contract negotiation and contract administration activities. Program Logistics: Develop comprehensive Program Work plans, schedules and budgets. Manage CIP’s “letting” plan for Projects, including the updating, revision, conflicts, deviation, and analyses to determine the impact of potential changes to the “letting” plan. Fiscal Management Assistance: Develop financial projections, monitor and track Program funds, financing and cash flows. Assist with the development of program and financial data for potential financing options, including investment bonds, which may be utilized to implement the Program.
Primary Services. (a) During the term of this Agreement, SP Corporate shall provide to the Company the non-exclusive services of a person designated by SP Corporate and approved by the Committee to perform the services of Chief Financial Officer of the Company in accordance with the terms and provisions of this Agreement (the “CFO Designee”). In his or her capacity as the Chief Financial Officer of the Company, the CFO Designee shall report to the Committee and the Chief Executive Officer of the Company. The CFO Designee shall devote such time and effort as is reasonably necessary to fulfill the statutory and fiduciary duties of the Chief Financial Officer of the Company until such time as otherwise instructed or removed by the Board or the resignation of the CFO Designee in such capacity or his or her death. In the event the CFO Designee ceases for any reason to serve as Chief Financial Officer, SP Corporate has a right, but not an obligation, to propose another person to serve as the Company’s Chief Financial Officer. If such person is approved by the Committee, then this Agreement shall be amended accordingly. The duties of the CFO Designee are set forth in additional detail on Exhibit A. This Agreement shall apply in all material respects to any successor to the CFO Designee who serves as the Chief Financial Officer of the Company in accordance with this Agreement and the term the CFO Designee used herein shall apply to any such successor.
(b) During the term of this Agreement, SP Corporate shall provide to the Company the non-exclusive services of such person as designated by the CFO Designee and approved by the Committee, which approval shall not be unreasonably withheld, from time to time (the “Reporting Manager Designee” and, together with the CFO Designee, the “Designated Officers”) to serve as the Financial Reporting Manager (the “Reporting Manager”) of the Company; provided that the CFO Designee, in his or her evaluation of whether a candidate for the Reporting Manager’s position is appropriately qualified, shall apply such criteria as the Committee may from time to time establish. In his or her capacity as the Reporting Manager of the Company, the Reporting Manager Designee shall report to the Chief Financial Officer. Primary Services. Lessee shall install, at minimum, two (2) AC Level 2 EV public charging stations. In addition to installation, Lessee shall complete the following services:
a. Design and preparation of plans and specifications for the proposed locations per Lessor’s standards.
b. Coordinate with all applicable agencies to obtain necessary permits.
c. Coordinate with Rocky Mountain Power on any new power feeds, transformer, and meter instillations required.
d. Be solely responsible for any payments, fees, and costs associated with the installation of transformers, including the pad mount or any other infrastructure needed for instillation.
e. Ensure all work is conducted by Lessees holding all necessary State of Wyoming or City of Laramie licenses as public works Lessees qualified for the work necessary for the installation of the EV charging stations.
f. Securing and complying with City encroachment, building, electrical or any other permits necessary for the EV charging station installations.
g. Installation of electrical conduits and electrical connection to supply power for the complete installation and operation of the EV chargers.
h. Furnishing EV charger materials and equipment for a complete in-place system.
i. Testing and commissioning of the EV charging stations.
j. Enabling and processing point of sale transactions while providing flexible payment options that allow for universal public access.
k. Providing timely maintenance services and 24 hours, 7 days a week customer support.
l. Posting contact information for the public at the site.
Primary Services. The County may assign the types of services listed below and not all-inclusive. Work requested may consist of one or multiple tasks in the following areas.
1. Planning and/or Design Development 2. Master Planning Studies
3. Feasibility Studies 4. Design Guidelines 5. Schematic Design Studies
6. Technical Specifications
7. Stormwater Management Best Management Practices (BMP) including bio-retention plantings
8. Presentations to stakeholders including civic associations and Arlington County Board appointed commissions
9. Preparation of 100% construction drawings and specifications for construction bids 10. Preparation of Construction Estimates

The services to be carried out by the Operator are: • The provision, equipping and maintenance of the Operator’s wheelchair adapted Base Fleet; • The provision of a vehicle depot for staging, maintenance and cleaning of the Base Fleet; DRAFT • Brokering of services with other operators on a gross contract basis for Pre-arranged Services, through subcontracting agreements. These Subcontracted Operators must have the capability, capacity, and be legally licensed to provide all inclusive supplementary transport services to the Primary Operator’s Base Fleet. Subcontracted Operators may include: Private companies; Non-governmental organizations (NGO’s), etc. The Primary Operator may subcontract to multiple subcontractors. • The employment and training of drivers for the Base Fleet; • Training of the Subcontracted drivers where required; • Setup, management, and operation of a fully functional call-centre and operations office, which may include the following: o The employment and training of call-centre, administrative and other staff; o Provide and manage the necessary telecommunications infrastructure and equipment such as computers to perform the reporting and management tasks on the Data Management Platform; • Provide vehicle trip scheduling functions using the software provided by the City: o Vehicle and trip scheduling of the DaR vehicles and drivers for the carriage of DaR passengers in the form of waybills; • Provision of DaR passenger services using the Base Fleet and supplementary services provided by Subcontractors (i.e., the safe and courteous collection, carriage and setting-down of passengers); • Addressing of passenger queries, and recording of issues / complaints, requests and recommendations for service improvement; and • Facilitation of passenger applications and registration. • Collate all the information collected (relating to operations of the Primary Operators and all Subcontracted Operators) through the various systems, and report back to the City. • Piloting of On-demand services via a nett contract using Subcontracted Operators;
