PROJECT DEFINITION AND SCOPE. This AGREEMENT, approved by TAM Board on September 23, 2021, in accordance with the requirements of TAM’s Measure B Expenditure Plan and Strategic Plan, is made for the funding of the following project (“PROJECT”) identified in the RECIPIENT’s Project Information Sheet (Attached): • Project Information Sheet Additional information on project scope is included in the Project Information Sheet, referenced as Exhibit A.
PROJECT DEFINITION AND SCOPE. Subject to completion of any required environmental review, the RECIPIENT agrees to undertake and complete the project identified in the RECIPIENT’S Allocation Request Form (PROJECT) with all practicable dispatch, in a sound, economical, and efficient manner, and in accordance with all the provisions of Sections 1 and 2 hereof, and as described in the Scope section and any Special Conditions of the TNC Tax Program Allocation Request Form, which are attached to this AGREEMENT, and made a part hereof. If RECIPIENT determines that it will no longer pursue the PROJECT, RECIPIENT will, with all practicable dispatch, provide the TRANSPORTATION AUTHORITY with an explanation and reason for ceasing pursuit of the PROJECT, and work with the TRANSPORTATION AUTHORITY to develop a plan to explain and justify as needed this change to members of the TRANSPORTATION AUTHORITY Board of Commissioners, and to establish a timeline for submitting a final reimbursement request, returning any unspent funds, and closing out the GRANT, consistent with the provisions in Section 2, below.

Demolition of the existing building structures and concrete abutments within San Anselmo Creek located at 000-000 Xxx Xxxxxxx Xxxxxx New pedestrian plaza and flood wall to back of existing sidewalk along San Anselmo Avenue Retain and reinforce existing retaining wall at the creek and along San Anselmo Avenue at or near 000-000 Xxx Xxxxxxx Xxxxxx Stabilization and planting of the creek bank slope on the left bank in the existing Creek Park (looking downstream) Stabilization and planting of the creek bank slope on the right bank (along San Anselmo Avenue) below the art kiosk Retention of the art kiosk structure throughout construction of these improvements Replace existing performance stage with similar footprint and using existing piers with similar materials as the existing stage but built to a new height to comply with Americans with Disabilities Act The PROJECT would be constructed in two phases in 2020 and 2021. Phase 1 PROJECT work in 2020 includes: Surveys, mapping and right-of-way engineering Traffic analysis, geotechnical analysis, civil engineering, hydraulic analysis, environmental permitting and public outreach support Engineering reports documenting hydraulic, civil and geotechnical findings to support basis of design 100% plans, specifications and estimate (PS&E) Project and construction management (PM) Secure permits required from the Town and other agencies as required for construction. Provide keys to TOWN public works director to perform demolition as described below.

Scope of the Statement of Work The SOW is intended to define the working relationship and deliverables between Dot Hill and NetApp from initiation of product definition, through product development and verification, until NetApp achieves product First Customer Ship (FCS). The design Specifications have been defined in the Engineering Specifications (Exhibit A), collectively referred to as the “Spec”, jointly developed by Dot Hill and NetApp. Any product definition changes made will be reflected in these documents. Dot Hill will design and implement to the requirements as defined in the Spec. Notwithstanding anything to the contrary in this Agreement, including this exhibit, all target dates in this exhibit represent a good faith estimate by the parties of potential completion of certain tasks as of the Effective Date, and are tentative and preliminary and, therefore, subject to change. Under no circumstances shall Dot Hill be in breach of this Agreement, including the provisions of this exhibit, or liable for any damages to NetApp based upon any failure by Dot Hill to meet any target date set forth herein if: (i) Dot Hill has exercised reasonable efforts to attempt to meet such target date; or (ii) such failure to meet such target date arises or results from any (a) NetApp act or omission, (b) failure by NetApp to fulfill on a timely basis any dependent obligation to Dot Hill, or (c) failure by the parties to agree upon new or modified NetApp requirements for the Products, despite the parties attempt to do so.

The Project shall consist of a fill and finish facility for the manufacturing of pharmaceuticals, including without limitation the building in which the facility is located, all machinery and equipment, 35-40 acres of land for this facility, personal property, and support facilities and office spaces within the building. It further includes repairs, replacements, modernization, renovations, and remodeling of the building, structures, machinery and equipment, fixtures and furnishings, and supplies as well as future additions to the building or structures.
