Project Management Arrangements. 8.1 The Project will be overseen and monitored by the Project Board comprising one representative from each of the Delivery Agents for the time being who shall have authority to act and make decisions on the Delivery Agent's behalf. The terms of reference for the Project Board are set out in Appendix 1. 8.2 For the avoidance of doubt all actions and decisions made by the Project Board shall be subject to the overriding need to manage the Project in accordance with the terms of any Grant or Funder and shall be governed by the provisions of this Agreement and any decision inconsistent with such obligations, as determined by Managing Agent and the Accountable Body, acting reasonably and in good faith (in consultation with any Funder as necessary), will be invalid and shall not be binding upon or enforceable against the Parties. 8.3 The role of the Project Board will include but not be limited to: • Oversee the strategic development of the RCWRP. • Appoint new members to the Project Board. • Appoint the Chair of the Project Board on an annual basis. • Appoint a Managing Agent • Approve the RCWRP Strategic Plans, Annual Programmes and other plans. • At the Annual Meeting each year appoint from amongst the Project Board a Strategy Policy Group and an Operations GroupReceipt of the Annual Report. • Be able to appoint/invite advisors to attend, but not vote, at Project Board meetings. • A majority of Delivery Agent's voting shall prevail with each Delivery Agent's having one vote exercised by their representative on the Project Board. The Chair of the Project Board shall have a casting vote in the event of an equality of votes in addition to any other vote he or she may have. 8.4 Representatives may be appointed or removed by notice in writing to the Chair of the Project Board (and copied to each of the Delivery Agents) by the relevant appointing party served in accordance with the provisions of this Agreement

Project Management Arrangements. 8.1.1 The work of the interim Project Board, as currently commissioned by the North of Scotland Planning Group, is to develop the Initial Agreement for approval by the NHS Boards, the NoSPG and the Capital Investment Group. The interim Project Board is chaired by the Assistant Chief Executive of NHS Tayside and also has a representative membership including the Director of Regional Planning & Workforce Development, clinical and managerial representatives from partner Boards, Public Health representation from the North of Scotland Public Health Network, Project Management and Finance support. 8.1.2 Stage 1 of the plan will result in an approved Initial Agreement. Stage 2 will result in an approved Outline Business Case and formal agreement between the constituent NHS Boards to sign up to the strategic objectives and financial implications described within it. 8.1.3 In order to take the project forward, it is necessary to ensure that a formal Project Board is established to support a dedicated Project Team. This team will be led by a full time, qualified project manager with dedicated project office support. 8.1.4 Input from other professions including Technology, Finance and HR will vary during the length of the project but adequate provision will be made. The level of clinical input to this project should not be underestimated. Provision should be made by all NHS Boards, by means of backfill or secondment, to release suitably experienced clinical resources as required. 8.1.5 The following table (13) summarises the project resources identified as necessary.   • Management Arrangements 9.1. The Management Arrangements set out the arrangements for the strategic management of the relationship between the Authority and the Contractor, including arrangements for monitoring of the Contractor’s compliance with the Statement of Requirements, the Service Levels, the Award Procedures and the terms of this Framework Agreement. 9.2. The Authority may by notice to the Contractor suspend the Contractor’s appointment to provide Services to Framework Public Bodies for a notified period of time: 9.2.1. if the Authority becomes entitled to terminate this Framework Agreement under clause 42 (Termination Rights) or 43 (Termination on Insolvency or Change of Control); or 9.2.2. in any other circumstance provided for in the Management Arrangements. 9.3. Suspension under clause 9.2 shall terminate upon cessation of all of any circumstances referred to in subclauses 9.2.1 and 9.2.2. 9.4. The Contractor must continue to perform existing Call-off Contracts during any period of suspension under clause 9.2.

  • Project Management Plan 3.2.1 Developer is responsible for all quality assurance and quality control activities necessary to manage the Work, including the Utility Adjustment Work. Developer shall undertake all aspects of quality assurance and quality control for the Project and Work in accordance with the approved Project Management Plan, Good Industry Practice and applicable Law. 3.2.2 Developer shall develop the Project Management Plan and its component parts, plans and other documentation in accordance with the requirements set forth in Section 1.5.2.5

  • Advisory and Management Arrangements Subject to the requirements of applicable law as in effect from time to time, the Trustees may in their discretion from time to time enter into advisory, administration or management contracts (including, in each case, one or more sub-advisory, sub-administration or sub-management contracts) whereby the other party to any such contract shall undertake to furnish such advisory, administrative and management services with respect to the Trust as the Trustees shall from time to time consider desirable and all upon such terms and conditions as the Trustees may in their discretion determine. Notwithstanding any provisions of this Declaration, the Trustees may authorize any advisor, administrator or manager (subject to such general or specific instructions as the Trustees may from time to time adopt) to exercise any of the powers of the Trustees, including to effect investment transactions with respect to the assets on behalf of the Trust to the full extent of the power of the Trustees to effect such transactions or may authorize any officer, employee or Trustee to effect such transactions pursuant to recommendations of any such advisor, administrator or manager (and all without further action by the Trustees). Any such investment transaction shall be deemed to have been authorized by all of the Trustees.

  • Monitoring Arrangements 8.1 We will formally monitor the progress of the access agreement at least once a year and report annually to the SCITT Management Group. Initial monitoring will be concerned with participation rates and the development of data on lower income and other under-represented groups. When specific data is accrued, we will look to monitor against this. 8.2 Our annual report to the SCITT Management Group will form the basis of our monitoring report to OFFA.

  • Patch Management All workstations, laptops and other systems that process and/or 20 store PHI COUNTY discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or 21 transmits on behalf of COUNTY must have critical security patches applied, with system reboot if 22 necessary. There must be a documented patch management process which determines installation 23 timeframe based on risk assessment and vendor recommendations. At a maximum, all applicable 24 patches must be installed within thirty (30) calendar or business days of vendor release. Applications 25 and systems that cannot be patched due to operational reasons must have compensatory controls 26 implemented to minimize risk, where possible.

  • PAYMENT ARRANGEMENTS 4.1 Within 30 calendar days following the signature of the agreement by both parties, and no later than the start date of the mobility period or upon receipt of confirmation of arrival, a pre-financing payment shall be made to the participant representing [between 50% and 100%] of the amount specified in Article 3 [NA may add: per semester]. In case the participant did not provide the supporting documents in time, according to the sending institution's timeline, a later payment of the pre-financing can be exceptionally accepted. 4.2 If the payment under article 4.1 is lower than 100% of the financial support, the submission of the on-line EU survey shall be considered as the participant's request for payment of the balance of the financial support. The institution shall have 45 calendar days to make the balance payment or to issue a recovery order in case a reimbursement is due.

  • Construction Management Plan Contractor shall prepare and furnish to the Owner a thorough and complete plan for the management of the Project from issuance of the Proceed Order through the issuance of the Design Professional's Certificate of Material Completion. Such plan shall include, without limitation, an estimate of the manpower requirements for each trade and the anticipated availability of such manpower, a schedule prepared using the critical path method that will amplify and support the schedule required in Article 2.1.5 below, and the Submittal Schedule as required in Article 2.2.3. The Contractor shall include in his plan the names and resumés of the Project Superintendent, Project Manager and the person in charge of Safety.
