Registration, Maintenance and Operation. Company, at its own cost and expense, (i) will be a "citizen of the United States" as defined in Section 40102(15) of Title 49 of the United States Code; (ii) will cause ownership of the Aircraft and Spare Engines to be duly registered and remain duly registered in the name of Company in accordance with the Act; and (iii) will cause Lessee to service, repair, inspect, test, maintain, overhaul the Airframe and each Engine and each Spare Engine and install replacement equipment and parts on the Aircraft, each Engine and each Spare Engine (A) so as to keep the Airframe and each Engine and each Spare Engine in such operating condition as may be required to permit the Airframe and each Engine to be utilized in commercial operations, (B) so as to enable the airworthiness certification of the Airframe to be maintained in good standing at all times under the Act, except when aircraft of the same type, model or series as the Airframe (powered by engines of the same type as those with which the Airframe shall be equipped at the time of grounding) registered in the United States have been grounded by the FAA; provided, however, that if following its issuance, the United States FAA airworthiness certificate of the Aircraft shall be withdrawn, then subject to the provisions of Section 4(f) hereof, so long as Company is diligently taking or causing to be taken all necessary action to promptly correct the condition which caused such withdrawal, no Event of Default shall arise from such withdrawal, (C) in accordance with Lessee's FAA-approved maintenance, inspection and maintenance control programs, and in the same manner and with the same care used by Lessee with respect to the same or similar aircraft and engines owned or operated by Lessee so as to keep the same in as good operating condition as when originally mortgaged hereunder, ordinary wear and tear excepted, which practices shall at all times be at or above the standard of the industry in the United States for prudent maintenance of similar equipment, and (D) in such manner as may be necessary to maintain in full force all warranties of the manufacturers thereof. (a) upon payment by the Lessor of the Purchase Price on the Delivery Date, cause the Aircraft to be duly registered in the name of the Lessor as owner, pursuant to the Transportation Code and, subject to the proviso to Section 6.03(b) of the Participation Agreement, to remain at all times duly registered pursuant to the Transportation Code and at all times act in accordance with the rules and regulations of the Aeronautics Authority or the applicable laws, rules and regulations of any other jurisdiction in which the Aircraft may then be registered in accordance with Section 6.03(b) of the Participation Agreement;
(b) maintain, inspect, service, repair, test and overhaul the Aircraft (or cause the same to be done) so as to keep the Aircraft (and any engine which is not an Engine but is installed on the Aircraft) in as good operating condition as when delivered to the Lessor on the Delivery Date, ordinary wear and tear excepted, and in any event (i) in accordance with the applicable regulations of the Aeronautics Authority or of the regulatory agency or body of any other jurisdiction in which the Aircraft may then be registered pursuant to Section 6.03(b) of the Participation Agreement and the Lessee's maintenance program approved by the Aeronautics Authority or such agency or body, (ii) in the same manner and with the same care used by the Lessee with respect to other A300-600 series aircraft and CF6-80C2-A5F series engines (or other engines permitted by the terms of this Lease to be used on the Aircraft) owned, operated or leased by the Lessee, to the extent that the same regulations, and the Lessee's FAA-approved maintenance program shall apply to any such aircraft and related engines, owned or leased by the Lessee, and utilized in similar circumstances, and without discriminating against the Aircraft, with respect to its use, operation or maintenance in contemplation of the expiration or termination of this Lease other than withdrawal of the Aircraft from use and operation as is necessary to prepare the Aircraft for return to the Lessor upon such expiration or termination, and (iii) so as to keep the Aircraft in such condition as may be necessary to enable its airworthiness certification to be maintained in good standing at all times under the Transportation Code or any applicable rule or regulation of the applicable regulatory agency or body of any other jurisdiction in which the Aircraft may then be regis...
Registration, Maintenance and Operation. The Owner Trustee, at its own cost and expense, will:
(i) prior to mortgaging an Engine, item of Equipment or Lease (a) register with the International Registry (x) the ownership interest of the Owner Trustee in each Engine represented by the Contract of Sale (or Prospective Sale) constituting the Xxxx of Sale, as long as the seller of the Engine is situated in a Contracting State, as provided for in the Cape Town Convention, and (y) the Owner Trustee’s ownership interest with respect to each Lease, as long as the lessee of the Engine under such Lease is situated in a Contracting State, as provided for in the Cape Town Convention, and (b) cause each Engine, item of Equipment and Lease to be duly registered and at all times thereafter remain duly registered in the name of the Owner Trustee in accordance with the Act, if applicable, or other applicable law;
(ii) make or cause such filings, registrations, or otherwise with the FAA, International Registry, and under the UCC as shall be required to perfect the Lien of Mortgagee with respect to all Collateral under the Mortgage, including but not limited to the following:
(1) register the International Interest (or Prospective International Interest) of the Mortgagee, under this Mortgage, with respect to each Engine and Lease with the International Registry (so long as the lessee of the Engine under such Lease is situated in a Contracting State, as provided for in the Cape Town Convention);
(2) register the International Interest (or Prospective International Interest) of the Lessor, under the Lease with respect to each Engine with the International Registry (so long as the lessee of the Engine under such Lease is situated in a Contracting State, as provided for in the Cape Town Convention);
(3) register the Lien under this Mortgage and the Lease with the FAA pursuant to the Act;
(4) file UCC financing statements in such states in the United States of America as required, in the judgment of Mortgagee, to perfect the Lien of Mortgagee in all UCC Collateral, which financing statements shall name Mortgagee as secured party and as Security Agent for the benefit of Credit Facility Lenders and Non-Lenders; and
(5) maintain the rights and International Interests of the Owner Trustee and Mortgagee in the Engine, as against any third parties under the applicable laws of any jurisdiction within the United States and as against any third parties in any Contracting State under the Cape Town Convention;

(B) to the extent that such registration cannot be maintained (x) because of the failure of Lessor or Owner Participant to comply with the citizenship or other eligibility requirements for registration of aircraft under the Transportation Code or with Section 6.3.1 or 6.4.4 of the Participation Agreement or (y) because of the failure by Lessor or Owner Participant to execute and deliver, upon request of Lessee, any documents required for the renewal of such registration; provided that Lessor and Owner Participant shall execute and deliver all such documents as may be required by the FAA from time to time for the purpose of effecting and continuing such registration, and shall not register the Aircraft or permit the Aircraft to be registered under any laws other than the United States at any time except as provided in the following proviso; and provided, further, that Lessee may at any time, with the prior written consent of Owner Participant (such consent not to be unreasonably withheld), subject to satisfaction of the Re-registration Conditions or waiver of any thereof by Owner Participant, cause the Aircraft or permit the Aircraft to be registered under the applicable statutes of any country in which a Permitted Sublessee could be based, in the name of Lessor or, if required by applicable Law, in the name of any other Person, and Lessor and Owner Participant shall cooperate with Lessee’s reasonable requests in effecting and continuing such foreign registration, and Lessee shall maintain such registration unless and until the Aircraft is re-registered in accordance with this Section 7;
