However, the terms of this Section 15(a) shall not apply in the event that the Buyer is a co-manufacturer.

Buyer has directed the location of the pool and other improvements and equipment as shown on the attached pool drawing and where such location (or other location approved or directed by Buyer) is used there shall be no liability on the part of Builder for incorrect location of such pool, other improvements and equipment, or for encroachment or interference thereby upon the property, easements or rights of any third parties. Buyer shall furnish any necessary variance and associated permits or fees. Drainage beyond the pool site is to be provided by Buyer and is to meet city and/or county requirements. No grading will be done by Builder unless specified on the reverse side of this contract. Buyer agrees to make payment called for by this contract on time, even though repairs under this contract may have been scheduled but not yet performed. All payments received later than 3 days from the time due extend the completion date hereunder an additional 3 days for each late day. If completion of the swimming pool is delayed by causes under Buyer's control for a period of more than 30 days, Buyer agrees to pay the increased labor and material, and equipment cost resulting from Buyer's delay. Approval of work by an inspecting governmental agency is deemed to be completion of that work in a workmanlike manner. The pool is deemed complete (for purposes of establishing a date of completion of construction) when plastered. RESPONSIBILITIES OF BUYER. 4.1 BUYER is responsible for providing the Service Engineer of SUPPLIER access to the location of the instrument(s) during normal working hours in order to carry out the Service, including, without limitation, access via the Internet or via direct modern connection to relevant BUYER data files necessary to perform analysis and functionality, access to BUYER facilities, and/or access to, and assistance of BUYER personnel who possess information required by SUPPLIER for purposes of performing its obligations hereunder. BUYER is also responsible for making the Service Engineer aware of any hazards in the BUYER’s environment which may be encountered while servicing the instrument. If the Service Engineer determines that the environment includes hazards that prevent safe delivery of Service, he may leave the site until the environment is made safe.

In consideration for the services of the Transition Employees to be provided pursuant to the terms of this Agreement by Sellers for Buyer, Buyer shall pay to Sellers, and reimburse them for, the salaries (including benefits) for the Transition Employees. Notwithstanding anything herein to the contrary, in no event shall Buyer reimburse Sellers for any severance payments or other severance compensation or benefits with respect to such Transition Employees. Payment by Buyer to Sellers of amounts described herein shall be made within ten (10) business days of the end of each regular pay period, provided that Sellers have delivered an invoice to Buyer relating thereto at least five (5) business days prior to the expected date of reimbursement.
