Performance Level. FIS shall use commercially reasonable efforts to make the Service available to Client at least ninety-nine percent (99%) of the time (“Uptime Commitment”), measured monthly, using the following formula. The Uptime Commitment shall measured by the Total Hours of Operation minus Service Outages divided by Total Hours of Operation. A “Service Outage” means any time when the Service is inoperable or unavailable due to or caused by reasons reasonably within FIS’ control, excluding specifically the following reasons: (i) Client’s own telecommunications or Internet service providers; (ii) a Force Majeure Event; (iii) any systemic Internet failures; or (iv) any failure in Client’s own hardware, software or network connection. “Total Hours of Operation” means twenty-four (24) hours per day, three hundred sixty-five (365) days per year, excluding any time for Maintenance Outages. “Maintenance Outage” means a planned or unplanned maintenance period, including, without limitation, any maintenance downtime or maintenance outage, not to exceed an aggregate of ten (10) hours in any calendar month. For each calendar month in which FIS has Uptime of: (a) less than 99% but equal to or above 95%, FIS shall, upon Client’s request made within thirty (30) days of the end of that calendar month, provide Client with a written plan for improving Uptime to attain 99% Uptime, and FIS shall promptly implement such plan; or (b) less than 95%, FIS shall, upon Client’s request made within thirty (30) days of the end of that calendar month, provide Client with a service credit in an amount equal to (i) *****% of the month’s Base Vault Stored Volume fee or (ii) $*****, whichever is less. In addition to the vehicle count, component assets are also included on a 3:1 basis. For vehicle count purposes we are using number supplied by the City of 382 vehicles plus 47 trailers and adding 5% for variances to a total of 450 asset licenses. AssetWorks FleetFocus includes the base system with availability of optional modules. AssetWorks has included the modules which are necessary to deliver best of class functionality in the fleet arena desired by the City. Software License and Maintenance. U-SHIP grants RETAILER a non-exclusive, non-transferable license to use the Software for the sole purpose of operating the ASC at the installed Store Location. RETAILER acquires no right, title or interest in the Software pursuant to this Agreement, and RETAILER shall take all steps necessary to prevent the Software from being acquired or copied by unauthorized persons or used other than as authorized in this Agreement or in writing by U-SHIP. The software maintenance to be provided hereunder shall consist of toll free telephone technical assistance provided by U-SHIP relating to Software licensed to RETAILER hereunder. From time to time, U-SHIP may offer updates and/or enhancements to the Software. Updates are features, minor enhancements or problem corrections that are added to the Software and issued periodically to customers of U-SHIP for no additional cost. U-SHIP may also develop additional features that add significant functionality to the Software which may be sold separately as enhancements. If the RETAILER elects to buy an enhancement the RETAILER shall be charged the then current price therefor, and such enhancements shall be covered by the terms of this Agreement. U-SHIP will employ reasonable efforts to correct malfunctions, errors or defects in the Software within twelve (12) hours of a report thereof by RETAILER to U-SHIP, or if U-Ship is unable to provide such correction within twelve (12) hours despite use of all reasonable best efforts, than as soon as is reasonably possible. County may subsequently contract for annual maintenance with Contractor. County has contracted for an initial three (3) years of maintenance to start following the one year warranty period. Software License and Maintenance i. License Grant. Blackbaud grants to Client, and Client accepts, a License. "License" means a revocable, nontransferable, nonassignable, nonsublicensable, nonexclusive and perpetual (subject to Section 5(a) below) license to use one copy of the Software in machine readable, object code form only, and the applicable manuals and documentation that Blackbaud generally provides or makes available for Software and/or Subscriptions, as applicable ("Documentation"), solely for the furtherance of Client's tax-exempt mission. For purposes of this Agreement, the License extends both to the computer program Delivered by Blackbaud and updates provided by Blackbaud thereto pursuant to Client's continued enrollment in support and maintenance purchased by Client pursuant to an ATP ("Maintenance"), but also all applications created by or on behalf of Client utilizing the Application Programming Interface, Software Development Kit or Visual Basic for Application contained in the Software ("Blackbaud Tools"), if any. Client may only install and use the Software (i) on a computer network which meets the applicable specifications and (ii) in a manner that ensures that Client's simultaneous use of and access to the Software will be limited to the number of authorized users set forth in the applicable ATP.
