TECHNICAL ASSISTANCE AND TRAINING. Licensor agrees to provide to HP the technical assistance and training to HP personnel as may be reasonably requested for HP to use, copy and distribute the Program as contemplated here, and as may be further described in a SOW.
TECHNICAL ASSISTANCE AND TRAINING. Licensor shall use reasonable efforts to provide Licensee with such technical assistance, training and instruction as may be necessary to enable Licensee or its permitted sublicensee to design, construct, start-up, test and operate an Operational Foundry, and to utilize the MBE process in such Operational Foundry, in accordance with the implementation plan set forth in Schedule 3.1.
3.1.1 Licensor shall assist Licensee in the design and upfit of a Foundry (if Licensee elects to operate its own Foundry), including the provision of such information within its possession as may reasonably be of use to Licensee (as determined solely by Licensor) with respect to site selection, building specifications, plant layout, equipment specifications and sourcing, manufacturing process flows, chemical and physical parameters and conditions, raw material and intermediate material requirements, waste generation and treatment, consumable items and materialsand all other engineering, scientific or technical assistance appropriate for the design and construction of a Foundry.
3.1.2 Licensor shall assist Licensee in the start-up phase of the Foundry, including technical assistance, instruction and training of Licensee personnel to operate, adjust, modify, control and optimize the manufacturing process to be undertaken at the foundry to the point where it can become an Operational Foundry.
3.1.3 The instruction and technical assistance to be rendered by Licensor shall be at Licensee's Foundry location unless otherwise agreed by the parties. All travel and living expenses incurred by Licensor personnel in traveling to and from Licensee's Foundry and while on site shall be borne by Licensor.
3.1.4 Notwithstanding the provisions set forth above in this Section 3.1, Licensor shall be under no obligation to provide technical assistance to Licensee once the expense limit set forth in Schedule 3.1 has been reached. In no event will Licensor be obligated to spend more money than is set forth in Schedule 3.1.
3.1.5 If Licensee requests Licensor to perform, prior to December 31, 1998, additional technical assistance beyond that specified in Schedule 3.1, then Licensor shall provide such additional technical assistance at Licensor's then existing labor rates, including burden and reasonable margin. TECHNICAL ASSISTANCE AND TRAINING. 12.1 During the term of this Agreement and upon the written request of Licensee from time to time, Licensor shall at such mutually agreeable times arranged in advance and for such reasonable duration, which will not unduly interfere with the normal operations of either Licensor or Licensee, to:
a) Permit duly authorized representatives of Licensee to visit, the Licensor’s operational facilities to engage in technical discussions, demonstrations, review of technical data and related activities which facilitate the transfer of technology from the Licensor to the Licensee as related to the manufacture of Licensed Products. The Licensor agrees to provide its best efforts to provide a total package of technology transfer to the licensee; and
b) Make available to Licensee at Licensee’s facilities, at Licensee’s expense and at Licensee’s request, for a period not to exceed thirty (30) man-days in any calendar year, the services of one or more employees of Licensor who are familiar with Technical Information for consultation concerning Licensee’s use of Technical Information and training of Licensee’s personnel. Licensee shall take responsibility for supervision of Licensor’s personal, physical well bearing, life and property.
12.2 The Licensee shall advise Licensor in writing at least thirty (30) days prior to the date on which Licensee wishes Licensor to commence the provision of a given round of technical assistance or training, and with such notice, a schedule of the proposed areas in respect which technical assistance or training is being sought, the number of technical experts who will be required, the estimated mandate, and the dates for the provision of such technical assistance. Licensor shall promptly advise Licensee upon receipt of such notice whether or not Licensor can furnish such technical assistance consistent with the proposed schedule and, if not, shall propose a reasonable alternative arrangement or schedule therefore.
12.3 Licensor’s personnel providing technical assistance to the Licensee shall not be considered for any purpose to be employees, agents or representatives of the Licensee.
12.4 Licensor shall provide technical assistance and training to Licensee in English. Should Licensee require an interpreter to receive the technical assistance, Licensee shall provide an interpreter at its cost and expense, including all costs for travel, food, lodging, medical, and other expenses.

TECHNICAL ASSISTANCE AND TRAINING. 7.1. If the Licensor provides technical assistance or training, the scope and the fees to be paid as well as the reimbursement of expenses shall be determined by Annex ./7.1.

The MHSOAC may provide technical support to Counties with regard to the development and implementation of Prevention and Early Intervention and Innovation programs working with the DMH.
