Term; Duties. The term of this Agreement shall be for the period from the Effective Date through December 31, 2003 (or earlier, pursuant to paragraphs 6, 7, 14 or 15) (the "Term"). The Term shall be automatically extended for successive one-year periods unless the Company gives the Employee notice of termination no later than [two] months prior to the end of the Term. During the Term, the Employer will employ the Employee, and the Employee will serve the Employer, as its Executive Vice President, Chief Information Officer, reporting to its President and subject at all times to the direction of its Board of Directors and Executive Committee. The Employee's office will be at such office of the Employer in Connecticut as the Employer may designate. The Employee agrees that during the Term he will devote his entire working time and give his best efforts and attention to the business of the Employer. The Employee shall not be required to perform duties inconsistent with those normally assigned by the Employer to its executive level employees.
Term; Duties. For the period from September 5, 2000 through December 31, ------------ 2001 (or earlier, pursuant to paragraphs 7, 8 or 15) (the "Term"), the Employer will employ the Employee, and the Employee will serve the Employer, as its Senior Executive Vice President - e-Business & Emerging Channels, reporting to its President and subject at all times to the direction of its Board of Directors and Executive Committee. The Employee's office will be at such office of the Employer in Connecticut as the Employer may designate. The Employee agrees that during the Term he will devote his entire working time and give his best efforts and attention to the business of the Employer.
Term; Duties. Employer hereby hires and employs Employee as its _______________________ and Employee hereby accepts and agrees to such employment for an initial term of one (1) year from the date first above written (such initial term as it may be extended from time to time in writing shall hereinafter be referred to as the "Employment Term"). Employee shall perform those duties as may be required by the Employer's Board of Directors and shall at all times during the term of this Agreement be subject to the general supervision, advise, and direction of Employer and the Employer's supervisory personnel. Employee shall also perform such other additional or substituted related or unrelated services and duties as may be assigned to Employee from time to time by Employer. Employee understands that Employee is serving in this position at the pleasure of the Board of Directors of Employer and can be reassigned to another position with Employer at any time by the Board of Directors. Subsequent to the Employment Term, in consideration for the continuation of Employee's Benefits as set forth in Section 7 hereof, Employee agrees to act as a consultant to the Employer and perform such incidental consulting services as may from time to time reasonably be requested by the Employer, provided that if Employee is requested to render consulting services in excess of such incidental services he shall be compensated for such services at a mutually agreed upon rate.
Term; Duties. The Corporation hereby employs the Employee and the Employee thereby accepts employment with the Corporation, upon the terms and subject to the conditions set forth in this Agreement. During the term of such employment, the Employee shall (a) devote substantially all of his business time and energy to performing his duties pursuant to this Agreement, (b) perform all duties as the board of directors or any officer of the Corporation shall from time to time direct, (c) perform such duties in a faithful manner and to the best of his ability and (d) use his best efforts to promote the interests of the Corporation. The corporation recognizes that the employee may be invited to serve on boards of companies and/or industry associations and supports this activity insofar as it does not represent a conflict of interest to the Corporation.
Term; Duties. For the period from March 1, 2000 through December 31, ------------ 2001 (or earlier, pursuant to paragraphs 6, 7 and 9) (the "Term"), the Employer will employ the Employee, and the Employee will serve the Employer, as its President and chief executive officer, subject at all times to the direction of its Board of Directors and Executive Committee. The Employee agrees that during the Term she will devote her entire working time and give her best efforts and attention to the business of the Employer.
Term; Duties. (a) The Company hereby employs the Executive, and the Executive hereby accepts continued employment by the Company, upon the terms and conditions set forth in this Agreement for a period of one (1) year, commencing on the Start Date and shall continue in effect for one year (the "Employment Term"). The Employment Term shall be extended for successive one year terms unless either party gives written notice to the other at least sixty (60) days prior to the end of the Employment Term, or at least sixty (60) days prior to the end of any of the successive one year terms.
(b) During the Employment Term, the Executive shall devote his full business time, attention and skill to and shall perform faithfully, loyally and efficiently his duties as President and to the exercise of such powers, the performance of such duties and the fulfillment of such services and responsibilities as may be duly assigned to or vested in him by the Company. As President, the Executive will be responsible for overseeing all aspects of the Company's business with the exception of its Metris subsidiary. During the Employment Term, the Executive shall use his reasonable best efforts to promote the interests of the Company and will not, without the prior written approval of the Chief Executive Officer and Chairman of the Board of Directors of the Company (the "CEO and Chairman"), engage in any other business activity which would interfere with the performance of his duties, services and responsibilities hereunder or which is in violation of either of the terms of this Agreement or the policies established from time to time by the Company; provided, however, the Executive may serve as a director of other business organizations with the approval of the CEO and Chairman, which approval shall not be unreasonably withheld. The Executive shall report to the CEO and Chairman. Any change in this reporting relationship shall be considered a material change in the Executive's duties and responsibilities. The offices of CEO and Chairman are currently occupied by the same individual. In the event that the offices of CEO and Chairman are occupied by different individuals, then the Executive shall report to the Chairman.
Term; Duties. CTS agrees to employ Executive, and Executive agrees to be employed by CTS, on a full-time basis, in Executive’s present capacity as Senior Vice President and Chief Financial Officer, at CTS’ principal offices or such other business location as Executive is presently assigned, with duties and responsibilities substantially the same as those now performed by Executive and such authority as that now exercised by Executive, or in such other executive capacity as may be agreed upon by Executive and CTS. The term of this Agreement shall commence on the Effective Date and continue for a period of four (4) years.
Term; Duties. The Company hereby employs Employee for the Employment Term (as defined in Section 2 hereof) as Vice President and Chief Financial Officer of the Company. The parties agree that Employee will engage in an active job search effective January 1, 1997, and will be permitted reasonable time off to pursue other employment, consistent with his responsibilities. The Company hereby agrees to retain the consulting services of Employee during the Consulting Term (as defined in Section 2 hereof). Consulting services shall be provided upon the reasonable request of the Company, but shall not interfere with any employment responsibilities that Employee may have to another employer during the Consulting Term.
Term; Duties. Employee agrees that his employment with CPI will continue until March 30, 2007 (the "Resignation Date"), on which date he will resign from his employment at the Company and all positions he holds as an officer of the Company and his employment shall terminate. During the period between the Effective Date (as defined in Section 4.2.6 below) and the date of termination of Employee's employment ("Remaining Employment Period"), Employee shall report to, and accept assignments from, CPI's President (or any other individual designated by CPI's President) and shall perform projects and services as are mutually agreed to by CPI and Employee, provided that in no event shall Employee provide, during the Remaining Employment Period, on average, less than one day of full-time service per week (i.e., 20% of current levels of service). CPI acknowledges that Employee may seek to obtain an employment position or consulting assignment with another entity during the Remaining Employment Period; provided, no such assignment may interfere with Employee's performance of services pursuant to the preceding sentence; provided, further, that prior to accepting any paid employment or consulting work, Employee must seek the consent of CPI (which may be withheld by CPI in its sole and absolute discretion).

The Term shall be automatically extended for successive one-year periods unless the Company gives the Employee notice of termination no later than [two] months prior to the end of the Term. During the Term, the Employer will employ the Employee, and the Employee will serve the Employer, as its President, Chief Executive Officer and as a member of the Board of Directors, subject at all times to the direction of its Board of Directors and Executive Committee. The Employee agrees that during the Term she will devote her entire working time and give her best efforts and attention to the business of the Employer.
