THE SERVICES WE WILL PROVIDE. We provide you with an execution only dealing service in foreign exchange, bullion contracts and contracts for differences in indices ("Contracts") offered by AUSFOREX. Both AUSFOREX and the Client will enter into contracts as principal. You shall be directly and personally responsible for performing your obligations under every transaction entered into between us, whether you are dealing as principal directly or through an agent, or as agent for another person, and you shall indemnify us in respect of all liabilities, losses or costs of any kind or nature whatsoever which may be incurred by us as a direct or indirect result of any failure by you to perform any such obligation. All orders placed and instructions given by you for the services will be subject to these terms. All other terms and conditions which you may try to introduce under any order, confirmation of order or similar are excluded any of the services may be provided using the services of third parties, including our affiliates who may act as agents for us. The services may involve margined transactions, where the Client is required to deposit cash to secure performance of the Client's obligations under the contract. The Client acknowledges, recognizes and understands that all transactions are subject to and in accordance with the relevant Market Rules prevalent from time to time. In particular the Client acknowledges that Market Rules usually contain wide powers in an emergency or otherwise undesirable situation. We may amend, suspend and/or terminate any or all of the services at any time for any valid reason. Where reasonably practicable we will give advance notice of this but this may not always be possible and/or practical for business reasons.
THE SERVICES WE WILL PROVIDE. We will provide discretionary management services in regards to your Account, which will generally be compromised of investments in the following instruments (or a combination thereof):
(a) shares in British or foreign companies;
(b) debenture stock, loan stock, bonds, notes, certificates of deposit, commercial paper or other debt instruments, including government, public agency, municipal and corporate issues;
(c) warrants to subscribe for investments falling within (a) or (b) above;
(d) depository receipts or other types of instrument relating to investments falling within (a), (b) or (c) above;
(e) unit trusts, mutual funds and similar schemes in the United Kingdom or elsewhere; and/or
(f) securities which are not quoted on a recognised or designated investment exchange. We may from time to time provide dealing and/or arranging services in relation to the above instruments, on an "execution-only" basis. In providing dealing and/or arranging services, we may act as principal, but will generally act in an agency capacity. We will not, except where we have specifically agreed in writing to do so, provide you with advice in respect of any instruments, investments, trades or transactions. We will, on your behalf, arrange for the provision of safe custody facilities by PSL or by another third party selected by us.
THE SERVICES WE WILL PROVIDE. 1.1 We will provide the services including the Training Course(s) described in the attached Terms of Engagement (the “Services”) and will be responsible for the management and control of the Services and the quality of any deliverables listed or referred to in the Terms of Engagement.
1.2 Personnel Staff – We shall provide personnel with the appropriate skills and experience to deliver the Services.

THE SERVICES WE WILL PROVIDE. 4.1 We will provide you with the services involved in the facilitation of investment in the Fund and the subsequent redemption of your investment. The method for investing in the Fund and for redeeming your investment is set out in the Fund Documents.
4.2 We will also provide you with client money and custody services in respect of your assets invested in the Fund as further detailed at clause 16.
4.3 If you choose to invest in the Fund(s) using a stocks and shares ISA we will act as plan manager. Please note that additional terms and conditions will apply when we act as plan manager of your ISA Account as set out in clause 5.
4.4 For the avoidance of doubt, none of the services outlined in clauses 4.1 to 4.3 above shall result in the provision of any of the following by us to you:
4.4.1 stop loss services whereby we undertake to close out any losses incurred by you at a pre-determined level;
4.4.2 the operation of a hold-mail account; or
4.4.3 any third party payment or transfer.
4.5 All transactions will be undertaken on an “execution only” basis. Execution only services are provided by us when we execute trades on your behalf but without providing advice or personal recommendations. We will not advise you about the merits of a particular transaction, any corporate action or the composition of your account. We will not have any discretion in relation to your account and will act for you only in accordance with instructions given by you to us, and will not seek your further instructions, either before or after effecting the transaction on your behalf. Where an execution-only order is accepted by us we are not responsible for ensuring the investment is suitable for you.
4.6 Your attention is drawn to the categorisation of the Fund(s) by risk level in the relevant prospectus. Please note that your investment decisions are dependent on your own assessment of your personal risk appetite. If you are unsure as to the nature of any of the investments outlined in the Fund Documents you must seek independent financial advice. Please note that:
4.6.1 we will not advise you about the merits of a particular transaction – under this agreement, you are dealing on an execution-only basis, unless we agree to the contrary in writing, we will not be responsible for providing on-going portfolio management services for investments acquired on an execution-only basis. THE SERVICES WE WILL PROVIDE. 5.1 We will provide financial planning advisory services to you. We will identify and assess your needs and objectives in order to make the most suitable recommendation to you. We survey the market to establish our preferred products, providers and services after completing relevant due diligence. We will advise on any products that you may already hold.
5.2 You retain full control over and are responsible for all investment decisions. We will provide you with recommendations on the basis of your specified objectives and risk profile. We will accept responsibility for the suitability of our recommendations, and (to the extent that you follow these recommendations).
5.3 We cannot accept this responsibility if our recommendations are not followed.
5.4 Where a review service is agreed by you and by us, a fee will be chargeable.
