Training and Knowledge Transfer. ERF agrees to provide Schlumberger technical support, marketing, and pre- and post- sales support, and one hundred (100) hours of knowledge transfer at no additional cost to Schlumberger’s Houston office located at 0000 Xxx Xxxxxx Xxxxxx. Schlumberger agrees to provide ERF with one hundred (100) hours of knowledge transfer regarding safety and efficiency while working in the Oil and gas Sector at no additional cost at Schlumberger’s training facilities. The parties are individually responsible for the respective travel and accommodation expenses associated with the training.

Training and Knowledge Transfer. Training and knowledge transfer Services consist of: a. ACS will provide training for the improvement of skills through education and instruction for ACS’ staff. ACS will participate in any initial and on-going training delivered by Symetra as required that would provide a learning opportunity about Symetra’s business and technical environment. b. ACS will provide training for Symetra technical staff for the express purpose of exploitation of the functions and features of the Symetra computing environment. Delivery methods may include classroom style, computer-based, individual, or other appropriate means of instruction. c. ACS will provide Symetra selected industry standards based training for those areas which it is certified to teach (Six Sigma for example). ACS will also coordinate with Symetra on other available industry training for which there may be associated costs. Training and Knowledge Transfer. 4.1 The Supplier is obliged to train the Sub-supplier in the Supplier's tools and methods making the Sub-supplier able to deliver the Job. 4.2 The Sub-supplier is to participate in training which in the Supplier's view is necessary to deliver the Job. 4.3 The Sub-supplier is not entitled to invoice the Supplier for the time consumed for this training. 4.4 The Sub-supplier is obliged to participate in training of a new consultant which in the Supplier's view is necessary so that this new consultant can deliver the Job if the Sub-supplier: ceases to work with the Job without previous agreement for any other reason proves to be unable to complete the Job. 4.5 The Sub-supplier is not entitled to invoice the Supplier for the time consumed for this training. However, the Sub-supplier is entitled to invoice its time if the training exceeds 10 days.

(2) Complete annual training for all Supplier Personnel on all requirements set forth in Exhibit J (Training and Certification Requirements). (3) Review Services and County environment training program with County sixty (60) Calendar Days prior to each annual training and incorporate County feedback into the training program for County Approval prior to the next training delivery. (4) Develop and deliver training on substantive and technical requirements within the Services, including annual training on security awareness, as required by County. (5) Schedule and provide proactive advanced training and education for individual, new, or replacement technology and products as part of Technology Refreshment and Replenishment Services, Implementation Projects of a new technology or product, Changes, or as otherwise requested from time to time by County. Training and Knowledge Transfer. 9.1 CIT shall, on the understanding that it is Uni-Pixel's intention to transfer the Product manufacturing process within 100 days of the Commencement Date, provide reasonable assistance to: (a) train Uni-Pixel staff at CIT's (Cambridge) premises in the operation of the E&R Coating Line; (b) make relevant CIT personnel available to travel to Colorado Springs to train Uni-Pixel personnel in the operation of the Colorado E&R coating line (it being acknowledged that CIT is not entitled, under relevant employment contracts, to force any individual to undertake such overseas trip(s)); (c) train Uni-Pixel staff at CIT’s (Cambridge) premises in the manufacture of ink; (d) advise on the procurement of inks, chemicals and equipment necessary to manufacture the Product; and (e) disclose all chemical, material, and consumable items needed to run the Product manufacture process within 5 days of the Commencement Date (including manufacturers, specific part numbers and specification requirements), and to make CIT personnel available to review and approve suitable replacements to this list in the event that exact copies are not available. 9.2 The parties acknowledge and agree that the obligations of CIT under clause 9.1 remain subject to CIT's obligation to manufacture the Product pursuant to clause 6 and, accordingly, the parties will co-operate fully to ensure that CIT's respective manufacturing and training and knowledge transfer priorities are discussed and agreed between the parties. Uni-Pixel acknowledges and agrees, in addition, that the ability of CIT to deliver training and knowledge transfer under this clause 9, particularly in relation to any extension of the Term under clause 2.2(b), is likely adversely to be effected by the expiration of contracts of employment of relevant CIT personnel during such period. 9.3 Any reasonable costs and expenses incurred by CIT in relation to this clause 9 (including financial incentives required to procure the relevant CIT staff to undertake such duties, and flights, hotels and subsistence) shall be reimbursed by Uni-Pixel within 30 days of submission of the relevant claim by CIT (failing which CIT shall be entitled to cease all further such assistance).
