System Functionality. Motorola represents that the System will perform in accordance with the Specifications in all material respects. Upon System Acceptance or Beneficial Use, whichever occurs first, this System functionality representation is fulfilled. Motorola is not responsible for System performance deficiencies that are caused by ancillary equipment not furnished by Motorola which is attached to or used in connection with the System or for reasons or parties beyond Motorola’s control, such as natural causes; the construction of a building that adversely affects the microwave path reliability or radio frequency (RF) coverage; the addition of frequencies at System sites that cause RF interference or intermodulation; or Customer changes to load usage or configuration outside the Specifications.

System Functionality. (1) It is the intent of the parties to provide for a process that provides the Grantor with an opportunity to review the system design plan and construction progress to ensure that the Cable System meets or exceeds the specifications described herein. Grantee agrees that it shall provide Grantor with reasonable notice of its intent to test the performance of the upgraded Cable System so that Grantor can witness such testing. (2) At least sixty (60) days before the upgrade of the Cable System begins, Grantee shall provide the Grantor with a proposed timeline for the upgrade and an opportunity to review the proposed system design plan consistent with Grantee’s obligations as described in Section 11.1. The Grantor shall indicate to Grantee, within thirty (30) days of the receipt and review of materials, as to any aspects of the timeline and/or design plan Grantor believes are inconsistent with the requirements set forth herein in Section 11.1. Grantee shall respond within thirty (30) days to the Grantor to resolve any inconsistencies. (3) Construction of fiber to the nodes shall begin no later than July 1, 1998, and shall be completed no later than December 1, 2000. (4) The upgrade must be completed in its entirety by December 1, 2000. (5) Within thirty (30) days of the effective date of this Agreement, and every month thereafter, at the request of the Grantor, Grantee and Grantor will meet to discuss the progress of the upgrade and work cooperatively to speed the construction process (by e.g. discussing any problems in obtaining permits) and to minimize the impact upon Subscribers. At each meeting, Grantee will provide a progress report on the upgrade detailing its progress in satisfying the requirements of this Section. (6) Grantee will take prompt corrective action if it finds that any facilities or equipment on the Cable System are not operating as expected, or if it finds that facilities and equipment do not comply with the requirements of this Franchise or applicable law.
System Functionality. (1) The Cable System shall have the following characteristics: (A) bandwidth of at least 750 MHz on all active components and at least 1 GHz for all passive components; (B) no more than 500 homes on the average, and no more than 700 homes in any case, served from any fiber node, with sufficient fibers to each node so that each 500-home node could readily be converted to a node of 150 or 200 subscribers; (C) no more than four active components in a cascade from any node; and (D) bidirectional activation with a clean return path permitting a current minimum average of approximately 512 Kbps upstream. (2) The Grantee shall implement status monitoring throughout the Cable System that will continuously monitor key parameters of all set-top and other devices in the Cable System including all hubs and nodes. The status monitoring system shall alert the Grantee when and where a power supply has lost commercial power and is running on back-up power. (3) The System shall provide two-way capability. (4) No later than June 30, 2006, the Grantee shall ensure that all broadcast television signals carried on the Cable System are transmitted to the headend over direct fiber connections either from the broadcast origination point, or from an over-the-air reception point located in such a way that the signal is not at any time significantly degraded from its level of quality at the broadcast origination point.

System Functionality. 1. As rebuilt or upgraded and maintained, the Cable System must have reliability comparable to the reliability for commercially established service of those cable systems whose initial construction or rebuild was completed after 2003. 2. In order to address subscriber demand for interactive services, the Grantee shall provide such upstream and downstream speeds as are required to ensure reliability and quality delivery of the particular service. 3. As designed, upgraded and/or rebuilt and maintained, the facilities and equipment on the Cable System must be able to deliver high quality signals that meet FCC technical quality standards regardless of the particular manner in which the signal is transmitted by the Grantee. Grantee shall comply with its internal digital video standards until such time that the FCC adopts digital video standards. When the FCC adopts digital video standards, all digital programming delivery must comply with the FCC standards. If the digital video delivery on the cable system does not comply with FCC digital video standards in two sets of FCC proof-of-performance tests, the City may pursue available legal remedies. 4. Upon completion of the upgrade or rebuild, the cable system and equipment will be installed so that the two-way active capability required by above in Section 7.1.A.4. is fully ready to operate upon the Subscriber request, and provision of premise equipment capable of using such two way capacity. 5. Equipment shall be installed at the headend to allow the Grantee to cablecast signals in substantially the form received, without material alteration or deterioration (for example, the headend should include equipment that will transmit color video signals received at the headend in color). Equipment must be installed so that all local signals received in stereo or with secondary audio tracks (broadcast and PEG Access) are retransmitted in those same formats. In the case of FM radio transmission, the above specifications, where applicable, shall apply. 6. Upon completion of the upgrade, Grantee will deliver at least ninety (90) analog or digital channels of video programming services to Subscribers. The Grantee shall provide at least the lowest cost tier of the channels on the cable system in analog form until such time as it is technologically and economically reasonable to offer the lowest cost tier of service in digitally compressed form. As designed, upgraded, and maintained, the facilities and equipment on the Cable System shall be able to deliver high quality signals that meet or exceed FCC technical quality standards regardless of the particular manner in which the signal is transmitted. C. Upon completion of the construction, all facilities and equipment will be installed (except customer premises equipment and drops) so that the two-way active capability required by Subparagraph 14 (a)(1) is fully ready to operate upon Subscriber request. D. The System shall include standby power capability which will provide standby power to the headend and hubs for up to two (2) hours in the event of a commercial power interruption. E. Equipment shall be installed so that all closed captioning programming received by the Cable System shall include the closed caption signal so long as the closed caption signal is provided consistent with FCC standards. Equipment shall be installed so that all local signals received in stereo or with secondary audio tracks (broadcast and PEG) are retransmitted in those same formats. F. Consistent with FCC requirements regarding emergency alert systems (“EAS”) and other applicable laws, Franchisee shall provide a system that can be activiated from a touch tone phone by an official designated by the City, and which will provide at least all-channel audio override.
