Administrative Management. Provide each Fund with a president, a chief financial officer, a secretary, and such other officers as are necessary to manage the Fund and administer its affairs in accordance with law and appropriate business practice, all subject to the approval of the Fund's Board of Directors/Trustees. ADMINISTRATIVE SERVICES AND TRANSFER AGENCY AGREEMENT Schedule B Share Transfer and Dividend Disbursing Services Benham Financixx Xxrvices, Inc. agrees to provide each Fund the following transfer agency and dividend disbursing services: 1. Maintain shareholder accounts, including processing of new accounts. 2. Post address changes and other file maintenance for shareholder accounts. 3. Post all monetary transactions to the shareholder file, including: * Dividends, capital gains, and reverse share splits (BTMT) * Direct (including lock box) purchases * Wire order purchases and redemptions * Letter and telephone redemptions * Draft redemptions * Letter and telephone exchanges (as well as auto exchanges via VRU and PC transmissions) * Letter and telephone transfers * Certificate issuances * Certificate deposits * Account fees * Automated Clearing House ("ACH") transactions * Exchanges initiated via Open Order Service 4. Conduct quality control reviews, by a separate dedicated group using statistically reliable samples, of transactions and account maintenance functions before mailing confirmations, checks, and/or share certificates to shareholders. 5. Monitor fiduciary processing to ensure accuracy and proper deduction of fees.

Administrative Management. MHMI shall apply its administrative knowledge and experience to management of Hospital in order to train nurses, technicians, monitor operations, evaluate technical competence of staff, educate the public and assist the marketing efforts of the Hospital by devoting time to outside contacts with existing and potential clients and to preparation and presentation of proposals.
Administrative Management a. The provider shall employ a program administrator who meets the following qualifications and complies with the following standards: i. Background including special training, experience, and other demonstrated ability in providing care and treatment appropriate to the residents served in the program; ii. Documented approved criminal background check and no history of abusive behavior; iii. Ensure the program operates in accordance with these standards; iv. Oversee the daily operation and maintenance of the program and shall be available to perform administrative duties at the setting at least five hours per week; x. Xxxxxxx and administer written policies and procedures to direct the operation of the program and the provision of services to residents; vi. Ensure that qualified program staff are available in accordance with the staffing requirements specified in these standards; vii. Supervise or provide for the supervision of program staff and others involved in the operation of the program; viii. Maintain setting, personnel, and resident service records; and ix. Delegate authority and responsibility for the operation and maintenance of the program to a responsible staff person whenever the program administrator is absent from the setting. This authority and responsibility may not be delegated to a resident. b. The provider shall develop and update policies and maintain a copy in a location easily accessible for staff reference and made available to others upon reasonable request. They shall be consistent with the requirements of these standards and shall address at a minimum the following: i. Personnel practices and staff training; ii. Resident screening, admission, and termination; iii. Fire drills, emergency procedures, resident safety and abuse reporting; iv. Health and sanitation; v. Records maintenance and confidentiality; vi. Residential service plan, services, and activities vii. Behavior management; viii. Food Service; ix. Medication administration and storage; x. Resident belongings, storage, and funds; xi. Resident rights and advance directives; xii. Complaints and grievances xiii. Setting maintenance; xiv. Evacuation capability determination; and xv. Fees and money management. c. The provider shall develop reasonable house rules outlining operating protocols concerning, but not limited to, meal times, night-time quiet hours, guest policies, smoking, and as follows: i.
