Changes Requested by Contractor. Should Contractor find it necessary to request any changes in the scope of work or any time extensions during the course of construction, Contractor shall submit a written request which includes a pricing and a scheduling proposal to the Owner within seven (7) days of the event giving rise to the change request. If Owner is in agreement, Owner shall issue a written change order or may request additional information within seven (7) days of receipt of Contractor's request. All pricing and scheduling proposals are subject to independent verification and audit. Contractor agrees to make all records relating to any pricing or scheduling proposal available for Owner's inspection. Absent written approval of the Owner, through the execution of a written change order, or issuance of a change directive, the Contractor shall not proceed with performing such additional work (unless Owner determines that such work is in the original scope of this contract). Contractor acknowledges that Owner's execution of a written change order or change directive under Article 4.3 is a condition precedent to any payment for work included in the Change Order or any adjustment in the Contractor's schedule. Contractor hereby waives any entitlement to additional compensation or extensions of time to the extent that Contractor performs any additional work without written approval of Owner.

Changes Requested by Contractor. If Contractor believes a Change Order is necessary for any reason to complete the SOW, Contractor shall provide Corporation a proposed Change Order in writing including (a) Contractor’s proposed adjustment to the Construction Schedule, (b) Contractor’s proposed adjustment to the Compensation Schedule; and (c) a detailed description of the change and reason for the change. Corporation shall have the right to approve or disapprove the Change Order in its sole and absolute discretion. Any Change Order approved by Corporation and Contractor must be authorized in writing and executed by both Parties prior to commencement of any work on the Change Order.
Changes Requested by Contractor. (a) Subject to paragraphs (b) and (c) below, Contractor may request, during the performance of this Agreement, any change within the general scope of this Agreement, including any change that will add or delete Work, affect the design of the Instrument, change the method of shipping or packing, or the place or time of Delivery, or will affect any other requirement of this Agreement. (b) Any changes as described in paragraph (a) above requested by Contractor shall be submitted in writing to Customer at [**Redacted**] prior to the proposed date of the change. If such Contractor requested change causes an increase or decrease or other impact in the Contract Price, Delivery Schedule, Instrument Specifications, or other terms of this Agreement, Contractor shall submit, with such request, a written proposal identifying such change and the impact thereof on the Contract Price, Delivery Schedule, Instrument Specifications, or other terms of this Agreement. (c) Customer shall notify Contractor in writing, within [**Redacted**] after receipt of the requested change proposal, whether or not Customer agrees with and accepts such change and the price/schedule/performance or other impact thereof. If Customer agrees with and accepts Contractor’s requested change and such impact thereof, Contractor shall proceed with the performance of this Agreement as changed.

Changes Requested by Contractor. With respect to any matter that may involve or require an adjustment to the Contract Time or the Contract Price, Contractor shall provide written notice of the underlying facts and circumstances that gave rise to the potential change within seven (7) days or prior to the alteration of conditions, whichever is earlier. Failure to give notice shall constitute a waiver of Contractor’s right to a change order. If any costs are not capable of being determined within seven (7) days, then Contractor shall request a Change Order within seven (7) days of when the costs are capable of being determined.

(b) Any changes as described in paragraph (a) above requested by Contractor shall be submitted in writing to Owner at least thirty (30) Calendar Days prior to the proposed date of the change, or such notice as is reasonable under the circumstances, that is, the notice for a complex and costly change shall be significantly greater than that for a simple change that does not impact the Contract Sum. If such Contractor-requested change causes an increase or decrease or other impact on the Work, Contract Sum, Initial City Schedules or Acceptance Date or other terms of this Contract, Contractor shall submit, with such request, a written proposal identifying such change and the impact thereof on the Contract Sum, Initial City Schedules or Acceptance Date or other terms of this Contract. (c) Owner may accept or reject such request in Owner's sole discretion. Owner shall notify Contractor in writing, within fourteen (14) Calendar Days after receipt of the requested change proposal, or within such period as is reasonable under the circumstances; that is, the response to a notice that would require significant analysis due to adverse changes in Contract Sum, Initial City Schedules or Acceptance Date may be longer than that for a minor change that does not adversely impact Contract Sum, Initial City Schedules or Acceptance Date, whether or not Owner agrees with and accepts such change and the impact thereof. If Owner agrees with and accepts Contractor's requested change and such impact thereof, Contractor shall proceed with the performance of this Contract upon the execution by both Parties of a written Change Order reflecting such changes. If Owner does not agree to the requested change, Contractor shall continue performance in accordance with this Contract without regard to such requested change. (d) Any determination of a change to the Contract Sum pursuant to this Article 11.2 (Changes Requested by Contractor) shall be made in accordance with Article 11.3 (Pricing of Changes).
Changes Requested by Contractor. 6.4.1 If (a) Contractor considers that a direction by MSG constitutes a Change, or (b) Contractor considers that a direction by MSG is likely to prevent Contractor from fulfilling any of its obligations, Contractor must notify MSG in what respect it considers the direction to involve a Change or that it is likely to prevent it from fulfilling its obligations. Such notice must be given within ten (10) Business Days of the date of the direction and before Contractor proceeds with the direction and must contain sufficient detail for MSG to assess the request. If Contractor fails to submit such notice as required, Contractor will not be entitled to submit any claim for a Change Order, recover as a Cost of the Work or be entitled to an adjustment to the Incentive Benchmark or to the Substantial Completion Date with respect to the direction. 6.4.2 Within thirty (30) Days of receipt of the notice in Section 6.4.1 above, and which notice complies with the requirements of Section 6.4.1, MSG shall: 6.4.2.1 issue a Change Order pursuant to Section 6.5; or 6.4.2.2 issue a written response to Contractor of the reasons the request for a Change Order is unreasonable or explain that additional information and time are necessary to make a determination regarding the request. 6.4.3 [*****]

Changes Requested by Contractor. Contractor may at any time request a change in the Work. Any proposed change shall contain a written proposal identifying such change, the reasons therefore and the impact thereof on the price, Delivery schedule, or other terms of this Contract. Purchaser will attempt to respond to such change request from Contractor within thirty (30) days of receipt. If the Parties reach an agreement on such change request in writing, it shall be incorporated into the Contract by the execution of an amendment to this Contract in accordance with Article 37.5. If the Parties are unable to reach an agreement in writing on the proposed change request, then such request shall be deemed rejected.
Changes Requested by Contractor. (a) Contractor may, at any time after the Effective Date of the Contract, provide ORION with a request for a change or waiver in the whole or any part of the Work or schedules herein, provided that Contractor shall use reasonable efforts to submit such request in writing to ORION at least sixty (60) days prior to the proposed date of any change or waiver that would add or delete work, affect the design of the ORION-Z Spacecraft, change the method of shipment or packing, or place or time of delivery, or would affect any other requirement of the Contract. (b) If such Contractor-requested change or waiver would cause an increase or decrease in the Contract Price or Delivery Schedule, Contractor shall submit to ORION, concurrent with the requested change, the details of such increase or decrease. (c) Contractor shall not proceed with the requested change or waiver unless and until ORION agrees with and accepts such change or waiver. (d) ORION shall notify Contractor in writing, within thirty (30) days after receipt of a request from Contractor for a change or waiver, whether or not it agrees with and accepts such change or grants such waiver. If ORION agrees with and accepts such change or grants such waiver, Contractor shall proceed with the performance of the Contract as changed or waived and an amendment to the Contract reflecting such change and price adjustment, if any, in accordance with Article 28.4 (Amendments), shall be issued. If ORION does not agree with the change or waiver as requested, the Parties shall attempt to reach agreement on such change or waiver. In the event the Parties are unable to reach agreement on the change or waiver, or on the applicable price adjustment, if any, or both, Contractor shall proceed with the performance of the Contract as unchanged.
